Doğan Yayın Holding

The Doğan Yayın Holding A.Ş. ( DYH ), also known as Dogan Media Group outside Turkey , was the leading media group in Turkey until its merger with Dogan Holding in 2014 .

She has published newspapers, magazines, books, operates television and radio stations, printing plants and is active in the field of new media. Aydın Doğan was the board member until the end of 2009 ; his daughter Arzuhan Doğan Yalçındağ took over the management at the beginning of 2010, and since January 2012 her sister Begümhan Doğan Faralyalı has been chairman of the board, which includes German media entrepreneur Hubert Burda . At the end of 2010, the Doğan Media Group had 12,144 employees.

Since 2010, the group has been negotiating the sale of company shares with several foreign investors. After a change in the law, which was about to be finalized at the time, up to 50 percent of the shares in Turkish media companies should in future be allowed to come into foreign ownership instead of the previous 25.

The Doğan Media Group was the largest content - provider Turkey. In October 2011, Doğan Yayın Holding announced the sale of Işıl Televizyon Yayıncılık A.Ş., which operates the television channel Star TV . known to Doğuş Yayın Grubu, the media arm of the conglomerate Doğuş Holding . The purchase price was given as 327 million US dollars. In view of the considerable demand for additional tax payments from the Turkish state, Doğan had recently sold the high-circulation daily newspapers Milliyet and Vatan for $ 74 million . The buyer was the media group DK Gazetecilik ve Yayıncılık A.Ş. , which belongs to Demirören Holding. The media activities were taken over in 2018 by the government-affiliated Demirören Holding.

Corporate divisions

The group, listed on the Istanbul Stock Exchange, owned four Turkish daily newspapers: Hürriyet , Radikal , Posta and Fanatik . In addition, there was Turkey's first English-language newspaper, Hürriyet Daily News (formerly Turkish Daily News ). It operated, among other things, the Turkish television channel Kanal D and, together with Turner Broadcasting System, Turkish versions of the channels CNN (under the name CNN Türk , since 1999), TNT (since 2008) and Cartoon Network .

Doğan Burda Dergi (DBR) , which belongs to the media group and in which the Turkish side worked with the German media company Burda , was the leader in the Turkish magazine market with 25 titles. Doğan Egmont , a joint venture founded with the Danish publishing group Egmont , published books and magazines for children. Another business area was the import of international print media and sales in Turkey. The group is also active in sales and, through Doğan Ofset, in the printing business.

The group was active in the book market through Dogan Kitap ; according to its own information, it produces 20 percent of the bestsellers in Turkey. The Doğan Music Company was positioned on the international music market through a license agreement with a subsidiary of Bertelsmann AG . Books and music were sold through a book and music chain called D&R and on the Internet.

Ownership

Ownership of Doğan Yayın Holding in June 2013 was:

The parent company of Dogan Yayın Holding, Dogan Şirketler Grubu Holding , was involved in other areas of the economy in addition to its core business in the media sector. For example, it was majority owned with 54.17 percent (as of the end of 2009) by Petrol Ofisi , the leading mineral oil company in Turkey in the field of mineral oil sales , which operated a chain of petrol stations and is active in oil wholesaling. In 2006 the Austrian energy group OMV acquired control of 34 percent, later the stake was increased to 41.58 percent. In April 2009, the Turkish energy ministry excluded Petrol Ofisi from all state contracts for one year because the fuels supplied to the state-owned Ambarli electricity company allegedly had too high a sulfur content. The real background to the allegations was presumed to be pressure from the Erdoğan government on Dogan, because the newspaper Hürriyet was critical of the ruling party AKP until 2018. The complete takeover planned by OMV was postponed in November 2009 due to the conflict. At the second negotiations in October 2010, the two groups agreed on a takeover of 54.17% of the Dogan Group by OMV for 1 billion euros.

Participation by Axel Springer AG

In November 2006, the German Axel Springer AG agreed on a 25 percent stake in the Dogan TV subsidiary with effect from the beginning of January 2007 - by agreeing a purchase price reduction clause until 2014 in the event of a falling company value - and sent two members to the Dogan Board of Directors TV, including Helmut Thoma . At the same time as the decision to join the Springer Group in Dogan TV, Doğan Yayın Holding took part in the bidding competition for the German television company ProSiebenSat.1 .

In November 2008 Springer sold 5.1 percent of its stake in Doğan TV to Doğan Yayın Holding. An acquisition of a direct participation by Axel Springer in DYH of around 9.1 percent, which was also agreed in November 2008, was not completed. Instead, the Springer Group agreed a year later, in November 2009, to increase its stake in Doğan Yayın Holding to 29 percent. However, since there is currently a conflict between Doğan Holding and the Turkish media authority RTÜK over enormous additional tax claims and media concentration, Springer suspended the implementation of the share increase until these problems were resolved. The purchase price for the share increase is only due in 2016, the value protection clause at Dogan TV was also extended to 2016. At the same time, the number of directors sent by Springer was increased to three (out of a total of ten) and a member with the right to veto was appointed to the DYH board of directors, who is responsible for the operative business.

In 2006 the group held a market share of 41.6 percent in the Turkish advertising market as a whole, 36.6 percent in the television advertising market, 42.1 percent in the magazine market and 60.6 percent in the newspaper market. Their daily newspapers reach a total circulation of 5.1 million daily. The turnover in 2006 was 1.5 billion US dollars , the EBITDA at around $ 150 million.

European branch

The European branch of the Doğan Group was Doğan Media International GmbH (DMG International) and was responsible for coordinating the group's activities in Europe. Doğan Media International's head office was in Mörfelden-Walldorf , near Frankfurt, and published the European edition of the Hürriyet newspaper, which is part of the holding company . According to a market study carried out by Enigma GFK in 2007, Hürriyet was read by around 564,000 people in the "broadest readership" category in Germany alone. The television station of the EuroD group offered the Turks living in Europe news, music, entertainment and competition programs, films and series from Turkey and Europe. Doğan Media International guaranteed coordination support for this television station.

Journalistic principles

The Doğan Media Group had a twenty-point list of journalistic principles to which its employees and the company were committed. Beyond a mere code of ethics, the principles u. a. also requirements regarding labor law up to the regulation of possible claims for damages that could result from publications.
