Claims for damages and allegations of fraud

In 2012 EASY SOFTWARE filed a claim for damages in the millions against the former supervisory board members Manfred Wagner and Wolfgang Glücks, as well as the former board member Josef Gemeri. The first trial days took place at the end of 2015 and the Duisburg court will give its first judgments at the beginning of 2016. In advance of this, criminal proceedings were initiated against the then Management Board member Neuhaus in June 2011 on suspicion of embezzlement of EASY SOFTWARE company funds. Neuhaus denied the allegations and filed a complaint. The criminal complaint was initiated by the Supervisory Board, which has now received a claim for damages from EASY SOFTWARE worth millions. The then board member Neuhaus was dismissed from the board post. The public prosecutor's office in Essen initiated the process against Neuhaus in April 2012 before the Chamber of Commerce. At the annual general meeting in 2012, the shareholders also refused to discharge the board of directors Andreas Nowotka as well as the supervisory board - namely the person of the chairman Manfred Wagner. Instead, the meeting decided to hire an auditor to manage the business relationships between Easy Software and the various companies in the Wagner network. The special audit report published in February 2013 revealed “service relationships with sbr health it GmbH, which led to a financial disadvantage for EASY SOFTWARE AG in the amount of EUR 1,778 thousand.” The chairman of the supervisory board, Manfred Wagner, had to resign in August 2013. The Federal Constitutional Court examined the complaint of the former Neuhaus executive board regarding its judgment of the Essen regional court of May 20, 2015 for legal validity. On January 13, 2016, the Duisburg Regional Court sentenced Manfred Wagner to pay EASY SOFTWARE AG damages in the amount of a good € 1.5 million. According to the court, Wagner privately cashed in the proceeds from the sale of an EASY SOFTWARE stake
