Prinovis is a German company of the printing industry with headquarters in Hamburg . It was created in 2005 through the merger of the gravure printing companies of Arvato , Gruner + Jahr and Axel Springer . In 2015, Prinovis expanded its business to include offset printing . Since Axel Springer's exit, the company has been wholly owned by Bertelsmann . Prinovis is part of the Bertelsmann Printing Group , Europe's largest printing group.

history

Merger of the gravure printing companies

At the beginning of 2004, Bertelsmann and Axel Springer confirmed negotiations to merge their gravure printing operations. The reason for this was overcapacities on the market with declining print runs and increasingly efficient printing machines. At the same time as the merger plans, Arvato, Bertelsmann's service division, was restructured. After months of talks, the foundation of a gravure joint venture was practically sealed in mid-2004. In September 2004, the heads of the companies involved finally officially gave Prinovis the green light. The Bertelsmann subsidiaries Arvato and Gruner + Jahr each had a 37.45 percent stake, while Axel Springer held a 25.1 percent stake.

Criticism of the establishment of the company came mainly from medium-sized printing companies. The European Commission initially also expressed concerns, but approved the merger in May 2005 unconditionally. With 4,300 employees and a turnover of one billion euros, Prinovis was not only the largest gravure printing company in Germany, but also the market leader in Europe. The management was initially based in Nuremberg, but Hamburg was chosen as the company's headquarters . In addition to the German locations, Prinovis built a new print shop in Liverpool, UK . While supply in Germany still exceeded demand, the market in Great Britain was not yet saturated.

Consolidation and restructuring

In 2005, Prinovis received 30 percent of its print jobs from Bertelsmann and Axel Springer, and the majority of its business was generated by independent customers. In the same year Prinovis announced that it would take over the remaining shares in its Nuremberg printing company (formerly Maul Belser) from KarstadtQuelle . The Essen-based company still owned 25 percent of this, the sale was completed in 2006. Despite various austerity measures, Prinovis continued to have economic difficulties. As a result, jobs were cut in Ahrensburg and Itzehoe, although initially there were no redundancies for operational reasons. In 2008 the company then had to close the entire print shop in Darmstadt in order not to fall into the red. Both the mayor and the Ver.di union criticized this decision. As far as the print shop in Nuremberg was concerned, Prinovis also had to deal with the bankruptcy of the major customer and former partner Arcandor (formerly KarstadtQuelle).

In response to the crisis, Prinovis was radically transformed from a traditional gravure printing company into a modern media service provider. For this purpose, the company installed soft proof stations across the board , for example , to enable more digital releases. The range of content management systems has also been expanded. In addition, Prinovis was even talking about closing its Hamburg headquarters at times, which would presumably have further reduced costs. As part of the restructuring, Gruner + Jahr left the joint venture: in 2011, the shares in the Hamburg publishing house within the Bertelsmann Group were transferred to the sister company Arvato. There were further job cuts, while Prinovis acquired machines from the insolvent competitor Schlott . In 2013 the company announced the closure of its printing plant in Itzehoe because it was continuously making losses. Several thousand people demonstrated against this.

In the same year Prinovis had to cope with a major fire in its Dresden printing plant. In 2014 the company lost an important customer: Der Spiegel switched to Mohn Media , another Bertelsmann subsidiary. From then on, the news magazine was produced using offset printing. Because similar developments could be observed with other customers, Prinovis expanded its business in 2015 to include offset printing. Dresden was the first location where both methods were offered.

Reorganization of the corporate division

Prinovis secured further orders worth millions. In 2015, Axel Springer announced that it would be parting its stake in Prinovis, but would continue to remain a customer. Bertelsmann bought the remaining 25.1 percent and became the company's sole shareholder. The antitrust authorities did not raise any objections. The transaction gave Prinovis greater independence and the parent company the opportunity to simplify the structures of its printing operations. The Be Printers division created in 2012 , which in addition to Prinovis already comprised many of the Group's printing plants, became the Bertelsmann Printing Group on January 1, 2016 , in which all of Bertelsmann's printing businesses are bundled.

Closure of the Nuremberg location

In mid-April 2019, the Bertelsmann Group announced to the public that due to the decline in orders in the printing sector, the Prinovis subsidiary, located in Nuremberg, will close on April 30, 2021. Around 900 employees are affected by the closure. According to the Bertelsmann Group, the other locations are not affected by this decision. At the location in Nuremberg u. a. the following print products are printed: Glamor, Quelle catalog, ADAC member magazine Motorwelt, IKEA catalog, Apotheken Umschau and the last OTTO catalog in spring 2019.

structure

The company was on March 10, 2005 under the Company Ink Printing Ltd. & Co. KG was entered in the commercial register and was only renamed Prinovis two months later. The combination of the legal forms of a German limited partnership , which is preceded by a British corporation as a personally liable partner ( general partner ), was chosen for tax reasons. In January 2016, Prinovis Limited, based in London, left the limited partnership as a partner and was replaced by Prinovis GmbH based in Gütersloh. Today, Prinovis is a GmbH & Co. KG , which is completely based on German law.

Prinovis settled its headquarters in the Hanseatic city of Hamburg. The company's headquarters were initially in HafenCity . Prinovis is currently based in Hamburg-Bahrenfeld . When it was founded, Prinovis had five German printing plants in Ahrensburg , Darmstadt , Dresden , Itzehoe and Nuremberg . With the closure of the plants in Darmstadt and Itzehoe, the number of German printing plants was reduced to three. The management of Prinovis have Astrid Meicherczyk and Ulrich Cordes held. Axel Hentrei is the CEO of the superordinate Bertelsmann Printing Group.

Products

Prinovis produces, among other things, magazines, catalogs and brochures for various industries. The company offers both classic gravure and offset printing . This reflects the general technological change in the printing industry. In 2007, Prinovis produced Europe's first rotogravure catalog on paper according to the FSC standard. Since 2016, the company has generally only bought paper that is certified according to the FSC or PEFC sustainability standards. Some Prinovis print products are allowed to carry the Blue Angel .

In addition to printing, Prinovis takes care of the finishing and processing of its products, for example through UV coating, adhesive binding , saddle stitching or polybagging . Prinovis owns the Nuremberg-based company MBS, a creative agency that specializes in advertising, photography and e-commerce . This means that customers can not only have content for their print products produced by Prinovis, but also order complete cross-media campaigns.
