Theodor Baums

Theodor tree (* 29. April 1947 in Birresborn / Eifel ) is Emeritus Professor of Business Law at the University of Frankfurt / Main.

Career

After attending school and doing basic military service , Theodor Baums studied law and Catholic theology at the University of Bonn . He completed his legal studies in 1974 with the first state examination. The legal preparatory service from 1974 to 1977 was followed by the second state examination and participation in the tax law course of the Institute for Tax Law of the Legal Profession. In the following years up to 1985 he was a research assistant at the Institute for Commercial and Business Law at the University of Bonn ( chair Ulrich Huber ). There the dissertation (1980; university award) and the habilitation thesis (1985) were written.

Theodor Baums was appointed professor for civil law and commercial law at the Westfälische Wilhelms-Universität in Münster in 1986 ; from 1987 to 2000 he was professor for civil law, commercial and commercial law at the University of Osnabrück . In 1990 and 1991 Theodor Baums was a visiting scholar at the University of California at Berkeley as an academy scholar of the VW Foundation. In the following years he was visiting professor at the Universities of Vienna (1992), Stanford (1994) and Columbia / New York (1999).

In 1991 Theodor Baums was offered a professorship for commercial law at the University of Bern , which he refused. As a result, he founded and built up the Institute for Commercial and Business Law at the University of Osnabrück, of which he was director from 1992 to 2000. 1994/1995 Theodor Baums was Dean of the Faculty of Law at the University of Osnabrück. 1997–2003 he also took on lectureships in commercial law at the EBS University of Economics and Law . After the summer semester of 2000, Baums accepted a professorship for banking law at the Johann Wolfgang Goethe University in Frankfurt am Main.

In addition to his scientific work, Theodor Baums took on numerous other part-time and honorary tasks since the beginning of the 1990s and was particularly involved in scientific policy advice. In addition to advising the World Bank (1992–1995; banking systems in developing countries) and the Monopolies Commission, he participated in numerous hearings of the Bundestag and the relevant ministries. In 1999 Theodor Baums was the initiator and member of the Frankfurt Policy Commission " Corporate Governance "; In the same year he was appointed by the Federal Chancellor to the government commission "Takeover Act" (1999–2000) headed by the latter. In 2000, Theodor Baums was the main reviewer of the 63rd German Lawyers' Conference. In the same year he was appointed by the Federal Chancellor to chair the government commission “Corporate Governance - Corporate Management - Corporate Control - Modernization of Stock Corporation Law” (2000-2001), whose recommendations were largely adopted and implemented by the legislature and the government commission for the development of a German Corporate Governance Code .

Theodor Baums had a decisive influence on the development of legal policy in this area through numerous publications and lectures as well as advice to the legislative bodies; also as the initiator and member of the Audit and Corporate Governance working group (2002–2003); as initiator and member of the Asset Management and Corporate Governance working group (2004); as a member of the Advisory Board of the Federal Financial Supervisory Authority (BAFin) (2002–2008); as corporate governance officer of the board of directors of the Deutsche Bundesbank (2004–2008); as a member of the advisory board of the German Audit Office for Accounting e. V. (2005–2009 and 2014–2015) and as an expert advisor to the government commission “Reform of Codetermination Law” (2005–2006). From 2002–2011, Baums was also a member of the Presidium of the German Association for Protection of Securities . In 2005 the European Commission appointed him to its Advisory Board for Corporate Governance and Company Law (2005–2008; 2010–2011 German member of the Company Law Expert Group of the EU Commission). Baums has been a member of the government commission on the German Corporate Governance Code since June 2009.

At the University of Frankfurt / Main, Theodor Baums took the initiative in 2001 to found the Institute for Law and Finance (ILF), which subsequently developed into a renowned training and research institution. From 2006–2011, Baums held a research professorship for banking and capital market law there, sponsored by DekaBank and Helaba . Baums has also been a Fellow of the European Corporate Governance Institute (ECGI) in Brussels since 2002 ; In 2006 he was appointed as a scientific member (Fellow) at the Wissenschaftskolleg zu Berlin for the academic year 2008/2009.

After his retirement (2013), he took on a senior professorship in the law faculty at Goethe University until 2015. Since the University of Luxembourg was founded in 2003, Baums has contributed to the development of the law faculty there in various functions. He has been professeur associé there since 2008 and has been a member of the Advisory Committee of the Faculty of Law, Economics, and Finance since 2014. Since 2015 he has been a Distinguished Fellow of the "Institute for Monetary and Financial Stability" (IMFS).

In addition to his scientific and political advisory work and organizational tasks at the university, Theodor Baums has often been involved as a consultant in advisory and supervisory boards of companies, as an appraiser, arbitrator and in voluntary activities. Since 2017 he has been Of Counsel at the law firm SZA Schilling, Zutt and Anschütz.

Theodor Baums is married to the former judge Brigitte Baums-Stammberger; they have two sons (* 1975 and 1977).

Honors

Theodor Baums received the university award in 1980 for his dissertation; the EBS University of Economics and Law awarded him an honorary doctorate (Dr. rer. pol. hc) in 2002. The Federal Minister of Justice recognized his commitment in 2005 by presenting the Euro Corporate Governance Leadership Award ; 2006 he was awarded the President for his services, the Federal Cross of Merit 1st Class of the Order of Merit of the Federal Republic of Germany. In 2008 the University of Luxembourg appointed him Professeur Associé. In 2009 the Aarhus School of Business awarded him an honorary doctorate (Dr. jur. Hc). In 2017 he was awarded the Dr. Michael Endres Prize from the Hertie School of Governance.
