The Rolls-Royce Power Systems AG (until January 2014 Tognum AG ) is a supplier of diesel engines , complete propulsion and energy systems around the core company , MTU Friedrichshafen , based in Friedrichshafen . The companies of the Rolls-Royce Power Systems Group manufacture drives for ships , rail vehicles , heavy land vehicles and industrial machines as well as energy systems based on diesel engines, gas engines and gas turbines .

Investments and subsidiaries

RRPS includes MTU Friedrichshafen , MTU Onsite Energy Systems GmbH in Ruhstorf (formerly: Aggretech), MTU Onsite Energy Diesel Power Systems (formerly: Katolight), MTU Onsite Energy Gas Power Systems (formerly: MDE Dezentrale Energiesysteme), MTU Reman Technologies ( formerly: SKL Motor GmbH ). The Norwegian engine manufacturer Bergen Engines AS has also been part of the group since July 2013 .

The fuel cell division MTU Onsite Energy Fuel Cell Systems (formerly CFC Solutions) was abandoned equipment was on 30 June 2012, the the Fraunhofer IKTS cooperating FuelCell Energy sold.

In December 2005, sold DaimlerChrysler , the MTU Friedrichshafen for 1.6 billion euros to the Swedish private equity group EQT .

EQT then formed Tognum GmbH as a holding company in July 2006 with MTU as the core company. The holding originally held the shares in the companies MTU Friedrichshafen GmbH , MDE Dezentrale Energiesysteme GmbH , CFC Solutions GmbH , L'Orange GmbH and Rotorion. Katolight was acquired in April 2007. On January 1, 2008, SKL Motor GmbH was finally taken over by Tognum. At the beginning of November the holding company announced the completion of the sale of the propeller shaft division Rotorion to IFA . Tognum will retain a 25 percent stake in IFA-Rotorion Holding GmbH for another five years and then withdraw completely from the automotive supply business.

In July 2007, Tognum was listed on the stock exchange after it had been converted into an AG . EQT was still the largest single shareholder with a stake of approx. 35%, until the end of April 2008 Daimler AG took over 22.3% of the shares from EQT for 585 million euros and was Tognum's most important single shareholder with 28.4% until mid-2011 .

On March 7, 2011, Daimler announced that it would take over Tognum together with Rolls-Royce. After increasing the offer price by EUR 2 from EUR 24 to EUR 26, the management of Tognum AG recommended on May 18, 2011 that the offer be accepted. The members of the management achieved high proceeds from the sale of their own blocks of shares, some in the eight-figure range. The then CEO Volker Heuer received EUR 78.96 million, the current CEO Coers EUR 59.46 million (see Directors' Dealings with Tognum shares or derivatives).

Mid-2011, the majority of the shares in Tognum for 3.4 billion euros by Engine Holding GmbH (Stuttgart), a joint venture of Daimler AG and the Vinters International Limited , an indirect subsidiary of Rolls-Royce Group , one under acquired by a friendly takeover . This was preceded by an offer from Engine Holding that was changed several times.

In July 2011, Deutsche Börse announced that Tognum shares would be removed from the MDAX, as less than 10% of the shares are now in free trading and the papers have been disqualified for all Deutsche Börse selection indices. Shortly before, it was announced that Engine Holding holds 94% of Tognum shares. Trading on the regulated market (Prime Standard) of the Frankfurt Stock Exchange ceased on August 27, 2011.

As of December 31, 2012, Engine Holding held around 99% of Tognum shares. The remaining minority interests were transferred in March 2013. The former Tognum AG has been operating under the new name Rolls-Royce Power Systems AG since January 2013 . On August 26, 2014, the Rolls-Royce Group took over all of the Daimler shares. The L'Orange GmbH was to competitors in April 2018 Woodward Inc. sold.

MTU Onsite Energy

The MTU Onsite Energy umbrella brand was launched in September 2008. All activities of decentralized energy generation are bundled in it. The production program includes standardized and individualized diesel generators for emergency power, base and peak loads as well as combined heat and power plants for combined heat and power based on gas engines or gas turbines. The brand includes the companies MDE Dezentrale Energiesysteme GmbH , Katolight and the PowerGen business of MTU Friedrichshafen .

Korea affair

In 2011 there were allegations of corruption in connection with the Asian business. Accordingly, payments were made to South Korean military personnel via detours between 2000 and 2011. Due to the accusations that became known, the board member responsible for business in Asia was dismissed.

In the artificial name Tognum, the syllable "Tog" should stand for "powerfully pulling" according to the company, "um" should be the linguistic symbol for important objects and monuments based on Latin, and in Northern and Central Europe also for the pair of terms "home" and " Home ”.
