The Diebold Nixdorf Holding Germany Inc. & Co. KGaA (formerly Wincor Nixdorf ), headquartered in Paderborn is a provider of IT solutions and services for retail banks . The company has been majority owned by the US Diebold Nixdorf Group since 2016 .

history

Wincor Nixdorf was founded on October 1, 1999 as an independent company. Predecessor companies were Siemens Nixdorf Retail & Banking Systems GmbH (1998–1999), Siemens Nixdorf Informationssysteme AG (1990–1998), Nixdorf Computer AG (1968–1990) and the Laboratory for Impulse Technology (1952–1968) of the German computer pioneer Heinz Nixdorf .

The renaming from Siemens Nixdorf to Wincor Nixdorf was made after the purchase in 1999 by Kohlberg Kravis Roberts & Co. (KKR) and Goldman Sachs . The investors bought 90% of the shares and the management at the time bought the remaining 10%. The purchase price was 1.44 billion Deutschmarks. The part of the name Wincor stood for “win” and “core” - for profit and for core competence in the retail and banking sectors.

KKR and Goldman Sachs sold all of their shares after Wincor Nixdorf went public in May 2004. In total, KKR received over 685 million euros, which was divided into 160 million euros in dividends in 2004, 225 million euros (2/3 of the stock market proceeds) in 2005 and 300 million euros in sales, also in 2005. During the five years in which KKR and Goldman Sachs were involved, the number of employees at Wincor Nixdorf rose from 3,400 to 6,300.

In April 2015, the company announced a restructuring program. Since the revenues in the hardware business had declined due to the continuing price decline, the accelerated conversion in the direction of a software and IT services company was planned. In this context, the workforce should be reduced by around 1100 over the next three years.

In August 2016, Wincor Nixdorf was taken over by Diebold Holding Germany Inc. & Co. KGaA, Eschborn, which is managed by the American Diebold (North Canton / Ohio ). The shareholders agreed to a domination and profit and loss transfer agreement and the name change to Diebold Nixdorf AG. A squeeze-out was successfully completed in May 2019 . The former Diebold Nixdorf AG has ceased to exist since it was completely merged with the Group's German holding company, Diebold Nixdorf Holding Germany Inc. & Co. KGaA.

Business areas

The product portfolio includes ATMs , kiosk systems and computer tills , the so-called POS terminals . The range of services also includes application programs , services and IT consulting for trading companies, banks, lottery companies and companies from related areas. Wincor Nixdorf also produces vending machines for the retail trade.

In the banking and retail sectors, Wincor Nixdorf's aim is to use information technology to redesign processes, particularly at the interface to the consumer, and to optimize business processes in the branches of banks and retail companies. Wincor Nixdorf is represented in 130 countries, of which 43 have subsidiaries of their own. The Beetle POS system developed and introduced by Siemens Nixdorf in the early 1990s was very successful from the start and was also sold and further developed under the new company name of Wincor Nixdorf . The POS systems are now used by many larger retail chains, such as B. at Edeka , Metro , Shell , Poco and IKEA .

At the international level, the company consists of a number of national companies. The Siemens and Siemens Nixdorf regional companies that still existed after the transition to Wincor Nixdorf were transferred to these.
