history
founding
The company was founded in 1924 under the name Fiducia Revisions- und Treuhandinstitut AG in Karlsruhe. In 1958, the managed banks came up with the idea of merging to form a booking association, and Fiducia took over organizational consulting as a new business area. While punch cards were mainly used in the following years, the transition to other media such as journal strips, magnetic tapes and magnetic disks gradually took place in the 1960s.
Fiducia Online System
In the 1970s, Fiducia began setting up subsidiaries and participating in other companies in order to serve the expanded customer base with industry-specific solutions and services. The Fiducia Online system for dialog traffic was launched.
ATMs in the dialog system
A trend reversal in payment transactions brought automation through the installation of ATMs in the dialog system in the 1980s. Fiducia began developing its own banking application process. It merged with the GIZ cooperative information center in Mutterstadt to form Fiducia Informationszentrale AG and incorporated the Saar eG booking community from Saarbrücken.
Agree bank workplace
After further mergers with GRK Genossenschaftliches Rechenzentrum Kassel GmbH in 1999 and RWG Rechenzentrale Württembergischer Genossenschaften GmbH, Stuttgart in 2001 to form Fiducia AG Karlsruhe / Stuttgart , Fiducia developed a new banking procedure together with rbg Rechenzentrale Bayerischer Genossenschaften eG . This banking procedure was based on Fiducia's predecessor NBS and combined the Rubin (GRK), GEBOS (RWG) and GENOS (rbg) banking systems that were operated in parallel from the many mergers . Therefore it was called agree (English for "agree") and was first released in 2003 in version 1.0. In the same year the merger with rbg to form Fiducia IT AG takes place .
Other banks
After more and more private banks joined the Fiducia in the following years alongside the Volksbanken and Raiffeisenbanken, according to the market research institute Gartner it developed into the seventh largest IT service provider in Germany in 2004. In 2006, the PSD banks decided step by step until July 2008 to no longer handle all data processing through Sparda Datenverarbeitung (SDV), but rather through Fiducia and migrate to agree . In the same year Fiducia introduced the mobileTAN procedure ( mTAN ). The Kassel, Erfurt, Saarbrücken, Nuremberg and Stuttgart locations were closed.
Completion of the migrations
Since June 25, 2007, all Volksbanks and Raiffeisenbanks supported by Fiducia IT AG have been working with the standardized agree banking system . On August 25th, Fiducia put a newly designed IT control center into operation, which it claims to be one of the most modern in Europe and which for the first time fully complies with the BS7799 and ISO17799 guidelines. In September Fiducia received the security award of the state of Baden-Württemberg for “outstanding operational security projects” in silver. This was awarded for the security awareness campaign with the name "Security Cup 2007". On February 21, 2008, Fiducia put its new data center in Rheinstetten near Karlsruhe into operation. On March 17th, 2008 the first of the 15 PSD banks (PSD Bank Nord eG) was successfully migrated to agree and uses Fiducia's eBanking.
Merger with GAD eG
At the beginning of 2006 exploratory talks were held with the IT service provider GAD eG about a possible company merger, but these failed. In January 2008 a merger for 2010 was promised.
After there was massive pressure from the owners of both companies, since one goal of the merger is to save costs, merger talks were resumed in September 2011. The approval of the Federal Cartel Office for the merger was given at the end of May 2012. The merger negotiations were closed in July 2012 due to differences v. a. canceled again when evaluating the company.
Talks have been held again since the end of 2013.
At the beginning of October 2014, it was announced that the supervisory boards of the two companies had unanimously voted in favor of the merger. On November 26, 2014, the GAD General Assembly, consisting of the GAD member banks, voted 94% for the merger of the two cooperative computer centers. On December 4, the extraordinary general meeting of Fiducia voted with 100 percent for the merger of the two houses. The merger to form Fiducia & GAD IT AG was planned for January 1, 2015. The merger became legally binding when it was entered in the commercial register on July 1, 2015.
