The InnoTec TSS AG is a building materials supplier based in Dusseldorf. The group produces house door panels , building glass and elastic plastic parts and has specialized in high-margin products. The most important sales markets are Europe, the Arab states and North America.

InnoTec is listed on the regulated market of the Düsseldorf and Munich exchanges.

Divisions and products

InnoTec TSS AG is a pure holding company with only three employees (as of the end of 2013). The operative business is located in several subsidiaries and combined in two divisions.

Door systems

The door system division consists of the companies Rodenberg Türsysteme AG, Mecklenburger Bauelemente GmbH, Porta Glas Design GmbH, Polytec Nederland BV and Bouwlux Benelux BV

According to the company, Rodenberg is the European market leader for "high quality" door panels made of aluminum and plastic . Rodenberg was founded in the 1980s and had sold nearly 2 million fillings by 2013. In 2013, the range comprised around 500 model variants. The main location is Porta Westfalica .

Mecklenberger Bauelemente in Cramonshagen supplies Rodenberg with fillings.

Porta Glas Design manufactures - also in Porta Westfalica - glass products for house doors, interior doors, windows, furniture and other architectural elements. Porta specializes in one-off and custom-made products.

Polytec and Bouwlux sell house door panels, sandwich panels , canopies and accessories in the Netherlands and Belgium .

Special building values

Reckli , based in Herne, manufactures elastic forms and matrices. These are plastic parts that can be used to design concrete surfaces . Individual structures, photos or three-dimensional models can thus be imprinted on a concrete structure. Reckli has sales subsidiaries in France , the USA (founded in 2013) and the United Arab Emirates (founded in 2014).

Calenberg Ingenieure in Salzhemmendorf produces elastomer suspension systems for component storage and structure-borne noise decoupling . These serve z. B. for load transfer or for the production of movement joints . "Rubber mats" from Calenberg are also used as a base in track construction , for the vibration-free installation of machines and in noise barriers .

The Calenberg stake was sold in full on January 1, 2018, so that the “Special Building Assets” segment only includes Reckli.

Share over DM 50 in CHA Chemie Holding AG from August 1990

The company was founded in 1986 in Munich as CHA Chemie Holding AG . Right from the start, it manufactured products in the field of structural engineering and surface technology. In 1989 the first of several acquisitions took place .

In 1990 CHA went public and expanded the product range to include windows and doors. The company was renamed CHA Holding AG . After the slowdown of the German reunification triggered construction special boom to CHA separated from the business facade technology . The company was renamed again in 1995 to CHA Bauelemente AG .

The company was heavily indebted through the acquisitions at the end of the 1990s. This was countered with several restructurings and a concentration on the business with profitable components. The company headquarters was relocated to Düsseldorf in 2000 and the name changed to InnoTec TSS AG . This year, the group achieved sales of around € 63 million with 645 employees.

In 2001 InnoTec took a stake in Fortknox-Ventures AG, a venture capitalist for the New Economy ; from 2001 to 2002 the AG was listed in the SDAX index. In these two years the construction industry deteriorated again and InnoTec made considerable losses, to which the venture capital business also contributed. A capital reduction was necessary to compensate for over-indebtedness in the balance sheet . Further restructuring and expensive mezzanine financing followed . Almost half of the employees left the group.

In 2005 the Fort Knox stake was sold. Of the originally € 8.4 million invested capital, less than a million remained.

InnoTec has been consistently profitable since 2003, and has been net almost debt-free since 2014. The tax loss carryforwards , some of which were still from the 1990s, were completely eliminated by 2013. In the period from 2003 to 2013, group sales rose from around € 55 to 90 million and the EBIT margin from 7.2 to 15.8%. The number of employees increased from 355 to 567 on an annual average.

Group of shareholders

InnoTec TSS AG has had changing main shareholders since the IPO, including the Bernau entrepreneurial family and the equity investment company of the German insurance industry.

As of the end of 2013, sole director Gerson Link held 24.9% of the shares through GLB GmbH . Another 24.99% were owned by Reinhart Zech von Hymmen through Grondbach GmbH . The limit of 25% could not be exceeded (“change of control”) as long as tax loss carryforwards were to be used; otherwise they would have expired.
