The Net-m Privatbank AG in 1891 (own spelling net-m Privatbank AG in 1891 ) is a German financial institution . After a squeeze-out in 2012, it was a wholly-owned subsidiary of Net Mobile AG until May 2016 , which has been trading as Docomo Digital Germany since December 27, 2016 . Net-m has a full banking license and is based in Munich . The company's legal seat is at the headquarters of the parent company in Düsseldorf . Until mid-2012, the company operated as Bankverein Werther Aktiengesellschaft and was based in Werther (Westphalia) .

Today's Net-m Privatbank 1891 AG was founded in 1877 as an advance payment association to Werther in the legal form of a cooperative in the Westphalian town of Werther (near Bielefeld ). In 1891 the company was converted into a stock corporation and the name was changed to Bankverein Werther Aktiengesellschaft . This made the bank the oldest stock corporation in the Ostwestfalen-Lippe region . The company's shares were in free float until 2011 and were traded over the counter on the Frankfurt Stock Exchange. With total assets of around € 72.3 million (as of December 31, 2010), Bankverein Werther AG was one of the smallest private banks in Germany.

While until 2005 there was only one office in Düsseldorf in addition to the main office in Werther and the company mainly served the regional market, additional representative offices were established throughout Germany between 2007 and 2009 as part of an expansion initiative (including in Bielefeld, Berlin, Hennigsdorf and Rostock ) opened and the activity expanded to include further business areas. A direct banking offer and prepaid credit cards were marketed under the Firstmobilebank brand . With the exception of the Bielefeld location, however, all representative offices were closed again after a short period and the Firstmobilebank direct banking service was discontinued. In connection with the activities of a raffle mafia, the bank association came into the focus of investigations by the public prosecutor with two searches of the bank. In September 2012, three defendants were sentenced to several years' imprisonment for fraud in the millions, which was handled primarily through Bankverein Werther from November 2008 and January 2010.

In the course of 2011, Net Mobile AG acquired around 93% of the shares in Bankverein Werther AG with the aim of further expanding the mobile payment business area . In September 2011, the sale of the parent company business (business with private and business customers in Werther and Bielefeld) including the Bankverein Werther brand to Volksbank Paderborn-Höxter-Detmold eG (now VerbundVolksbank OWL eG) was announced on December 1, 2011.

Until November 30, 2011 the bank was a member of the ATM network Cashpool . Voluntary membership in the deposit protection fund of the Federal Association of German Banks ended on March 31, 2012.

After the sale of the Bankverein Werther brand, the bank entered the market in December 2011 under the Privatbank 1891 brand , while the official name was initially still Bankverein Werther AG. At the Annual General Meeting on July 11, 2012, it was decided to change the name to net ‑ m privatbank 1891 AG and to move the headquarters to Düsseldorf . With the entry in the commercial register, the name change and the relocation of the registered office were finally completed in August 2012. The squeeze-out took place at the end of 2012; Net Mobile AG thus holds 100% of the capital and the bank's shares are no longer traded on the stock exchange.

In May 2016 it became known that the company was to be sold by Net Mobile AG to BASE OIL SUPPLY LTD., A company of the Indian Hinduja group . However, according to the 2017 annual report, the sale could not be completed due to an owner control procedure by BaFin .

In December 2018 it was announced that the Net-m private bank was sold to Arkea Banking Services, a subsidiary of the French Arkea Group.

Business areas

While the company operated all banking transactions with private, business and corporate customers until November 2011 under the former name Bankverein Werther AG as a universal bank, primarily from the East Westphalia-Lippe region, the universal banking business was discontinued with the realignment in December 2011 (sale to Volksbank Paderborn-Höxter-Detmold eG) and since then the focus has been on mobile payment services .

After the realignment, the business activities of Net-m Privatbank 1891 AG were initially divided into the areas of Cards & Payments (credit card business and payment processing) and Strategic Partnerships (strategic partnerships). At the beginning of 2012, the breakdown of business activities was refined and initially divided into eight business areas. With the sale of the ATM ( cash machine ) division and entry into the deposit business with private customers (overnight money accounts) in November 2012, the business activities of Net-m Privatbank 1891 AG are divided into the following areas:

  • Factoring / Invoice & Installation Payments (billing and hire purchase business)
  • Direct Debit & Direct Credit (transfer and direct debit business)
  • Card acquiring (credit card billing) / card issuing (card issuing)
  • Standard banking (deposit and loan business with private and business customers)
  • Strategic Partnership (consulting services for other companies)

In February 2013, the Net-m private bank went AG in 1891 a cooperation with Vexcash and thus secured his entry into the Fintech industry and geography.

Locations

The company is based in Düsseldorf at the parent company Net Mobile AG, but no location is maintained there. The administration is divided between Munich and Bielefeld , near the founding place Werther (Westphalia) . In Munich, Potsdamer Strasse 12, there is one board member and a small number of employees. One board member and the majority of the employees are also employed in Bielefeld, Ritterstrasse 19.
