The Montana Tech Components AG is a Swiss industrial conglomerate headquartered in Reinach AG . The group of companies that emerged from several acquisitions comprises four business areas and employed 7,781 people at the end of 2018. The company has 52 locations in 21 countries worldwide.

Business areas

The group is currently (as of 2019) divided into four independent business areas, each with its own brand identity.

In from the Alu Menziken Group and the US UAC existing division Montana Aerospace Components are aluminum profiles for the aerospace developed as well as for other industries and manufactured. According to its own information, the company is the world market leader in the manufacture of aluminum profiles for the aviation industry.

The Montana Energy Storage division specializes in the development, production and sale of batteries , button cells and hearing aid batteries and opens up new business areas for everything to do with electromobility and intermediate energy storage ( Varta Storage ). The division includes the subsidiary Varta AG .

The Montana Metal Tech division, which emerged from the MNI Group, produces special machines for metallurgy and for aluminum wheel production. According to its own statements, it is the world market leader and includes the company Alpine Metal Tech .

The Montana Industrial Components division is the youngest of the four. It consists of the copper wire producer ASTA and the packaging manufacturer Aluflexpack .

In 2018, the company's total sales rose to 1.22 billion euros with an operating profit of 83.5 million euros.

history

Foundation phase

Montana Tech Components was founded in 2007 in St. Gallen . The aim of the company founded by Michael Tojner in the context of the Austrian private equity company Global Equity Partners was to create an industrial group through targeted acquisitions. The company group, which today comprises four divisions, was created within a few months in several time-overlapping steps.

The basis was the takeover of Varta Microbattery from Varta AG by Global Equity Partners, announced in October 2006 and completed in February 2007 . Associated with the takeover was the announcement of the intention to expand long-term investments in the industrial sector and to present a corresponding structure and concept in the following months.

Varta Microbattery GmbH initially remained in the possession of Global Equity Partners, but was assigned to the emerging Montana Tech Components Group from mid-2007. Varta Microbattery GmbH became the property of Montana Tech Components at the end of 2007.

The industrial group took concrete shape at the beginning of July 2007 with the takeover of the majority stake in the Alu Menziken Group directly by Montana Tech Components and the relocation of the headquarters from St. Gallen to Menziken a little later . With the takeover, the company's turnover doubled and the number of employees rose to 2,580.

The MNI group that emerged in 2004 from the merger between the Danish Magnemag A / S and the Austrian Numtec-Interstahl GmbH, in which Global Equity Partners had been involved since 2004, was also assigned to the newly created group of companies. The MNI Group became the property of Montana Tech Components in October 2007.

In 2010, Montana Tech Components consisted of three operating segments: “Aerospace & Industrial Components” (manufacture of aluminum components), “Metal Tech” (metallurgy) and “Varta Micro Power” (micro batteries).

An IPO of Montana Tech Components that had been planned in the meantime was canceled again and not rescheduled. In July 2011 Michael Tojner took over the operational management of the group from his predecessor Klaus Sernetz. In the same year a capital increase of 62 million Swiss francs was carried out at the stock corporation, which was rejected by some minority shareholders.

Takeovers since 2010

In 2011, Montana Tech Components bought Varta AG in order to merge activities in the battery segment under Varta Holding AG in 2012 . The new holding combined the Montana subsidiary Varta Microbattery with two manufacturers of special batteries , Varta Storage and Varta Microbattery Forschungsgesellschaft . Also in 2012, Montana Tech Components bought the Croatian packaging manufacturer Aluflexpack , which had previously been a subsidiary of the Carinthian bank Hypo Alpe Adria . Global Equity Partners acquired the Lower Austrian Asta Group, a manufacturer of copper wire, for Montana Tech. As a result of the Aluflexpack takeover, the company's turnover rose to a record result of 440.7 million euros in 2012. In 2013, Montana Tech took over the Austrian holding company EK Fin, thereby acquiring holdings in the automotive spare parts trade and mechanical engineering.

In 2013 Montana Tech bought Knorr, the “world market leader for rail testing technology” and incorporated the Austrian company into the Alpine Metal Tech division. In the same year Montana Tech took over the majority in the Swiss company Process Point Service , a manufacturer of pet food packaging, and integrated the new acquisition into Aluflexpack. This was followed in 2014 by the Frankfurt-based Gega Group , a manufacturer of flame cutting machines, and the steel construction company Koch H&K Industrieanlagen from Dillingen / Saar , both of which were incorporated into Alpine Metal Tech. In 2016 the Gega location in Wallau was closed, which was justified by the steel crisis.

At the end of 2014, Montana Tech expanded the range of Alu Menziken by taking over the Euromotive company from Salzburger Aluminum AG, which specializes in lightweight structures for the aviation and automotive industries. The company's turnover rose to 591 million euros in 2014.

In 2015 Montana Tech bought the French manufacturer of pharmaceutical packaging Eliopack and integrated it into Aluflexpack. In the same year, the Brazilian copper wire manufacturer PPE with 350 employees was integrated into the subsidiary Asta.

IPOs

The initial public offering of the subsidiary Varta, which was actually planned for November 2016, was postponed due to the "unfavorable market environment" and was finally carried out in October 2017. The proceeds from the 13.34 million shares issued on the Frankfurt Stock Exchange amounted to 150.5 million euros, around 65 percent of the shares remained with Montana Tech Components. In June 2019, a capital increase of 104 million euros was carried out, with the help of which, according to Montana Tech, the production capacities for lithium-ion batteries are to be expanded. Also in June, Montana Tech bought back the household battery business (Varta Consumer), which had been split off, in order to reintegrate it into Varta AG.

At the beginning of June 2019, Montana Tech Components announced that they wanted to go to the SIX Swiss Exchange with Aluflexpack that same month . The IPO took place on June 28 and generated proceeds of 153.3 million Swiss francs, with Montana Tech retaining a narrow majority of the shares.
