ORLEN Lietuva (formerly Mažeikių Nafta ) is a Lithuanian oil company near Mažeikiai in the north-west of the country. Around 1,300 people are employed. In 2015, it had sales of $ 4.14 billion.

history

ORLEN Lietuva owns the only refinery in the Baltic countries. This was built during the Soviet Union and started production in 1980. Among other things, it produces fuels under the Ventus brand, heating oil and bitumen . Its annual capacity is 12 million tons of crude oil processing.

In 2000 a program to adapt to EU fuel standards was started. In 2000 there were 3,434 employees. In 2005 Mažeikių Nafta processed 9 million tons of crude oil. 44 percent of production goes to Western Europe, 21 percent to the USA.

The Mažeikių nafta joint-stock company was formed on March 28, 1995 through the transformation of the previously state-owned Nafta. 90 percent of the shares issued were transferred to the state treasury and the rest to employees.

In 1998, as part of the state privatization program , Mažeikių nafta merged with the operator of the Butingė Būtingės nafta terminal and the operator of the Lithuanian oil pipelines Naftotiekis . In October 1999 Williams International took over 33 percent of the shares in Mažeikių nafta from the state.

In July 2002, the government signed a contract with Williams International and Yukos , which gave Yukos 26.85 percent of the shares in Mažeikių Nafta. In September 2002, Jukos acquired a further 26.85 percent of the shares and the associated voting rights from Williams International through its subsidiary Yukos Finance BV.

On May 25, 2006, a court in New York lifted Yukos's blockade of disposal of Mažeikių Nafta's shares, clearing the way for a sale. The oil companies PKN Orlen (Poland), KazMunayGas (Kazakhstan), Lukoil and TNK-BP (both Russian) have applied for 53.7 percent of the shares that Yukos holds . On June 9, 2006, PKN Orlen agreed with the Lithuanian government to purchase its 30.66% stake in Mažeikių Nafta for $ 852 million. At the end of May 2006, PKN Orlen also signed a purchase agreement with Jukos.

On December 15, 2006, the governments of Poland and Lithuania finally sealed the sale. PKN Orlen will pay Yukos $ 1.49 billion for 53.7% of the Mažeikių shares. It is the largest investment in the refining sector in Central Eastern Europe in recent years. Two representatives of PKN Orlen have been appointed to Mažeikių Nafta's supervisory board: PKN-Orlen CEO Igor Chałupec and Piotr Kownacki. Chałupec was appointed chairman of the board of Mažeikių Nafta.

Since July 31, 2009, Krystian Pater has succeeded Marek Mroczkowski as Chairman / General Director of Mažeikių Nafta.

On September 1st, 2009 the company was renamed to ORLEN Lietuva .

Economic indicators

Since it was acquired in 2006, the refinery has invested $ 3.5 billion (as of December 2015). ORLEN Lietuva has considered selling the company several times in the past due to recorded losses . In November 2015, then Minister for Economic Development Mateusz Morawiecki decided against it during a visit to Vilnius .
