history

Sanacorp emerged from numerous mergers and acquisitions from the purchasing cooperative Württembergischer Apotheker (EGWA) founded on July 29, 1924 in Eßlingen am Neckar . With effect from January 1, 1990, the two largest pharmaceutical wholesalers organized on a cooperative basis, EGWA Apothekergenossenschaft eG , Asperg , and Wiveda eG , Planegg near Munich, merged. At that time the EGWA had a turnover of almost 1.5 billion DM, 3,100 members and 2,000 employees, while Wideva had a turnover of just under 1 billion DM, 2,800 members and 1,750 employees. For reasons of antitrust law, the stake in Andreae-Noris Zahn AG (ANZAG) had to be limited to 24.9%. The shares were sold to PAG Pharmaholding AG .

In 1992 the company was renamed Sanacorp eG Pharmazeutische Großhandlung. The outsourcing of the operative business to the Sanacorp Pharmahandel AG took place in 1995. In the spring of 1996, the Sanacorp concluded a strategic partnership with the largest pharmaceutical wholesaler in Austria, Herba-Apotheker-AG, and acquired around 27 percent of the company's share capital. On October 25, 1996, Sanacorp Pharmahandel AG went public. Two million preference shares with a nominal value of DM 5 were issued at a price of DM 35. The issue was oversubscribed 37 times. After the IPO, the Sanacorp cooperative held 100% of the voting rights ( common shares ) and 75.06% of the capital.

In 2001, Sanacorp tried to take over its competitor ANZAG, but failed due to resistance from the Federal Cartel Office . The legal dispute was ended by a judgment of the Düsseldorf Higher Regional Court in October 2006. The merger control proceedings were one of the longest in the history of the Federal Republic of Germany. At this point in time, Sanacorp held a 24.99% stake in ANZAG. In October 2010 the stake was sold to Alliance Boots for around 69 million euros.

The operational business of Sanacorp Pharmahandel AG was brought into the newly founded Sanacorp Pharmahandel GmbH retrospectively as of January 1, 2007, which in turn - together with the French pharmaceutical wholesaler CERP Rouen SAS (which has been called astera SA since autumn 2008 ) and the Belgian CERP SA - in Millennium SpA, based in Bologna , Italy. Sanacorp AG was renamed Sanacorp Pharmaholding AG and now holds 50% of the shares in Millennium. Millennium SpA was renamed Sanastera SpA on June 10, 2010 . Sanastera is a member of the Sociedad Europea de Cooperaciòn Farmacéutico (SECOF) cooperation that was founded in 2000 .

On January 1, 2009, vdLinde-Arzneimittel GmbH was taken over by Sanacorp Pharmahandel GmbH. The application for takeover was approved by the EU Commission on March 4, 2009.
