The Sorin Group was an Italian company in the medical technology sector based in Milan . The product lines included a. Heart valves , oxygenators , cardiothorax accessories, data monitoring, heart-lung machines , autotransfusion systems and cannulas as well as blood management products.

On February 26, 2015, Sorin and US Cyberonics announced that they were planning a merger of equals. Cyberonics shareholders will hold 54 percent of the new company and the previous Sorin shareholders 46 percent of the new company based in Great Britain , which will operate as LivaNova PLC. The CEO of Sorin Group André-Michel Ballester will perform the same function in the new company, while the CEO of Cyberonics, Dan Moore, the Board chairmanship ( Chairman of the Board will take over).

history

Sorin is an acronym for Società Ricerche Impianti Nucleari (Society for Nuclear Research). It was founded in 1956 by Fiat and Montedison to enable the commercial use of nuclear energy in Italy . At the time, the company had no ambitions to enter the medical field.

With the nationalization of the energy supply in Italy, the company changed its name to Sorin Biomedica (Fiat Group). The company's focus was no longer on nuclear research, but on technology development in connection with medical technology. Within three years, the company managed to transform itself into a self-sustaining, profitable company.

In 1992, Sorin Biomedica, Shiley acquired Pfizer 's cardiovascular device division . With the takeover, Dideco was also taken over, at the time the European market leader for extracorporeal blood circulation and autologous blood transfusion . In Germany, Stöckert Instrumente was incorporated into the company; today the Sorin Group Deutschland GmbH.

In 1997, the group sold the immunodiagnostics division as the development of the division would have required massive investments in research and development in order to keep pace with technological developments. Furthermore, there were no synergies with the cardiovascular medical technology group, which had become the core business of the group after the Shiley takeover.

In May 1999, Sorin Biomedica bought its main competitor, Cobe Cardiovascular (cardiac surgery), a Denver, United States company. With this takeover, Sorin Biomedica was the global market leader in cardiac surgery .

In May 2001 the group acquired Ela Medical from Sanofi for EUR 140 million . The company with production facilities in Paris strengthened the Group's position in the field of cardiac rhythm management (pacemakers and implantable defibrillators).

In April 2002, the group acquired Dialinvest , a French company specializing in the manufacture of dialysis solutions.

In January 2003 the group acquired CarboMedics Group ( Centerpulse ), a US manufacturer of mechanical heart valves in Austin, Texas .

In January 2004 the Snia Group sold the shares in the Sorin Group, which is managed by the holding company Sorin SpA. The new company has since been listed on the Italian stock exchange.

On February 19, 2013, the takeover of Alcard Industria Mecanica from São Paulo was announced. Alcard is a manufacturer of heart-lung machines and disposables for the Brazilian market.

In 2011, the Sorin Group's sales amounted to EUR 743 million, while research and development expenses were just under EUR 70 million.

Administration, manufacturing and development locations

Sorin has production and development sites in the following countries:

Germany

Medical devices (heart-lung machines, autotransfusion systems and hypothermia devices) are developed and manufactured at the Munich site . The current location was relocated on November 24, 2000. In 2014 the plant was expanded to a total of 11,000 m².

The origins of Sorin Group Deutschland GmbH go back to August Stöckert. From 1940, the company dealt with the repair and custom-made manufacture of surgical instruments. In 1973, the development and production of the first modular heart-lung machines began and "Stöckert Instrumente GmbH & Co. KG" was founded by Friedemann Stöckert (1941–2016), the son of August Stöckert. Until the 1970s, the company was located at Fürstenstrasse 12 in Munich. Afterwards there will be a move to Osterwaldstraße 10. In 1980, the product range was expanded by taking over Medi-Globe CardioPlast in Ludwigsstadt . The structure of the overall company created in this way now made it possible to manufacture customer-specific products in addition to an extensive standard program. In 1983, Stöckert was taken over by Shiley Inc. from Pfizer . In 1992 Pfizer sold Stöckert to Sorin Biomedica SpA. In 2005, Stöckert Instrumente GmbH was renamed to today's Sorin Group Deutschland GmbH.

Italy

The Saluggia site is the oldest of the Sorin Group, as nuclear research started here in 1956. Heart valves and pacemakers are manufactured at the site today.

At the Mirandola site , u. a. Manufactured disposable items for autotransfusion systems and oxygenators. With over 700 employees, the site is the largest Sorin site. On May 20 and 29, 2012, the plant was hit by several severe earthquakes. Some buildings were badly damaged. However, there was no personal injury.

France

The location in Clamart was relocated on June 10, 2010. The development department for pacemakers is located in this new complex with 9200 m² of floor space. The production for pacemakers (electronics) is housed on around 3200 m².

United States

On May 18, 1999, what was then Sorin Biomedica SpA took over the activities of COBE CV in Denver from Gambro AB . Disposable items such as oxygenators and hose sets for the American market are manufactured in Denver.

The site in Arvada has existed since 1964 and employs 39 people with annual sales of 4 million US dollars. As in Denver, this facility was a former part of COBE Cardiovascular Inc.

Canada

The group employs around 250 people in Burnaby . The company in Canada was founded in 1982. Before the takeover by the Sorin Group, the company operated under the name CarboMedics. As at the Saluggia site, heart valves are manufactured here.

Brazil

Heart-lung machines, oxygenators and tube sets for the South American market are manufactured in São Paulo .

Competitive environment

The total market volume in the HLM, Oxygenator and ATS segment is around € 1.3 billion (2012). In the heart valve area, the volume is around € 1.1 billion (2012) and in the pacemaker area around € 4 billion (2012).
