The Ergo Group Aktiengesellschaft (own spelling ERGO ) is an international insurance group based in Dusseldorf busy, the approximately 28,500 full-time employees worldwide. There are also around 12,000 full-time representatives. Ergo belongs to Münchener Rückversicherungs-Gesellschaft Aktiengesellschaft in Munich (Munich Re), one of the world's leading reinsurers . With current income from insurance premiums of around 19 billion euros, the Ergo Group is one of the largest primary insurers in Germany and Europe in 2018 .

The Ergo Group and its subsidiaries are active in all areas of primary insurance. These include the areas of life insurance , composite insurance (property, accident and legal protection insurance ), health insurance and travel insurance .

In addition to its home market of Germany, it operates in around 30 other European and non-European countries; the focus of non-European business is in Asia.

In the German market, the Ergo Group is trying to promote the direct insurance sales model more strongly with the group restructuring in 2016. The group is increasingly relying on the Internet as a sales channel.

Since 2017, the business with products for old-age provision has been bundled in Ergo Vorsorge Lebensversicherung AG.

The capital investment activities of Ergo and its parent company Munich Re are bundled in MEAG Munich Ergo Assetmanagement GmbH . It was founded in 1999 and is based in Munich.

Four subordinate holding companies are united under the umbrella of the Ergo Group, which divide the business activities of the group under the aspects of geography and distribution channel: Ergo Deutschland AG, Ergo International AG, Ergo Digital Ventures AG and Ergo Technology & Services Management AG.

Ergo life

The Ergo Versicherung AG is the largest life insurers in the ErgoGroup. It was created in Mannheim in 1899. In 1912 it was renamed Hamburg-Mannheimer Versicherungs-AG and the company's headquarters were relocated to Hamburg. The current name was changed in 2010.

Ergo Digital Ventures AG

Ergo Digital Ventures AG primarily unites the subsidiaries that operate in the areas of direct insurance and digital business under one roof. It bundles the group's efforts towards digitization in insurance.

Ergo direct

The Ergo direct insurance have until April 2019 developed insurance products for direct and online sales and marketing. With this distribution model, there were no local insurance agencies and agents. Customers and insurance companies communicated directly via the Internet or by telephone. As part of the merging of brands and sales channels, the Ergo Direkt brand will be gradually integrated into the Ergo brand in 2019. There are three companies in the external relationship.

Ergo Direkt Versicherung AG, founded in 1985 as Quelle + Partner, is responsible for the area of ​​composite insurance. It offers property insurance, accident insurance and legal expenses insurance.

Nexible insurance

Nexible is the purely digital provider of the Ergo Group. The nexible Versicherung AG is a risk taker and holds several insurance licenses. It was created in 2017 when Neckermann Versicherung AG was renamed. The nexible GmbH is agent and accepts on behalf of the nexible Versicherung AG pricing and product development, sales and marketing, customer service and claims management. It also develops the underlying software platform.

Nexible offers insurance products and services for particularly internet-savvy customers. The business model provides for a high degree of automation along the value chain as well as fully digital communication with the customer, both in the purchase process and in service and in the event of damage.

In October 2017, Nexible launched auto insurance as the first product.

The Ergo Insurance Group (since 2016 Ergo Group) was created in 1997/1998 through the merger of the two large German insurance groups Victoria Holding and Hamburg-Mannheimer Holding. Victoria merged with Hamburg-Mannheimer, which had previously been renamed Ergo Versicherungsgruppe AG. Munich Re played an important role as the majority owner of Hamburg-Mannheimer and as a minority owner of the Victoria Group. Munich Re brought two more insurance companies into the group, in which it held the majority: DKV Deutsche Krankenversicherung in 1997 and ERV Europäische Reiseversicherung in 2009.

1853 to 1997: Victoria Group

The parent company of the Victoria Group was the Allgemeine Eisenbahn-Versicherungs-Gesellschaft , founded in Berlin in 1853 , which initially offered transport, life, accident and fire insurance for rail traffic. After the business was expanded to include general life insurance in 1860, the company was renamed Victoria zu Berlin Allgemeine Versicherungs-Actien-Gesellschaft in 1875 . 1899 to 1997: Hamburg-Mannheimer concern

The parent company of the Hamburg-Mannheimer group was the Vita Versicherungs-Actien-Gesellschaft , which was founded in Mannheim in 1899. After the shares were taken over by the Hamburg insurance company in 1911, Vita moved its headquarters to Hamburg in 1912 and changed its name to Hamburg-Mannheimer Versicherungs-Aktiengesellschaft . The core business of the company in the decades to come was life insurance. In 1932, the company acquired the majority of the German health insurance (DKV) founded in 1927 . In 1975 the Nord-Deutsche and Hamburg-Bremer Versicherungs-Aktiengesellschaft was taken over and renamed Hamburg-Mannheimer Sachversicherungs-Aktiengesellschaft ; it became the Group's property insurance company. In 1979 the group entered the legal protection insurance sector with Hamburg-Mannheimer Rechtsschutzversicherungs-Aktiengesellschaft. In 1992, Munich Re acquired a majority stake in the parent company.

From 1855: Early work abroad

Important predecessor companies of the Ergo Group were active abroad at an early stage. In particular, the Hamburg-Bremer Feuer-Versicherungs-Gesellschaft and the Nord-Deutsche Versicherungs-Gesellschaft , both later part of the Hamburg-Mannheimer Group, opened numerous agencies abroad as early as the 19th century, especially overseas. Hamburg-Bremer founded agencies in Copenhagen, Christiania (now Oslo), St. Petersburg and on the then Danish Caribbean island of St. Thomas as early as 1855; Honolulu and San Francisco followed in 1857. In the decades that followed, the company expanded into over 40 states and colonial territories. After the great earthquake in San Francisco in 1906, the Hamburg-Bremer settled damages amounting to almost 8 million Reichsmarks. Before 1914, the North German Insurance Company also operated agencies at many trading centers around the world. The world wars put an end to these activities. After 1945, both companies gave up their foreign ambitions.

Victoria Versicherung also expanded abroad at the end of the 19th century, but initially remained focused on Europe. After these businesses had also come to a standstill due to the Second World War, Victoria resumed its international activities in 1959.

1997 to 2010: Ergo Insurance Group

Creation of the Ergo Group

The reasons for the merger of the Hamburg-Mannheimer and Victoria groups were the concerns of the listed Victoria Holding about a takeover from abroad and the difficult business environment in the industry in view of increasing market concentration due to a series of large mergers at home and abroad. For Munich Re, as the majority owner of the Hamburg-Mannheimer group and minority owner of the Victoria group, the opportunity to consolidate and coordinate its large holdings in primary insurance business seemed interesting against this background.

The general meetings of both holding companies at the beginning of December 1997 approved the merger with a large majority. The respective subsidiaries of the two holding companies were retained and continued to operate under their brand names Victoria, DAS, Hamburg-Mannheimer and DKV.

One Victoria registered share could be exchanged for ten Ergo bearer shares . Victoria Holding AG disappeared from the stock exchange on February 2, 1998 after the transaction was completed; its place in the MDAX was taken by Ergo Versicherungsgruppe AG.

On April 1, 2001, the majority shareholder Munich Re announced an exchange offer for Ergo shareholders, according to which two Ergo shares could be exchanged for one Munich Re share plus a cash payment of EUR 18. After the offer expired in July 2001, the Ergo share was eliminated from the MDax due to the reduced free float. In 2010 the general meeting of today's Ergo Group decided to transfer the shares of the minority shareholders of Ergo Versicherungsgruppe AG to Munich Re. Munich Re thus became the sole owner of the group.

Takeover of KarstadtQuelle Insurance

In 2002 the Ergo Group joined KarstadtQuelle Insurance and took over the company completely in 2008. As a result, the business was expanded to include direct insurance.

The life insurer KarstadtQuelle Insurance was founded in 1984 as Quelle + Partner Insurance and was renamed Ergo Direkt Lebensversicherung AG in 2010.

Integration of the European Travel Insurance (ERV)

In 2009, Munich Re brought its subsidiary Europäische Reiseversicherung (ERV; now Ergo Reiseversicherung ) into the Ergo Group.

ERV was founded in 1907 with the participation of Munich Re as a European goods and luggage insurance company in Budapest. The Berlin branch was converted into an independent German insurance company in 1919. In 1974 the company was renamed Europäische Reiseversicherung AG.

With the integration of ERV, the Ergo Group received another pillar in the form of travel insurance.

2010: New brand structure

In 2010 the Ergo Insurance Group reorganized its brand structure . The traditional brands Victoria and Hamburg-Mannheimer were abandoned and partly replaced by the new Ergo brand and partly by the DAS and DKV brands. The subsidiaries previously operating under the names Victoria or Hamburg-Mannheimer were renamed or merged with other companies. The brand name KarstadtQuelle also disappeared and became Ergo Direkt .

This resulted in a new brand and business allocation: Life insurance was offered by Ergo Lebensversicherung , property and accident insurance from Ergo Versicherung , legal protection insurance from DAS , health insurance from DKV , travel insurance from ERV and direct insurance from Ergo Direkt . In 2015 DAS AG was incorporated into Ergo Versicherung AG - the DAS brand name was retained.

The introduction of the new Ergo brand was accompanied by a large advertising campaign under the motto “To insure is to understand”. In 2010 alone, 50 million euros were spent on this.

2016: Change of name to Ergo Group AG

In 2016 a new structure was decided for the ERGO Group, which should take into account the internationalization of the business. The holding company Ergo Versicherungsgruppe AG was renamed Ergo Group AG. Under this roof, a new level with three new, subordinate holding companies was created: Ergo Deutschland AG was responsible for business activities and subsidiaries in Germany, Ergo International AG bundled the group’s international activities and Ergo Digital Ventures AG became the new framework for all digital and direct activities.

2019: Bundling brands and sales channels

At the end of March 2019, Ergo announced that it would transfer the Ergo Direkt, ERV and DAS brands to the Ergo brand. The previously separate websites of Ergo Direkt and Ergo were merged at the beginning of April, thus bundling the sales channels under the Ergo brand. The Ergo Direkt brand name was also incorporated into the Ergo. The Europäische Reiseversicherung (ERV) has been operating as Ergo Reiseversicherung since its name was changed on May 7th. The legal protection brand DAS in Germany was transferred to the Ergo brand in September of that year. DKV Deutsche Krankenversicherung AG is not affected by the merger of brands. The companies of the Ergo Group are committed to climate protection together with the parent company Munich Re. The Munich Re Group's corporate responsibility strategy justifies this commitment by referring to the risks of climate change, the economic consequences of which would directly affect an insurance group.

Ergo therefore promotes the use of climate-friendly solar energy in underserved regions in Africa and supports the development of innovative business ideas for climate protection. In India, farmers can protect themselves against crop failures with weather insurance from HDFC ERGO.

The group has made its business operations climate neutral since 2015. The German locations work with a certified environmental management system. Ergo insures companies against environmental damage and offers vehicle insurance for electric cars. In the case of solar systems, reduced income can be insured when there is little solar radiation.

  • The rating company Standard & Poor's gives ERGO Direkt Lebensversicherung AG an A + rating (with a stable outlook). Until 2007, ERGO Direkt, at that time still KarstadtQuelle Versicherungen, was rated BBB + (with a positive outlook); the upgrade took place after the company was reassessed within the Munich Re Group.
  • In the fairness ranking of Focus Money, ERGO Direkt 2013 achieved a “very good” rating. With regard to telephone advice to customers, ERGO Direkt was rated “excellent” by KUBUS.
  • In 2011, TÜV Saarland rated ERGO Direkt's service for the first time with the grade “very good”. On the basis of 1,680 customers surveyed, the “service tested” certificate was awarded. In May 2011 it became known that the HMI organization , a sales organization of today's ERGO Lebensversicherung AG, had invited the company's best sales employees and senior managers to a sex party in Budapest in 2007 as an incentive . The insurance company engaged both hostesses and prostitutes and marked the women with different armbands. The first to report about it was the Handelsblatt . The report received a lot of public attention, also because of the unfortunate temporal connection with a major advertising campaign that started in 2010. Ergo stated that the participants had been informed that, as with every incentive trip, they had to state a pecuniary benefit in their tax returns.

Because of the scandal, Jürgen Klopp , the coach of Borussia Dortmund at the time , suspended his advertising partner contract with Hamburg-Mannheimer. He had given motivational lectures for the HMI.

Ergo announced that the cost of the sex party in the amount of 83,000 euros had been claimed for tax purposes as business expenses (they reduce profit and tax burden). According to the documents, it was a seemingly normal event, and the costs were deducted as operating expenses. In total, the sex party had cost over 333,000 euros, including the 40,000–50,000 euros it contained for pimps and prostitutes from Ergo as business expenses.

In the course of the investigation, it became known that, according to witness statements, prostitutes had been hired as early as the 1970s as part of leadership seminars organized by the Hamburg-Mannheimer Inter-Organization on Lake Zurich. The costs were accounted for via the helicopter tours position .

In 2013, earlier press reports were confirmed by the book publication of a long-time manager's representative that Ergo continued to practice the principle of “sex at the expense of the insured as a reward” until 2011. The talk was of collective brothel visits and reward trips to a swingers club hotel in Jamaica.

Company response

After the allegations became known, the company set up a task force to investigate the matter with more than 100 employees. Many of the incidents that were publicly criticized in the further course of the affair were brought to light by the Ergo corporate auditing department itself. Initially, they wanted to keep the audit reports under lock and key, but in 2012 the company published a website with the results of the investigation.

In 2011, a full-page apology advertisement was placed in five national daily newspapers. It promised measures to prevent such errors in the future. In fact, the internal compliance rules were in some cases significantly tightened as a result. The new incentive guideline, for example, expressly prohibited visiting "establishments with erotic or sexual entertainment."

The company also tried to sue managers involved in travel planning and organization for breach of trust. The prosecution later closed the case against payment of a fee.

Criticism from consumer advocates

In 2019 consumer advocates expressed the assumption that Ergo's life precaution had tricked the accounting, which was due to financial problems at the Ergo subsidiary. The Ergo rejected these allegations as unfounded.
