The Praktiker AG was the listed holding company of several DIY chains in Europe. Sales lines in the main German market were Praktiker and extra Bau + Hobby (closed between October 31 and November 30, 2013) and Max Bahr (closed on February 25, 2014). The company recently achieved sales of around three billion euros per year with around 20,000 employees and has become well known with its advertising slogan “20% off everything (except pet food)”.
The company, founded in 1978, grew in contrast to most of its German competitors by buying up various small hardware store chains and building materials dealers. In addition, there was expansion into the new federal states and other European countries in the 1990s. After the withdrawal of Metro AG as sole or majority shareholder in 2005/06, the company got into an existential crisis and posted high losses over the years. Despite intensive efforts and substantial financial injections, the restructuring attempts failed.
On July 10, 2013, the company declared itself over-indebted and insolvent and on the following day filed for insolvency at the Hamburg District Court for the eight domestic subsidiaries Baumarkt Praktiker Deutschland GmbH, Baumarkt Praktiker DIY GmbH, Baumarkt Praktiker GmbH, Baumarkt Praktiker Online GmbH, Baumarkt Max Bahr Praktiker Purchasing GmbH, Baumarkt Praktiker Warenhandelsgesellschaft mbH, Baumarkt Praktiker Vierte GmbH and Baumarkt Praktiker Services GmbH. The application for insolvency for Praktiker AG was filed on July 12, 2013 at the Saarbrücken district court . Praktiker announced that the operation of all hardware stores should be maintained without restriction. The international business was not affected by the bankruptcy. On July 25, 2013 it was reported that Max Bahr had also filed for bankruptcy. The Praktiker and Extra stores were finally closed on November 30, 2013, and the Max Bahr stores followed on February 25, 2014.
In 2016, Christoph Kilz and Dirk Oschmann acquired the naming rights and opened a hardware store online shop under Praktiker.de , which has nothing to do with the former Praktiker company .
history
Praktiker as part of the Metro Group
Praktiker was founded in 1978. The first hardware store was opened in 1978 under the name bâtiself in Luxembourg . The parent company was the Saarbrücken-based Asko Deutsche Kaufhaus AG (today Metro). In 1979 Praktiker took over nine BayWa DIY stores in Germany and also opened four new stores. In 1982 the discount principle was gradually introduced. From 1985 onwards, expansion took place by taking over further DIY stores, the Wickes DIY stores and finally, in 1990, the Realkauf DIY stores . In 1991 the first store was opened in Greece. After almost 15 years, there was an adjustment in 1992. Metro Cash & Carry , which owned Massa Großhandels AG, split off the hardware store part and sold it to Praktiker. The body part was renamed Real Großhandels AG . The same was done with BLV (Bayerische Lagerversorgung) and Extra . The first steps towards the forthcoming merger and market shakeout were thus taken.
After taking over the smaller DIY stores BLV , massa , MHB , Huma and extra , Praktiker merged with Metro Cash & Carry to form Metro AG in 1995 as part of Asko Deutsche Kaufhaus AG . 1996 saw the takeover of further DIY stores from Bauspar and 1997 from Wirichs . In that year the first store was opened in Poland, followed by stores in Hungary and Turkey in 1998. The majority of Praktiker now belonged to the largest European retail group.
In 1998 Metro opened its 250th Praktiker store in Erfurt ; In 2003, the 25th anniversary of the Praktiker stores was celebrated. In 2000 further rationalizations followed and the takeover of 27 top home improvement stores. From 2004 to 2005 Praktiker continued to expand and opened its first DIY stores in Turkey, Bulgaria and Hungary. In 2002 Metro AG took over 100% of the shares and took the chain off the stock exchange ( delisting ) .
At the end of 2004 Praktiker, like Bauhaus , resigned from the Federal Association of German DIY, DIY and gardening stores, and re-entered in October 2010.
IPO, sale of real estate and Metro withdrawal
On November 22, 2005, Metro brought Praktiker AG back to the Frankfurt Stock Exchange , reducing its stake to 40.5%. At the same time, the company changed its name from Praktiker Bau- und Heimwerkermärkte AG to Praktiker Bau- und Heimwerkermärkte Holding AG . At an issue price of EUR 14.50, 34.5 million shares were issued using the greenshoe . The issue volume was thus 500 million euros, of which Praktiker remained as net issue proceeds after deducting all costs 111 million. The initial listing was 14.90 euros. The lead manager was the US bank JPMorgan Chase & Co.
On December 7, 2005, Metro sold its 53 Praktiker properties for 480 million euros to real estate investment company Curzon Global Partners . Finally, Metro AG announced in a mandatory publication on April 10, 2006 that it would part with its remaining share in the hardware store chain.
The goal of expansion in Eastern Europe was linked to the IPO. From 2006 to 2011 the share was listed in the MDAX index of the Frankfurt Stock Exchange. It was a member of the SDAX from September 19, 2011 to September 20, 2013 .
Takeover of the Extra hardware store
After Metro's Extra grocery stores were sold to Rewe, the Extra hardware stores were incorporated into Praktiker. In addition, smaller Praktiker branches were renamed Extra . Some extra markets were operated as franchises.
Takeover of Max Bahr
In February 2007, the Max Bahr chain , consisting of 77 DIY stores with around 3,200 employees, was taken over. Max Bahr appeared as a premium brand, Praktiker as a discount brand of the Praktiker holding company.
With the takeover, Praktiker hoped to raise its market share in Germany from 7.2% to over 9% and thus to catch up with the market leader Obi , which had a 9.7% market share. Furthermore, Praktiker expected synergy effects from 2008 (for 2009 over 20 million euros). The integration costs were estimated at 12 million euros. In addition to the operative business, Praktiker acquired a 24 percent stake in Max Bahr real estate company. Market observers had already observed a consolidation in the market for some time and also saw this in Praktiker's move.
Crisis from 2009
In March 2009 (at the beginning of an economic crisis ), Praktiker-Holding was the first German retail company to receive approval to introduce short-time working . This was introduced as part of a strict austerity program at the end of the month, initially in 84 stores with a total of around 4,000 employees, combined with a hiring freeze, a zero round in the salaries of executives, the reduction of the dividend for shares from 0.45 to 0.10 euros and a break in international expansion. With effect from March 31, 2009, the Berlin small space concept Max - the small hardware store of the Max Bahr sales line, was discontinued after around four years of trial run.
The chairman of the board, Wolfgang Werner, announced on July 20, 2011 that he would resign from his position.
Thomas Fox became the new CEO of the group on October 1, 2011. Josef Schultheis was also appointed as a member of the Board of Management on August 16, 2011, and he temporarily assumed the position of chairman until Fox took office in October. Both already worked together at Karstadt and were appointed by the Supervisory Board for two years. Thomas Fox was replaced on May 13, 2012 by former Hertie boss Kay Hafner.
After the loss-making years of 2010 and 2011, a restructuring program was decided. It was planned to move around half of the Praktiker stores to Max Bahr. By April 2013, 57 locations had been converted. The other Praktiker stores should also be comprehensively modernized. Negotiations about borrowing from Anchorage Capital Europe - which the board of directors had long described as having no alternative - were terminated at the end of August 2012. According to the board of directors, Anchorage continued to set further conditions that could not be met. Since then, talks have been going on with the Viennese private bank Semper Constantia, which together with the allied fund Maseltov held 14.97% of the Praktiker shares at the time; these came to a successful conclusion at the beginning of October 2012. On October 11, 2012, long-time chairman of the supervisory board, Kersten von Schenck, resigned from his position. For the Turkish subsidiary Praktiker Yapi Marketleri A.Ş. was filed for bankruptcy in February 2013 .
Between 2011 and the beginning of 2013, Praktiker is said to have paid around 80 million euros for consulting services, including a. to the management consultancies Roland Berger , Boston Consulting Group , McKinsey and the law firm Freshfields .
insolvency
On July 10, 2013, Praktiker AG declared that it was over-indebted and insolvent . On July 11th, the company filed for insolvency for eight daughters at the Hamburg District Court . The AG should follow shortly thereafter. The subsidiary Max Bahr filed for bankruptcy on July 25th. The international business was not affected. All locations should initially continue to be operated. On August 9, insolvency administrator Christopher Seagon announced that 51 stores, including three Extra-Bau + Hobby branches, would be closed by October 31 at the latest and, if possible, sold.
To save the company, the profitable subsidiary Max Bahr should be made the main sales line in Germany. 90 out of 170 Praktiker stores should be more focused and continued on discount. Around 30 million euros were missing for this renovation concept.
On September 4, 2013, the insolvency administrator announced that no investor had been found and therefore all Praktiker and Extra-Bau + Hobby branches had to be closed. Thus began the complete liquidation of the company. The sale in the remaining branches began on Friday, September 13, 2013 and was completed on November 30. According to the insolvency administrator, however, some branches could be continued under other brands, for example Bauhaus took over Germany's largest branch in Berlin-Wedding. In October 2013, BM Praktiker International GmbH sold its shares in the three Luxembourg “Bâtiself” branches to the DIY store operator CWA Sàrl. these were resold to Hagebau in December . Investor talks are already under way through other Praktiker subsidiaries. On October 25, sales began in 40 Max Bahr stores. Jens-Sören Schröder, the insolvency administrator responsible for parts of Max Bahr, announced the liquidation of the company on November 15, 2013 after the failure of a takeover by competitor Hellweg due to disputes over Max Bahr real estate. The Royal Bank of Scotland had requested a corporate guarantee from Hellweg, which the medium-sized company did not want to provide. Shortly afterwards, the Saarland retail chain Globus again expressed interest in Max Bahr and the purchase of the branches. A prerequisite for this, however, is an agreement with the owner of the houses, the Royal Bank of Scotland. Globus, which plans to continue operating 59 of the 73 Max Bahr branches (branches that have been reflagged from Praktiker to Max Bahr are excluded) under the old name and the headquarters in Kirkel , agreed on November 26, 2013 with the Royal Bank of Scotland to purchase the 59 branches. The contracts were still to be signed and should take place on November 27, 2013. On that day, however, it became known that the sale to Globus had failed and Max Bahr would be smashed. On February 25, the remaining Max Bahr stores closed, meaning that the Praktiker Group is no longer active on the German market.
Continuation of practitioners abroad
In February 2014 the Ukrainian Praktiker stores were sold to the Ukrainian investor Kreston Guarantee Group. The Romanian subsidiary SC Praktiker Romania SRL was bought by Search Chemicals SRL. Search Chemicals intends to continue operating the stores under the “Praktiker” brand. The Bulgarian subsidiary Praktiker EOOD is sold to Videolux Holding. The Swiss investor Papag AG bought the 24 locations of Praktiker Polska sp. z oo and intends to continue operating under the previous name. The Greek foreign subsidiary Praktiker Hellas AE Athens is managed by the Canadian Fairfax Financial Holdings Ltd. taken over, the operation is to be continued under the brand "Praktiker". The Hungarian subsidiary Praktiker Kft. Budapest was also taken over by the Swiss investor Papag AG in 2015. This means that there is only the Praktiker corporate headquarters at the old location in Kirkel.
In January 2016, the branches in Hungary at 19 locations with 1,100 jobs were taken over by the managing director Karl-Heinz Keth and the Hungarian Wallis Group. The DIY chain, which was in second place in 2016, will continue to be operated under the name “Praktiker” with an almost identical logo.
Structure and key figures
At the end of 2010, the Praktiker Group had a total of 438 stores (including 236 Praktiker branches, 17 extra Bau + Hobby and 78 Max Bahr stores) in ten countries (Albania, Germany, Luxembourg, Poland, Ukraine, Hungary, Romania, Bulgaria , Greece, Turkey) with almost 21,500 employees (full-time employees on an annual average, including more than 11,800 in Germany, almost 9,700 internationally) and a sales area of 2.9 million square meters (including 2.1 million square meters in Germany). He achieved a turnover of 3.5 billion euros, of which 2.5 billion euros in Germany alone. Compared to the previous year (in each case like-for-like), this was a decrease of 5.9% in total, 6.3% in Germany and 4.8% at Praktiker International. Broken down by sales line, Praktiker accounted for 1.680 billion euros (−8.4%) and Max Bahr 685.5 million euros (−0.7%). The equity ratio in 2010 was 41.4%.
Praktiker withdrew from Austria at the end of 2006; at last there were four locations in Vienna, Wiener Neustadt and Graz.
In 2012, the company posted sales of EUR 3,003 million and a loss of EUR 190 million. In 2011 there was a loss of 556 million euros on sales of 3,183 million euros. Debt rose in the same period from 351 to 491 million euros. The company employed almost 20,000 people.
Own brands
The Praktiker range also included several own brands, including Budget, Praktiker and Faust (across all ranges), HomeFit (furniture, tiles, interior decoration, lights), Alaska Platinum (lights), Fleurelle (garden tools, plants, fertilizers), and Outdoor (Bicycles, garden equipment, camping), and Sparkling (sanitary supplies). These brands have been for sale since 2014.

public perception
Since 2003, Praktiker has been advertising with the slogan Manfred Lehmann said: "20% off everything - except pet food ". According to the chairman of the board, Werner, the reason for the exception in pet food was initially that the discount would have caused the offer price to fall below the cost price , which has been prohibited since 1999 by the law against restraints of competition . Exceptions are possible, however, and the previous case law created a certain framework for interpretation that Praktiker used. In addition, the trading margin for pet food is now mostly over 20 percent, so that there is hardly any risk of a violation of this law. Later, the addition to the slogan, which has achieved a certain cult character, only served to impress and recognize the Praktiker brand ( corporate branding ), as an indication that the Praktiker hardware store also carries the marginal range of pet food, and as a psychological reinforcement of the main advertising message.
On June 17, 2008, the Saarbrücken Higher Regional Court ruled that Praktiker was no longer allowed to advertise with the slogan because it was " misleading ". The home improvement retailer offering namely Tchibo products as goods on consignment , which is excluded from discount offers. The Federal Court of Justice rejected a complaint against the revision of the company that had not been admitted . Praktiker then agreed with Tchibo that their products should be removed from the shop-in-shop shelves before the start of the 20% campaign and that these should be covered additionally. Thus the promotion could be continued.
As part of a realignment of the pricing strategy, the number of 20% promotions was roughly halved at the beginning of 2008, which, according to the company, led to a significant drop in sales that continued in 2009.
The spokesman for the “20% off everything” advertising campaign was the actor and voice actor Manfred Lehmann .
criticism
After a ruling by the Federal Court of Justice (Az .: I ZR 122/06 of November 20, 2008), the group was prohibited from continuing to advertise with the “20% off everything” slogan if they had offered individual items cheaper immediately beforehand. The Central Office for Combating Unfair Competition had sued the hardware store chain because they made some items from their range more expensive shortly before the discount campaign so that they could continue to be offered at the regular price during the discount campaign. The Federal Court of Justice saw this as misleading the consumer.
In May 2010 the Polish Cartel Office imposed a fine of around 9.4 million euros on Praktiker Polska Sp.z oo, Praktiker's Polish operating company, for illegal price fixing between 2000 and 2006.
