The Fresenius Medical Care AG & Co. KGaA legally established in Hof (Saale) and operating headquarters in Bad Homburg is a leading German provider of dialysis products and dialysis care for the over life-saving treatment for people with chronic and acute renal failure .

history

Fresenius Medical Care AG was created on August 5, 1996 through the conversion of the shelf company Sterilpharma GmbH, founded in 1975, into a stock corporation . At that time, what was then Fresenius AG took over the world's largest operator of dialysis clinics, National Medical Care from the USA , and brought it into Fresenius Medical Care AG with its own dialysis technology division.

On April 21, 2005, Fresenius Medical Care took over the Canadian company Haemotec, a manufacturer of concentrates for hemodialysis .

On May 4, 2005, Fresenius Medical Care announced that it would take over competitor Renal Care Group for US $ 3.5 billion . The acquisition was completed on March 31, 2006, subject to the conditions imposed by the US antitrust authorities.

On August 30, 2005, the Management Board and the Supervisory Board of Fresenius Medical Care AG proposed to the shareholders to convert the legal form from a stock corporation to a partnership limited by shares . This was carried out on February 10, 2006 following the approval of the shareholders.

On October 12, 2006, Fresenius Medical Care took over the phosphate binder division of Nabi Biopharmaceuticals and successfully completed the takeover on November 15, 2006.

On January 9, 2007, the company acquired a majority stake of 51 percent in the Taiwanese dialysis service provider Jiate Excelsior, making it the leading dialysis provider in Asia .

On November 29, 2007, Fresenius Medical Care acquired Renal Solutions, a home hemodialysis provider, for $ 190 million, of which $ 100 million was paid upon completion.

On June 30, 2010 Kraevoy Nefrologicheskiy Centr, a Russian operator of dialysis clinics, was taken over.

The acquisition of Gambro's peritoneal dialysis business was announced on August 26, 2010 and completed on December 27, 2010.

The dialysis services business was taken over by Euromedic on January 4, 2011 for 485 million euros. The acquisition was completed on July 1, 2011.

On December 1, 2011, Fresenius Medical Care took over all eight privately run dialysis clinics in Ecuador .

On February 29, 2012, the company acquired the US holding company Liberty Dialysis Holdings , which includes the two American companies Liberty Dialysis and Renal Advantage , for 1.7 billion dollars (1.31 billion euros) subject to conditions.

On February 26, 2019, the company announced the completion of the acquisition of NxStage Medical, Inc., following approval from US antitrust authorities.

German locations

The major German production locations include the Schweinfurt plant in Bavaria and the St. Wendel plant in Saarland. In the Schweinfurt plant, which opened in 1979, around 1200 employees manufacture dialysis machines; in the St. Wendel plant, which opened in 1974, around 1700 employees manufacture dialyzers and solutions for peritoneal dialysis. The legal seat of Fresenius Medical Care has been in Hof an der Saale since it was founded , but the operative seat is in Bad Homburg vor der Höhe . No employees are employed in Hof.

Conflicts

As the successor in title to Grace, the parent company of National Medical Care, Fresenius Medical Care paid US $ 115 million in damages for asbestos-related claims and back tax claims against W. R. Grace .

In the course of these legal disputes, it was alleged that the combination of National Medical Care and the dialysis division of Fresenius was fraudulent in order to get rid of Grace's liabilities (FMC Annual Report 2004, page 71).

The company has been a member of the DAX since September 20, 1999 . The largest single shareholder at the end of 2017 is Fresenius SE & Co. KGaA , which holds 30.6 percent of the capital. The rest of the shares are in free float .

Products

The company offers a wide range of products for chronic and acute hemodialysis as well as for peritoneal dialysis . This includes hemodialysis machines, dialyzers, dialysis solutions and other single-use products.
