The Upper Austrian Holding GmbH is the company in which the investment management of the province of Upper Austria is organized.

history

In the course of the 2000s, a comprehensive reform was carried out in Upper Austria in line with the paradigm of a leaner state (lean government) . This was influenced by the nationalization , transparency and disclosure debate for the administration and company management ( corporate governance ), the demands of Upper Austria. State Audit Office  (LRH) for efficiency, the state's declaration of intent on impact orientation (WOV 2015/2021), and newly created tools such as group taxation to facilitate bookkeeping for groups of companies (Tax Reform Act 2005). As a result, the state holding company was founded in August 2005 to bring together "all current and future holdings of the State of Upper Austria". It was not a matter of privatizing the state companies, but a pure summary of what was previously held directly by the state.

Before the restructuring, the state held shares to varying degrees in 32 companies and cooperatives, some of which comprised institutions that had been established in the course of the state's history, some as a result of spin-offs into private-sector structures, and some as newly established institutions to fulfill the tasks of local authorities. The savings due to the lean shareholding structure of around 7 million euros within 5 years were estimated. To date (as of 2012) not all investments have been integrated into the state holding company ( see below ).

Duties and business charges

The company's goal is "Realization and use of existing synergy potentials in the area of ​​the holding companies of the Upper Austrian state holding among themselves as well as in relation to the state administration and to holdings or corporations of the state of Upper Austria directly held by the state of Upper Austria." A "consistent strategic orientation and the achievement of synergy effects" had the Court of Auditors warned in a 2006 report in view of the "complex construction".

At the same time, it serves as an implementation body and decision-making platform for political intentions and goals, as well as a monitoring and control instrument. In particular, the hierarchy of the holding company provides the political decision-makers with information on the economic situation in the country and thus ensures transparency and budget accuracy through the disclosure obligations under company law . Because the supervisory board is made up of government members, the latter can retain ultimate responsibility. The holding works “in the interest and on behalf of the country”. The rights of the Landtag remain undiminished. Transactions of the holding company and its subsidiary holdings will continue to be submitted to the state parliament for resolution if the value limits are exceeded (as provided for in company law).

organization

It is organized in the legal form of a limited liability company , with the Province of Upper Austria as the sole shareholder . It is a pure financial instrument without operational tasks and consists (formally) of one person, the appointed managing director .

The supervisory board of the state holding consists of the members of the Upper Austrian state government . One member of each of the Landtag parties that are not a member of Upper Austria. Provide state government, and the state finance director take part in an advisory capacity.

The holding company has around 12,900 employees (as of 2012), almost half of the total for the state (around 28,000 together).
