The in Schlüchtern in the Main-Kinzig-Kreis in Hesse -based company Bien-Zenker GmbH produces and sells prefabricated houses in Germany .

The company, founded in 1906, is the parent company of the prefabricated house brands Bien-Zenker and Living Haus. In addition to the production and sale of prefabricated houses, which account for more than 90 percent of the total revenue, Bien-Zenker GmbH was active in the project planning and construction of residential complexes and commercial real estate. The latter activities have been handled by the newly founded sister company BINOVABAU since October 1, 2015.

Company history

In 1906 Heinrich Bien founded the company as a carpentry and sawmill in the Hesse-Nassau town of Birstein . The company founder came from a traditional family of carpenters , whose work is listed in a church document in Untersotzbach as early as 1791 . In 1962 the company was converted into an oHG and started building prefabricated houses.

After the conversion of the oHG into a stock corporation in 1983, Bien-Haus AG went public on May 5, 1994. From 1998 the company was listed in the General Standard .

In 1995, the BOS-Haus GmbH was founded as a subsidiary for the sale of interior houses . At that time, BOS worked closely with the DIY chain OBI and Bausparkasse Schwäbisch Hall . All shares in BOS Haus Vertriebsgesellschaft mbH were acquired by Obi and Schwäbisch Hall Immobilien GmbH with retroactive effect from January 1, 2001, and the headquarters of the sales subsidiary were relocated to Hanover. The production of the prefabricated houses continued to be carried out by Bien Haus AG and Bien-Zenker AG.

In December 1996 the prefabricated house factory in Schlüchtern was officially inaugurated.

On December 31, 1996, the shares in Zenker-Hausbau GmbH & Co. , Michelstadt , and Zenker-Hausbau GmbH & Co. , Veitsch, were taken over from Philipp Holzmann AG by Bien-Haus AG. The Bien-Zenker brand was created through the takeover. The wholly-owned subsidiaries in Hungary and Slovakia have also been part of the company since 1998 and 1999 .

In 1997, measured by sales of 341.8 million DM (in today's purchasing power: 237 million EUR), Bien Haus AG was third among German prefabricated house producers , behind WeberHaus (approx. 380 million DM) and Kampa-Haus . After a slump in sales in 1999, Bien Haus AG slipped to fourth place among German prefabricated house manufacturers after WeberHaus, Kampa-Haus and Schwörer Haus .

The year 2000 continued to be characterized by falling sales to 310.5 million DM. The number of completed houses also fell to 1161. At the same time, Bien Haus AG looked for partners who either joined Bien Haus or who Bien Haus could join.

The 2001 sales revenues fell further compared to the previous year to 137.7 million euros. In December 2001 Elk-Fertighaus AG from Schrems in Lower Austria became the new main shareholder of Bien Haus AG. The share held by Elk-Fertighaus AG was 30 percent; with the possibility of increasing the share to the majority. On the stock exchange, the exit of Bien Haus from the SMax became apparent, which was also completed in 2001.

A slight trend reversal in sales development emerged in 2002. This year sales increased to 153 million euros and almost reached the sales figure from 2000 before the euro changeover . 1422 prefabricated houses were completed. In the first year of the change of name from Bien Haus AG to Bien-Zenker AG, the Bien-Zenker brand became the company name in 2003, and the result from 2002 was almost achieved. 1456 prefabricated houses were completed for 145 million euros and a profit of 2.2 million euros was achieved.

In contrast to the increase in sales that began in 2002, 2004 began with a massive slump in sales. Now prefabricated houses have been sold for 129 million euros, with a loss of 3.6 million euros. With the abolition of the home ownership allowance on January 1, 2006, Bien-Zenker's sales revenues also came under further pressure. In 2007 the company recorded a loss of 4.7 million euros. The effects of the global financial crisis since 2007 also hit Bien-Zenker. Due to a massive drop in sales, the second plant in Michelstadt was therefore closed and the company concentrated all activities on the main plant in Schlüchtern.

A cooperation agreement with IKEA in 2010 should result in an increase in sales by up to 400 prefabricated houses. However, by 2012 just eight BoKlok houses had been built in Wiesbaden-Auringen .

On August 12, 2013 Elk-Fertighaus AG and Adcuram Fertigbautechnik Holding signed a purchase agreement for the 2,164,424 shares of Elk-Fertighaus AG in Bien-Zenker AG. After checking the purchase by the Federal Cartel Office , Adcuram Prefabricated Technology Holding was able to dispose of the shares on September 19, 2013. After signing the purchase agreement, Adcuram Fertighaustechnik Holding published a voluntary takeover offer .

Due to the difficult economic situation in the sawmill, Bien-Zenker decided on May 23, 2013 to shut down part of the sawmill in Birstein on December 31, 2013. This only affects the part of the log sawing operation, the further processing (planing mill etc.) is maintained.

In July 2013, Bien-Zenker AG decided to transfer all shares in Zenker Hausbau GmbH, Veitsch / Austria, 90% to DEIN-Haus Holding GmbH, Vienna, and 10% to Erich Weichselbaum, Elk-Fertighaus AG, Vienna , for sale. With this step, Bien-Zenker withdrew completely from Austria and concentrated more on the markets in Germany, Switzerland and the Benelux countries.

For the first time, Bien-Zenker built three model houses in the private home exhibitions in Frechen, Poing (near Munich) and Wuppertal in the new energy-plus standard , houses that generate more energy than they consume. Adcuram Fertigbautechnik Holding GmbH initiated the group merger with Bien-Zenker AG in December 2013. According to its own information, it holds around 88.53% of the share capital in Bien-Zenker AG. A squeeze-out of the minority shareholders was resolved.

In 2013, Bien-Zenker achieved sales of 133.3 million euros in the group, while 126 million euros were planned. The annual net profit in the group in 2013 was 5.1 million euros (forecast 3.5 million euros). This includes a deconsolidation gain of 2.2 million euros, which is mainly due to the sale of the subsidiary in Veitsch / Austria.

With effect from July 24, 2014, Bien-Zenker AG was merged with Adcuram Fertigbautechnik Holding AG, Munich (acquiring company). On the same date, Deutsche Börse was informed that trading on the regulated market of the Frankfurt Stock Exchange would have to be suspended immediately and that the corresponding listing would then have to be suspended. The stock exchange listing was discontinued in the course of the merger law squeeze-out, and on August 11, 2014 Bien-Zenker GmbH, Schlüchtern, was established.

With effect from November 6, 2014, Adcuram took over the prefabricated house manufacturer Hanse Haus, Oberleichtersbach, from Bayerische Hausbau from the Schörghuber Group , Munich. A transaction subject to antitrust approval. Hanse Haus has been on the market since 1929 and has built more than 30,000 prefabricated houses in Germany and abroad. Hanse Haus should continue to exist as an independent and independent brand.

After the log sawmill in Birstein was shut down at the end of 2013 , the management decided for strategic reasons to also close the planing mill and the finger-jointing facility on May 31, 2015.

On April 1, 2015, the BOS-Haus section was replaced by the new “Living Haus” brand. Under this brand and the associated sales company "Living Fertighaus GmbH", which is a wholly-owned subsidiary of Bien-Zenker GmbH, mainly finishing houses are sold.

On October 1st, 2015 the “Bien-Zenker Projektbau” department was spun off as an independent company, “Binovabau GmbH”.

In 2017, all of Adcuram's shares in Bien-Zenker GmbH were taken over by the private equity company Equistone.

Holdings

Living Fertighaus GmbH has been a sister company and the finishing house brand of Bien-Zenker GmbH since 2015. The prefabricated houses are manufactured in the main factory of Bien-Zenker GmbH in Schlüchtern in East Hesse.

There are close collaborations with Obi and Twercs from Vorwerk .

Awards

In 2013, the first prefabricated construction company was awarded gold certification by the German Sustainable Building Council (DGNB).

In 2014, Bien-Zenker received the sustainability certificate for one and two-family houses for sustainable building from the Federal Ministry for the Environment, Nature Conservation, Building and Nuclear Safety. The show house Celebration Pfullingen achieved first place among the participating projects. In 2015, the German Society for Sustainable Building awarded the Concept-M Munich model house with platinum certification.

In the Focus Money prefabricated house manufacturer test in 2016, Bien-Zenker was named the "Fairest Prefabricated House Provider".

In 2017, it took second place in Focus Money's sustainability ranking.

In addition, Bien-Zenker was named "Customer Champion" in 2017.

In the n-tv study “Prefabricated House Provider 2017”, Bien-Zenker was ranked third.

At the Plus X Award, Bien-Zenker was named "Most Innovative Brand of the Year 2017" and the Mülheim-Kärlich Model House was named "Best Product of the Year 2017".

Bien-Zenker won the plus-energy houses category at the German Dream House Award 2017 with the prefabricated house Evolution Günzburg.

The bavarian house brand Living Fertighaus is the winner of the German Dream House Award with the "Solution 230 Variant 4" model in the multi-generation houses category. and was awarded a Special Mention in the category "Building & Elements" at the German Brand Award 2017.

Cooperation with the Frankfurt University of Applied Sciences

As the main sponsor and cooperation partner of the “ Solar Decathlon Europe 2014”, Bien-Zenker supported the team of the Frankfurt University of Applied Sciences as part of the OnTop project with regard to densification and increase in urban areas .
