Vapiano SE , based in Cologne, is a listed system catering company founded in 2002 . In the chain's restaurants, Italian-style dishes are served according to the fast-casual principle . Around a third of the restaurants are operated themselves, but the majority are operated by franchise partners or as a joint venture .

Due to prolonged economic problems and ultimately also due to restaurant closings as part of the COVID-19 pandemic , the company had to announce its insolvency in mid-March 2020. On April 1, 2020, the restaurant chain filed for insolvency proceedings with the Cologne District Court .

history

In 2002, Mark Korzilius opened the first Vapiano restaurant in Hamburg's Neustadt district . A month later the company as a stock corporation under German law with the firm Mark's AG in the commercial register entered. In addition to Korzilius, who acted as sole director of the company, other investors were involved. The Italian architect and designer Matteo Thun also contributed to the conception . Among other things, he designed the interior of the restaurant. At the end of 2003 the founder Korzilius gave up his position as board member of the company, and it was renamed Vapiano AG. Following the example of the Hamburg parent company, the company opened other restaurants, for example in 2004 in Düsseldorf and in 2005 in Frankfurt am Main, Nuremberg and Munich. New restaurants have also sprung up in Hamburg.

At the end of 2005 the headquarters were relocated from Hamburg to Bonn. This was related to the opening of a restaurant in the Erich-Ollenhauer-Haus . In 2005, the company passed the ten million euro mark for the first time. From 2006 the company expanded increasingly abroad, including to Belgium, Austria and Turkey. At the same time, Vapiano began to work more closely with franchise partners in Europe. Following continuous growth in 2006 and 2007, the number of restaurants was over 30 in 2008 and 60 at the end of 2009. In 2011, Vapiano opened its 100th restaurant in Vienna. In 2017, the chain's 200th restaurant opened in Copenhagen , making it the first in Denmark .

The expansion of Vapiano also had an impact on the organizational structure: Since September 2008, the company has been trading under the name Vapiano SE. In 2011, the Mayfair asset management company acquired 40 percent of the Vapiano shares from Gregor Gerlach. He had already invested in the company in the founding phase, took over the shares of other shareholders and acted as chairman of the supervisory board . The main aim of Mayfair's participation was to support international growth.

The Sander family, heirs of the Wella company , had also acquired Vapiano shares in the meantime. The change in the shareholder structure led to the departure of long-standing board member Mirko Silz. His successor was Gerlach, who pushed the international expansion further. Under his aegis, for example, investments were made in the company's logistics . After ten years of business activity, the company had 118 restaurants and 7200 employees worldwide, including 50 restaurants and 3100 employees in Germany.

In 2014 Vapiano changed its strategy and opened new restaurants in smaller towns that are not operated as franchises. The company's growth slowed and profits plummeted; In 2015, there was also criticism of the company's expansion course. In mid-2015 Gerlach announced that he would be moving from the Executive Board to the Supervisory Board. In addition to the management board, Vapiano's supervisory board has also been replaced. The group has been operating in the red since 2016. In June 2017, Vapiano went public in the Prime Standard segment of the Frankfurt Stock Exchange ; the company was valued at around 550 million euros. In the course of the opening of the fifth Cologne restaurant, the Vapiano company headquarters with around 120 employees moved from Bonn to Cologne in the Rheinauhafen in November 2017 .

In February 2019, the media reported that the company was in a crisis. The sales targets were missed, the share price collapsed and the company expanded too quickly. As a result, expansion will be throttled, more branches will be operated by franchisees and unprofitable branches will be closed. In 2018, the company posted a turnover of 372 million euros and a loss of 101 million euros. The CEO Cornelius Everke announced his resignation in August 2019. After the economic situation worsened in the course of 2019 and finally extensive restaurant closings were necessary due to the COVID-19 pandemic , the company announced its insolvency at the end of March 2020 and filed for insolvency proceedings at the beginning of April 2020 . As a consequence, the Austrian subsidiary when requested, on 9 April 2020 Commercial Court of Vienna a reorganization proceedings . At the beginning of June 2020, 30 restaurants and properties were sold for 15 million euros to a consortium led by former Vapiano board member Mario C. Bauer. Assuming approval by the Cartel Office , Delf Neumann (Gastro & Soul GmbH, Cafe Del Sol GmbH) will be the future managing director of Germany.

Group structure

In 2014, Vapiano ran around three dozen subsidiaries, associated companies and joint ventures domiciled in Germany and abroad, in which Vapiano holds at least 50% of the shares. These included, for example, Vapiano Ltd. based in London and Vapiano USA, LLC based in McLean ( Virginia ).

Restaurants

In 2002, Die Welt described the first Vapiano restaurant as a “mixture of pasta bar, pizzeria, lounge and bar based on the Italian model”. Self-service is a key element of Vapiano's concept, but the company rejected the term “fast food restaurant”. The name Vapiano is made up of the Italian words va (“goes”) and piano (“slowly”). The company's slogan is the Italian proverb Chi va piano, va sano e va lontano (corresponding to the German “Good thing wants to be while”; freely translated: “Those who take everything in life relaxed and relaxed, live healthier and longer”). Except for bread and pastries, all dishes are prepared on site in the restaurants. This applies in particular to pasta, pasta and pizza sauces. Vapiano offers different types of pasta in its restaurants, which are freshly made every day.

The chain's restaurants are usually in central locations or in districts with many offices. From 2014, the first free-standing building for Vapiano was built in Fürth. Restaurants usually have between 25 and 60 employees and are up to 1000 square meters in size. Vapiano has been operating the world's largest restaurant with an area of ​​1,500 square meters since 2013 in The Mall shopping center in Wien Mitte station . With a total of ten locations, there are more restaurants in the chain in Vienna than in any other city. Distinguishing features of all restaurants in the chain are a long service counter, floors made of exposed concrete , large wooden tables, basket lights and Italian tile decors and, in newer Vapianos, a green wall made of real plants. There is also always an olive tree and a herb garden with basil and rosemary .

When customers enter a restaurant, they receive a chip card on which the data of all booked meals and drinks are saved. Antipasti, pasta and pizza were and are divided into different price groups at Vapiano. All dishes are prepared in front of the customer after the order has been placed ( front cooking ). After the food has been prepared, you can take it with you to a table of your choice. For pizza, customers receive a portable disc that flashes and vibrates as soon as the dish can be picked up from the counter. Customers pay for food and drinks when leaving the restaurant after handing over their chip card. In contrast to this, several branches have switched to not preparing the meals in front of the customers. Instead, you order and pay for your food immediately at a so-called order point (this can be a terminal or a counter with service) and you always receive a discus, as described above. The orders are then processed in the order they are received.

Locations

Vapiano hit 230 locations in at least 33 countries (including franchise partners) in early 2020, including Australia, China, Saudi Arabia and the United States. There are 55 restaurants in Germany. In April 2020 there were 17 restaurants in Austria that employed a total of 850 people. Three of these establishments, with 150 employees, were operated by franchisees. Donhauser is to take over 12 locations in Austria; this measure is intended to keep 500 employees in their jobs.

criticism

According to press reports, the restaurant concept “self-service and a hip meeting place” has met with criticism from some customers. The ordering process often consists of queuing while other customers are already being served. When there is more traffic, queuing is part of the Vapiano experience. If a coffee or dessert is ordered after the main meal, you have to queue up again at the counter. Since the prices with reduced service are not significantly below those of other Italians, the price-performance ratio is not favorable.
