The HSV football AG (formerly HSV Sport AG ) is a public company based in Hamburg , the share of Hamburger Sport-Verein e. V. , Kühne Holding AG , Helmut Bohnhorst , the heirs of the late Alexander Margaritoff and the Burmeister family. She runs the professional football department and the youth departments from U16 onwards at HSV. Your shares are not traded on the stock exchange.

HSV Fußball AG was founded on June 27, 1991 by the then HSV President Jürgen Hunke under the name "HSV Sport Aktiengesellschaft" (from 2009 "HSV Sport AG") and has since been registered in the commercial register at Hamburg District Court under number HRB 47576 . The aim was to obtain 36 million DM for the HSV by selling 36,000 shares for 1,000 DM , but this failed and was not implemented. She fulfilled a holding function for the subsidiaries and associated companies of Hamburger SV and was not operational.

Caused by a financial and sporting crisis, 86.9% of the members of Hamburger SV eV voted on May 25, 2014 as part of the “HSVPlus” reform model. V. for a spin-off of the licensed players' department into HSV Sport AG. HSV Sport AG was renamed HSV Fußball AG and became operational on July 7, 2014.

In September 2016, HSV Fußball AG placed a promissory note loan of 40 million euros on the capital market. It has a term until 2026 and earns interest at 5 percent per year. Of this, 25 million euros will flow back to Klaus-Michael Kühne, who had previously lent this amount to the AG to replace the stadium loan. The remaining sum is to be used to finance investments in the HSV campus and the Volkspark Stadium.

Share capital and shareholders

The share capital has been provided during the spin-off of the professional squad by issuing 400,000 new shares by 400,000 euros from 3.1 to 3.5 million euros increase . The Management Board is authorized (with the consent of the Supervisory Board) to increase the share capital for a maximum of five years after the amendment to the Articles of Association has been registered (on July 7, 2014) by issuing new registered shares at a nominal value of EUR 1.00 (nominal value shares) against contributions in kind or in cash to be increased several times, but no more than a total of 1,750,000 euros (so-called authorized capital ). After five capital increases from the authorized capital in 2015 (most recently on November 25, 2015), the share capital amounts to 4,086,322 euros. Up to 24.9 percent of the shares can be sold to strategic partners, from a sale of 25 percent the general meeting of the e. V. be interviewed. According to the 50 + 1 rule , the e. V. with a stake of at least 50 percent plus one share in the share capital majority shareholder of the AG at least as long as the rule is in force. Initially, the shares were fully acquired by Hamburger SV e. V. held.

On January 22, 2015, Klaus-Michael Kühne acquired 7.5 percent of the shares in the AG for EUR 18.75 million. On March 20, 2015, Helmut Bohnhorst acquired 1.5 percent of the shares for four million euros. In the same year, the entrepreneur Alexander Margaritoff, who died in May 2016, acquired a further 0.79 percent of the AG shares for 3.8 million euros. In February 2016 the brothers Gerhard, Heino and Maik Burmeister, together with their father Ernst Burmeister, who was killed in a robbery in September, acquired 1.5 percent of the shares for 4.03 million euros. In addition, an older loan from Klaus-Michael Kühne in the amount of 9.25 million euros was converted into a further 3.5 percent of the shares, so that he now owned a total of 11 percent of the shares in the AG.

At the end of April 2017, in order to secure the license for the first and second Bundesliga, Kühne announced that he would take over further shares in the AG as part of a capital increase by 312,500 shares, so that his share has since been 17 percent and the percentage of the other shareholders in the Adjusted share capital accordingly. In November 2017 it was announced that Kühne had acquired additional shares, so that his stake has since been 20.6 percent.

The supervisory board appoints the members of the management board and determines their number. The management of the company is incumbent on the board of directors. The current board consists of:

Supervisory board

The supervisory board consists of 5 members. The President of Hamburger SV e. V. is a born member , the other members are elected by the general assembly . In particular, the supervisory board is responsible for monitoring the management activities of the management board. A term of office lasts until the end of the general meeting that decides on the discharge for the fourth financial year after the start of the term of office, whereby the financial year in which the term of office begins is not counted (currently until the general meeting, which on the discharge of the financial year 2021 / 2022). Since its constituent meeting on February 6, 2018, the Supervisory Board has consisted of the following members; at the Annual General Meeting in June 2019, the Supervisory Board was expanded and Markus Frömming was elected as the 7th member of the body. On March 28, 2020, the previous chairman Max-Arnold Köttgen and e. V. Vice-President Thomas Schulz back from the committee.

The HSV Group

Subsidiaries

HSV Fußball AG had five subsidiaries . HSV Fußball AG held 99 percent of HSV Stadion HSV Vermögensverwaltungs-GmbH & Co. KG , which owned the Volksparkstadion . The remaining percentage was held by SPORTFIVE GmbH & Co. KG in trust until 2020. The reason for this was that Sportfive gave Hamburger SV a loan of 24.25 million marks when the stadium was being renovated and a rental guarantee . Its general partner was HSV-Vermögensverwaltungs GmbH , in which Sportfive also holds one percent in trust.

The operator of the Volksparkstadion was HSV-Arena GmbH & Co. KG , which u. a. also responsible for ticketing, sponsoring and merchandising and was a wholly owned subsidiary of HSV Fußball AG. Sportfive also held a 25 percent stake in its general partner, HSV-Arena Verwaltungs GmbH .

The companies were deleted from the commercial register in March 2016 and merged with HSV Fußball AG.

The currently only subsidiary is HSV-Campus gGmbH , in which HSV Fußball AG has a 75 percent stake. The non-profit GmbH is the owner of the HSV campus and rents it to HSV Fußball AG. Alexander Otto holds the remaining 25 percent . All surpluses go to charitable sports projects run by Hamburger SV e. V. benefit.
