The Prokon Renewable Energies eG (proper spelling PROKON , 2016 PROKON ), established in Itzehoe ( Schleswig-Holstein ) is the largest energy cooperative in Germany, with 39,000 members. The company primarily develops and operates its own but also third-party wind farms and has 362 of its own wind turbines in Germany and Poland with a total installed output of 663.7 megawatts (as of June 2018). After the turn of the millennium until 2015, it was also active in other areas of renewable energy and in the development of its own wind power plant. It also acts as an energy supplier by marketing the wind power generated .

The company, which was founded in 1995 as a corporation ( GmbH ), offered various forms of capital investment from 1998 and raised a total of 1.45 billion euros in debt capital until its insolvency in 2014, which received great public attention . In July 2015, the company was converted into a cooperative.

history

The company was founded on October 20, 1995 by Carsten Rodbertus , Ingo de Buhr and a third partner as a project planning office for wind turbines under the name Prokon Energiesysteme GmbH . The name originated as an abbreviation of Pro projects and Kon concepts. The company initially acquired limited partnership capital to finance its projects . From 2007 the financing was switched to profit participation rights. In the course of time, in addition to project development, other areas of responsibility such as the technical management of the wind farms and the sale of electricity to end consumers were anchored in the company.

On January 22nd, 2014, Prokon Regenerative Energien GmbH filed for insolvency proceedings . The Itzehoe District Court opened the standard insolvency proceedings on May 1, 2014. It ended with the conversion of the GmbH into a cooperative on July 24, 2015 and 42% losses for the creditors.

Business areas

Project development

The core business of Prokon is the development of wind energy projects. The company currently has project planning offices in Itzehoe , Mainz , Potsdam , Paderborn , Danzig and Vaasa . In response to the change in the EEG, Prokon changed the strategic direction of this area. In the future, the company will not only concentrate on expanding its own wind farm portfolio, but will also offer smaller civil societies as part of the new EEG 2017, e.g. B. Citizen's Energy Cooperatives , offers his support when planning new wind farms. The company can, for example, take over the planning and later the technical and commercial management of the wind farm for the cooperation partners.

Technical management

Prokon operates 63 wind parks in Germany and Poland with a total of 362 wind turbines. Of these, 317 are in Germany and 45 in Poland. The installed capacity is 663.7 megawatts. The company has been working in the field of maintenance and servicing of wind farms since 2007, regardless of the manufacturer after the warranty expires. To this end, Prokon has set up service support points near wind farms, so that a service team can be on site within a short time in the event of a fault.

Prokon electricity

Since 2013, Prokon has been selling electricity to private and business customers under the Prokon Strom brand with an annual consumption of 100,000 kWh. In order to increase the share of renewable energies in the German electricity mix, Prokon undertakes not to sell more electricity under this name than is produced in its own wind farms. At the end of 2016, Prokon Strom was certified as green electricity by EnergieVision and TÜV Nord . Prokon supplies more than 32,000 customers.

Former divisions

The first prototype of a wind turbine developed by Prokon itself, the P3000, was presented in August 2013 and erected in December 2013 at Krackow and Glasow. A second plant of this type was completed in January 2014. As part of the insolvency proceedings, the production of this system was stopped. Amperax, a subsidiary of Universal Utility International with Stromio as the largest operating company, will continue to develop and manufacture the system as the A3000.

Biogenic fuels

The Biogenic Fuels division existed until 2014 . It was about the production of biodiesel and vegetable oil in an oil mill in Magdeburg. Due to the insolvency-related focus on the core business, Prokon has separated from this division and sold the shares in Prokon Pflanzenöl GmbH to Glencore .

Biomass

Prokon said it had also expanded its activities to include the use of wood as a sustainable raw material. In this context, the company worked together with a wood processing company from 2010, the HIT Holzindustrie Torgau. From mid-2010, Prokon granted loans to HIT. The company also parted ways with this division due to insolvency.

Involvement of investors

Investor model

Since 1998 Prokon has been offering "ecological capital investments " as limited partner participation in closed wind farm funds. In addition, profit participation rights have been offered since 2003 . In 2007, the conversion of the business model to profit participation rights as the only participation option began. The limited partners of the closed funds were urged to sell or convert their participation into profit participation rights. The Schleswig Higher Regional Court declared this procedure to be illegal, and the limited partners were entitled to compensation in the context of a reversal.

The payment due in 2006 for the 2005 financial year was made belatedly to the private limited partners at the time , with reference to the weak wind yields , who then took legal action . The reason for the delay was the fact that the delivery times for wind turbines were up to two years longer than usual, as wind energy was experiencing a worldwide boom. In 2007, Prokon brought forward the pending payment of the distribution guarantee for the 2006 financial year and thus compensated for the interest disadvantage from the delay in the previous year, which some limited partners had complained about.

Prokon provided the participation of investors in the closed fund with a yield guarantee. The BAFin saw this as an unauthorized banking transaction and ordered the unwinding of the funds and the disbursement of investors. However, since the funds were over-indebted in their initial phase, Prokon asked for a delay: "Against this background, the company is currently unable to repay the equity capital to the limited partners by taking out new loans and lending assets."

Warnings from the press and consumer protection

As early as February 2010, the Berlin daily taz warned of the serious risks of Prokon's business model for investors: “Prokon investors believe they are investing in wind turbines and biogenic fuels,” Klaus Boe, an entrepreneur from the Sauerland, who in 2003 still considered himself to be a Shareholder bought into a Prokon wind power fund. “In fact, the money is lent to the Prokon profit-sharing rights company with a total risk of loss on the basis of trust, which then lends it to a barely transparent network of other Prokon companies.” Boe raised serious allegations: “The Prokon group does not generate any real profit. The money is pushed back and forth uncontrollably at Prokon ”. He thought the participation certificate model was essentially fraudulent: "Prokon operates a pyramid scheme that could crash completely in a few years and become one of the biggest scandals in the German wind industry."

In 2010, 2011 and 2013 the Stiftung Warentest pointed out the risks of the company's profit participation rights. At the request of the Hamburg consumer center , the Itzehoe regional court finally prohibited the Prokon company from misleading advertising in a judgment of March 15, 2011 ; in particular, investors would not be adequately informed about the risks of profit participation rights in an advertising flyer . The Schleswig-Holstein Higher Regional Court confirmed the judgment of the first instance in a judgment of September 5, 2012.

According to the Handelsblatt , Prokon did not generate a sufficient return on equity in its core business of wind farms with existing wind turbines in the first quarter of 2011 to service the payments of eight percent on profit participation rights, which have been constant since 2006; Prokon achieved the greater part of sales and higher profits with the development of new wind farms. It was about the question of the distribution of profits: Will these be generated by Prokon in real terms or, at least in part, will be paid for with the money of new investors.

Prokon put the loss carryforward at group level up to October 31, 2013 at 210 million euros, which resulted in negative equity of 171 million euros. In December 2013 the Stiftung Warentest referred to these business figures from Prokon. In the opinion of Stiftung Warentest, this will not remain without influence on the amount of the repayment claim of the profit participation rights, since the profit participation rights conditions allow a reduction in the claims in this case.

Insolvency of Prokon Regenerative Energien GmbH

In an investor information dated January 10, 2014, the Prokon announced that there was a risk of planned insolvency in January 2014, provided that the investors did not commit to at least 95 percent of the profit participation capital by January 20, 2014, this capital by at least October 31 To remain in the company in 2014 and to waive a termination. In the future, the disbursed funds should be made in installments and the interest accumulated .

On January 14, 2014, Prokon reported that the accumulated loss of the parent company Prokon Regenerative Energien GmbH, which issued the profit participation rights, amounted to EUR 167 million up to November 30, 2013 (after EUR 107 million up to August 31, 2013 or EUR 131 million . Euro until October 31, 2013). For the 2012 financial year, Prokon shows negative equity of EUR 110 million in the draft of the so far unaudited balance sheet at group level due to a loss of over EUR 171 million.

In a renewed appeal, the Prokon announced on January 16, 2014 that an insolvency advisor called in by the Prokon had come to the conclusion that terminated profit participation rights should be assessed as not due and, as a result, that the Prokon would receive 95 if the approval was not achieved Percent of the profit participation capital announced that the court should reject the bankruptcy petition.

The Federation of German Consumer Organizations V. (vzbv) , claimed on 16 January 2014 at the district court Itzehoe a decree on preliminary injunction , as exercised undue pressure on investors in his opinion in the investor information Prokon of 10 January 2014 and failed to fulfill the law against unfair competition in violation would. On January 22, 2014, the application was rejected by the Itzehoe Regional Court. On January 22nd, 2014 Prokon Regenerative Energien GmbH finally filed for insolvency at the Itzehoe district court. The lawyer Dietmar Penzlin was appointed as the preliminary insolvency administrator. According to his statements, approx. 480 employees are affected by the preliminary insolvency.

On March 19, 2014 it was reported that Prokon would lose around EUR 400 million. In addition, terminations of profit participation capital with a nominal volume of approx. EUR 400 million have now been issued. The extent of the loss was confirmed on March 21, 2014 by those responsible at Prokon. In a review of the processes, it was announced that the value of the profit participation rights is probably 70%. One of the reasons for the further increased loss is said to be the need for a write-off on the loan granted by Prokon to HIT Holz.

Rodbertus announced at the beginning of March 2014 that he wanted to found a “Prokon cooperative for a future worth living”. One goal of this cooperative is to take over projects from the insolvent Prokon Regenerative Energien. The legal form of the cooperative was later replaced in favor of an AG . On March 26, 2014, the Itzehoe District Court announced that it had imposed a general prohibition of disposal in order to secure the future bankruptcy estate and to clarify the facts. The previous managing directors of Prokon are no longer allowed to make any dispositions relating to Prokon. The preliminary insolvency administrator announced on April 1, 2014 that Carsten Rodbertus had been dismissed from his management duties at Prokon Regenerative Energie and all subsidiaries. The reason for the dismissal was that Rodbertus' activities for the Prokon cooperative for a future worth living and his recent remarks about Prokon left no room for constructive cooperation.

On April 4, 2014, the annual financial statements of Prokon Regenerative Energie GmbH for the 2012 financial year were published in the Federal Gazette. It emerged from this that the company generated a loss of EUR 128.8 million in 2012 and that the holders of profit participation rights had to compensate for this loss by reducing their repayment claims of EUR 106.9 million. The nominal value of the profit participation rights thus fell by around 10% at the end of 2012. The auditors refused to give the certificate, stating the relevant reasons.

The provisional insolvency administrator Penzlin informed on April 16, 2014 that insolvency proceedings for the Prokon would be opened in May 2014. On May 1, 2014, Penzlin announced that the company's preliminary 2013 annual financial statements showed a loss of around EUR 478 million and that unsecured creditors (including profit participation rights holders) would therefore likely have to waive more than 40% of their claims against Prokon. The company's founder and previous managing director Carsten Rodbertus and the previous sales manager Rüdiger Gronau had been terminated without notice.

The Itzehoe District Court opened the main insolvency proceedings on May 1, 2014 and appointed Penzlin as insolvency administrator. The court found in its decision that the Prokon was insolvent and overindebted. The court also came to the conclusion that parts of the profit participation rights violate the transparency requirement and are therefore invalid. Several investors lodged complaints against the decision of the Itzehoe local court to open insolvency proceedings against Prokon. As a result, the decision initially did not become legally binding. On July 15, 2014, the Itzehoe Regional Court rejected these complaints and stated that Prokon was insolvent within the meaning of the insolvency regulations.

On July 22, 2014, a creditors' meeting took place in Hamburg. At this meeting, the members of the creditors 'committee and the insolvency administrator were confirmed by the creditors present or by the creditors' agents. In addition, it was decided to commission the insolvency administrator Penzlin to draw up an insolvency plan. This should initially be available by the end of January 2015 at the latest. In February 2015, the insolvency administrator specified the further procedure. According to this, two different insolvency plans should be presented to the responsible district court in Itzehoe and the creditors in May 2015. These insolvency plans should then be voted on at a creditors' meeting on July 2, 2015.

Investigations in the course of bankruptcy proceedings

In early 2014, the Lübeck public prosecutor's office began investigations against former Prokon officials because of initial suspicions of fraud and the delay in bankruptcy. The insolvency administrator announced that he was having claims for damages against Rodbertus examined, in particular because of insufficiently secured lending. Furthermore, it should be checked to what extent a company-owned Cessna was illegally used for private purposes. Rodbertus justified the existing allegations regarding the Cessna by pointing out that the Cessna had been used as a company aircraft and had also been chartered out. The public prosecutor's office in Lübeck announced on July 15, 2014 that official investigations had been initiated against Rodbertus and other responsible parties on suspicion of bankruptcy and other offenses, which were expected to last a year. The insolvency administrator specified in a notification to the Prokon creditors that the public prosecutor's office would investigate fraud and breach of trust in particularly serious cases.

Emergence

In the legal form of GmbH, the investors were only involved as holders of profit participation rights. In addition, the profit participation right does not offer adequate information and participation opportunities . Consumer advice and independent financial advisers had already pointed out this problem before the bankruptcy.

At the beginning of 2014, the Association of Friends of Prokon e. V. with the aim of preventing the company's values ​​from being broken up and enabling the company to continue as a cooperative through the operation of existing wind farms and the sale of self-generated electricity. Both the former Prokon and the current cooperative and the association aim to promote the generation of regenerative energy as part of the energy transition.

Almost 12,000 owners of the former Prokon became members of the association. They represent a capital of over ¼ billion euros. Most of them are now members of the cooperative. Through intensive support during the insolvency, the voluntary association was able to successfully fend off an EnBW purchase offer of 550 million euros and, together with the insolvency administrator, put the company on a cooperative basis. After achieving the goal of founding the cooperative, the association has currently continued to support the cooperative and the “energy transition in the hands of the citizens”.

The vote at the second creditors' meeting resulted in a majority in favor of the cooperative insolvency plan. Parts of the profit participation rights claims were converted into cooperative shares in order to continue Prokon as a cooperative. Assets that are not part of the core business are to be sold through a collecting society.

Prokon as a cooperative

On July 23, 2015, Prokon joined the Rheinisch-Westfälischer Genossenschaftsverband (now the Cooperative Association - Association of Regions ). Among other things, the latter has the task of checking the business of the cooperative (mandatory cooperative audit). Shortly before the first ordinary general meeting of the cooperative on April 14, 2016, the new board members Henning von Stechow and Heiko Wuttke began their work. In May 2016, Prokon issued a listed bond for former profit participation rights creditors in accordance with the insolvency plan. In August 2016, two Romanian forests were sold to Ikea by the collecting society . Part of the sales proceeds will go to Prokon. In September 2016, Prokon received a rating from Euler Hermes on its own initiative . The issuer rating is then BB, the bond rating BBB-.

On November 9, 2016, the management board of Prokon announced that, contrary to the original expectation of a small profit, a loss in the mid double-digit million range can now be expected for the 2016 financial year. This was justified with the changed political framework conditions in Poland and, despite successful capacity expansion and, according to the company's own statements, high technical availability, nevertheless below-average wind yields. On April 26, 2017, the company announced that the deficit for the 2016 financial year was EUR 75.7 million.

Together with the loss carried forward of 8.9 million euros from the short financial year 2015, the balance sheet loss in 2016 for Prokon eG was 84.6 million euros, consolidated for the Prokon Group 88.9 million euros. For 2015 the balance sheet loss of Prokon eG was 8.9 million euros, for the group 14.2 million euros.

In June 2017, Prokon and GLS Bank eG announced that GLS Energie AG , a subsidiary of GLS Bank eG, had acquired 80.1% of the shares in the largest wind farm Gagel ever built by Prokon. The total investment for 16 wind turbines of 3 MW each was EUR 104 million, financed by EUR 78.5 million from HSH-Nordbank.

In June 2018 Prokon published the 2017 annual financial statements for the group. According to this, sales amounted to 115.7 million euros and profit after taxes 5.4 million euros. The remaining equity amounted to 161.4 million euros. Thus the subscribed business assets of the members of 237.7 million euros had a value of 67.9%. In September 2018 Prokon published the 2018 half-year financial statements for the group. Accordingly, sales amounted to 53.0 million euros and profit after taxes 2.0 million euros. The remaining equity amounted to 156.8 million euros. Thus the subscribed business assets of the members of 160.8 million euros had a value of 97.5%. This circumstance results in the income statement and balance sheet (liabilities) from income from the capital reduction of EUR 77.0 million to compensate for the loss carried forward of EUR 83.6 million.
