Rolf-Ernst Breuer (born November 3, 1937 in Bonn ) is a German bank manager . From 1997 to 2002 he was spokesman for the board of directors and from 2002 to 2006 chairman of the supervisory board of Deutsche Bank .

Career at Deutsche Bank (1956 to 2006)

Breuer, son of the manager Carl Breuer , completed a banking apprenticeship at Deutsche Bank in Mainz and Munich in 1956 . He then studied 1958-1966 jurisprudence at the Universities of Lausanne , Munich and Bonn . In 1967 he received his doctorate from the University of Bonn . From 1966 he worked in the Karlsruhe branch until he was transferred to the stock exchange department in Frankfurt am Main in 1969 , which he headed as director from 1974. In 1985 Breuer became a member of the board of directors of Deutsche Bank, and from 1997 spokesman for the board. From 2002 to 2006 he was Chairman of the Supervisory Board of Deutsche Bank. His successors were Josef Ackermann as board spokesman and Clemens Börsig as chairman of the supervisory board . Breuer had other supervisory board mandates at E.ON , Munich Re , Lufthansa and Siemens AG . He was a member of the Board of Directors of the Landwirtschaftliche Rentenbank . He had to give up his mandate as chairman of the supervisory board of Deutsche Börse AG in 2005 after hedge funds prevented Deutsche Börse's planned takeover of the London Stock Exchange . He is also spokesman for the university council of the Johann Wolfgang Goethe University in Frankfurt am Main and chairman of the board of trustees of the Kulturstiftung der Länder .

Breuer interview - legal disputes

The Munich Higher Regional Court (OLG) rejected a claim for damages by Kirch against Breuer in its judgment of December 2003, but found that Deutsche Bank Kirch was obliged to pay damages. All parties appealed to the Federal Court of Justice (BGH) against the judgment of the OLG Munich , partly on the basis of an appeal approved by the OLG , partly with complaints of non-admission . The BGH corrected the OLG in several ways. He limited the scope of Deutsche Bank's liability, but also personally sentenced Breuer to this extent. In fact, it was established for both of them that they are liable for damage that a company of the Kirch Group incurred as a result of Breuer's statement. This company was a borrower of Deutsche Bank, Breuer's statement violated the protection and consideration obligations accompanying this loan agreement. Kirch had, among other things, assigned the claims of this company and asserted them in court. In its comprehensive judgment of January 24, 2006, the BGH rejected liability of both Deutsche Bank and Breuer for alleged own claims by Kirch (see judgment of January 24, 2006 - XI ZR 384/03 at www.bundesgerichtshof.de) . Building on this declaratory judgment, Kirch quantified the alleged damage in a legal dispute. Separately from this, a pool company is asserting the alleged claims of 17 other companies in the Kirch Group due to the interview. A settlement in the form of a payment of 800 million euros, which should have ended all processes, was rejected by the board of Deutsche Bank in 2012. In February 2014, Deutsche Bank reached an agreement with the Kirch heirs to pay 775 million euros.

Against the background of the legal dispute, Breuer resigned his position as Chairman of the Supervisory Board of Deutsche Bank on May 3, 2006. His successor was Clemens Börsig . In March 2011, the District Court of Munich I admitted an indictment against Breuer of attempted fraud in connection with the first Kirch trial. The Munich Regional Court closed the proceedings in December 2011 against payment of a monetary requirement of 350,000 euros.

On December 14, 2012, the Munich Higher Regional Court sentenced Deutsche Bank to compensation; an expert opinion clarifies the amount. Breuer was present at the trial that day. In a short "personal statement" he assured that he had done nothing wrong . He did not want to harm Kirch with his TV interview. Breuer said "What is imputed to me is monstrous and dishonorable". This had no effect on the presiding judge Kotschy and his colleagues: The OLG came to the opinion that Breuer's statement was a “public exposure” by Kirch. A confidentiality agreement with the Kirch group was probably violated. Kotschy described Breuer's actions as " immoral ". Breuer's TV interview in February 2002 was not an accident, nor was it an “intellectual mistake”, as Breuer wanted the OLG to believe.

After Deutsche Bank made payments totaling 928 million euros to the Kirch heirs, the Supervisory Board decided to take recourse against Breuer and his insurance company. On March 31, 2016, it was announced that Deutsche Bank had reached a settlement with Breuer that obliged Breuer to make a payment of 3.2 million euros to Deutsche Bank. In addition, the bank should receive 90 million euros from Breuer's manager liability insurance. At their Annual General Meeting on May 19, 2016, the shareholders approved the settlement with 98.81%.
