The Schindler Holding AG (also Schindler Group or Schindler Group ), based in Hergiswil in the Swiss canton of Nidwalden is an industrial and service holding . The group employs around 56,700 people in 140 countries worldwide and is one of the ten largest companies in Switzerland in terms of the total number of employees.

The core business of the holding company is the Elevators & Escalators division , which is largely operationally shaped by Schindler Aufzüge AG in Ebikon .

history

Pars Finanz AG was founded in 1929 in order to manage the subsidiaries and branches of what was then " Kommanditaktiengesellschaft Schindler & Cie. »To reorganize. Although "Schindler & Cie." In order to formally become a 100% subsidiary of Pars Finanz, the operational headquarters of the core business “Elevators” remained in the Schindler plant in Lucerne , which in 1949 was renamed “Schindler Aufzüge AG”.

Under the Pars Finanz, the Schindler Group's business activities were expanded to include the wagon construction sector. For this purpose, the subsidiary "Schindler-Waggon AG" was founded in 1945, based in Pratteln in the canton of Basel-Landschaft .

When "Schindler Aufzüge AG" moved from Lucerne to the new plant in Ebikon on June 27, 1957 , the "Elevators and Escalators" division received its new, still active headquarters.

In 1956, Pars Finanz acquired around 30% of the share capital of its largest Swiss competitor, the Swiss Wagons and Elevator Factory Schlieren (SWS). The complete takeover of SWS took place in 1960, which was now managed as a group company, but which continued its production in both core businesses of the Schindler Group under the brand name " Schlieren ".

On September 18, 1970, an extraordinary general meeting resolved to rename Pars Finanz, as of December 1, to Schindler Holding AG . On November 1, 1971, Schindler shares were publicly traded on the Zurich stock exchange for the first time, making it necessary for the first time to publish a consolidated annual report in 1973.

In the early 1980s, when there were increasing signs of overcapacity, Schindler Holding announced in 1983 that SWS would be closed until 1985 and with it the discontinuation of the “Schlieren” brand. Despite massive resistance, the closure could not be prevented. The boycott and the suspension of orders for Schindler products by the canton of Zurich, the city of Zurich and a number of other municipalities, however, forced the Schindler Group to settle new industrial and commercial operations on the former site of the SWS.

In 1987 the holding company acquired the majority of shares in Flug- und Fahrzeugwerke Altenrhein (FFA). The naming rights and the aircraft works were immediately sold to the Zurich-based Justus Dornier Holding . A large part of the factory area and the wagon construction were retained, the sponsoring company “FFA Flug- & Fahrzeugwerke AG” therefore being renamed “Schindler Waggon Altenrhein” (SWA), the second subsidiary in the rolling stock sector.

By taking over the majority of shares in "Also Holding AG", it became a group company in 1988. Logistics and sales services thus became Schindler's third division.

A series of restructuring processes began in 1990 with a redefinition of the corporate strategy and structure. Since 1991 is the Board ( Executive Committee of the Board ) is responsible for the strategic direction of the Group, the operational focus is the task of the Executive Committee ( Management Committee ) of the business unit "Elevators and Escalators" since then include the holding company.

A crisis in the entire Swiss rolling stock industry forced Schindler to restructure. In 1993, the Pratteln and Altenrhein plants were merged into a joint operating company called “ Schindler Waggon AG ” (this time written without a hyphen) with headquarters in Pratteln. The management of the areas and buildings was left in the previous companies, these were outsourced as real estate companies "Lischac AG" (formerly Schindler-Waggon AG) and "Orgama AG" (formerly Schindler Waggon Altenrhein AG). After the group no longer saw any prospects for itself in the rolling stock sector, the decision was made in 1996 to part with this division.

The Stadler vehicles AG founded the subsidiary Stadler Altenrhein AG and took over on 1 March 1997 the work Altenrhein. ABB Daimler Benz Transportation (Adtranz) was interested in the Pratteln plant and on January 1, 1998, the takeover took place, which marked Schindler's withdrawal from wagon construction.

Another business area was the logistics service provider Also Holding AG , managed as a group company (share 64%) ; since the merger to form Also-Actebis Holding AG in February 2011, Schindler had completely reduced its stake in ALSO by mid-2017.

Shareholders

The family shareholders Schindler and Bonnard, linked by a shareholders' agreement, are anchor shareholders with a share of 70% of the votes. There is a so-called opting-out clause in the holding company's statutes . This removes the obligation to make a takeover offer to all shareholders if the threshold of 33 1/3% of the voting rights in a sale is exceeded. However, the current Chairman of the Board of Directors, Alfred N. Schindler, promises that, under his leadership, if the company is sold, all investors will voluntarily receive an offer on equivalent terms. Among the 300 richest in Switzerland, families took 10th place in 2018 with an estimated fortune of 12 to 13 billion Swiss francs .
