Ams AG is a multinational semiconductor manufacturer headquartered in Premstätten in Styria , Austria . The main fields of activity are the development and manufacture of analog integrated circuits and application-specific integrated circuits (ASICs).

The company develops and produces analog semiconductor components ( power semiconductors ) for applications in sensors and sensor interfaces, power management and wireless. The company develops analog ICs ( integrated circuits ) for customers in the consumer, industrial, medical technology and automotive markets. The approximately 9,000 employees work in research and development in 20 countries in Austria, in a Center of Excellence for optical sensors in Texas (USA), in 20 other design centers and in production facilities in Austria and the Philippines .

1978-2000

At the end of the 1970s, voestalpine AG was looking for suitable industries to expand its own range of products and services. Ultimately, the decision was made in favor of the semiconductor industry . In the course of the counter-business initiation by the Austrian Chamber of Commerce, the first connection with American Micro Systems (AMI) was established when looking for a joint venture for voestalpine AG .

In 1981 a joint venture , American Micro Systems Incorporated-Austria GmbH (AMI-A), in which AMI held 51% and voestalpine 49%, was founded. When looking for a location, the decision was made in favor of Premstätten Castle in what was then the municipality of Unterpremstätten. As a result, the first Austrian semiconductor factory was built, and the establishment of a sales office for ROMs and standard components in Europe began.

In 1983 the official opening of the 100 mm wafer semiconductor plant by Federal Chancellor Fred Sinowatz took place, where production began with 300 employees.

In 1987 the company became fully owned by Voestalpine AG, and in September of the same year what was then AMI-A ( American Micro Systems Incorporated-Austria GmbH ) was renamed AMS ( Austria Mikro Systeme International GmbH ). Additional sales offices in California and Germany were also established.

In 1991 AMS "Expertronics" was one of the 25 fastest growing companies in Europe , in 1992 AMS was voted "Top Fab of 1992" (source: Semiconductor International USA). In June 1993, AMS became the first semiconductor company in Europe to go public and is listed on the Vienna Stock Exchange .

In 1996, AMS decided to expand into new markets, and so the first sales office in Asia was created. The company was certified according to ISO 14001: 1996 and EMAS (EU standard for environmental management).

In 1997 AMS achieved its first successes in the field of "deep submicron" technology (structure widths less than 0.5 µm).

NASA's " Deep Space 2 " mission to Mars took off in 1998 with the help of AMS. Two chips were developed together with the aircraft manufacturer Boeing and were responsible for the entire energy supply of the space probe. The company received certification in accordance with the quality standards of the American and German automotive industry QS 9000 and VDA 6.1.

In 2000, the foundation stone was laid for the new 200 mm wafer production line. AMS left the stock exchange through the majority shareholder Permira and also underwent a name change to austriamicrosystems AG.

2001-2010

Building the 200 mm wafer production line

Trial operation of the new production line on 200 mm wafers began in the new millennium, and a license agreement was signed with TSMC , the world's largest IC contract manufacturer. After a successful trial run, series production starts in 2002 in the new 200 mm wafer semiconductor plant. In 2002 a sales office was opened in Singapore and the offices in Hong Kong, Japan and the United States were expanded.

In 2003 austriamicrosystems was included as the only European semiconductor manufacturer by Silicon Strategies in the top ten list of semiconductor contract manufacturers (foundry). austriamicrosystems continued its expansion policy with new sales offices in South Korea, China (Suzhou), Finland and Sweden . In addition , a design center for multimedia playback applications was opened in Bangalore , India .

In 2004 austriamicrosystems went public on the SWX Swiss Exchange (now SIX) in Zurich. It has been listed here since May 17, 2014 (Ticker: AMS).

In 2005 the standard products as well as the production capacity were expanded to 200 mm wafers in order to replace the closed production on 100 mm wafers.

In 2006, a testing center was established in the Philippines and a development center was established in India . The production line was also expanded to include 200 mm wafers. In the same year austriamicrosystems AG celebrated its 25th anniversary.

In 2007 austriamicrosystems ventured into new business areas through a partnership with micromotor manufacturer New Scale Technologies . The new cafeteria & conference center, designed by architect Reinhold Tinchon, also opened that year.

Austriamicrosystems also felt the economic crisis in 2008 and 2009 and had to send part of its workforce to short-time work. Thanks to a rapidly improving order situation, the company recovered within a very short time and short-time work was largely discontinued. During the same period austriamicrosystems joined the UN Global Compact in order to reduce CO₂ emissions and to produce CO 2 -free in the medium term . In 2010 a record turnover of 209.4 million euros was achieved.

2011 to 2018

In 2011 austriamicrosystems announced the acquisition of 100% of the shares in the US company Texas Advanced Optoelectronic Solutions, Inc. (“TAOS”), Plano, Texas (USA). The purchase price of the shares to be acquired is around USD 320 million (around EUR 220 million). TAOS is active in the field of light sensor technology and provides display management solutions for manufacturers of smartphones , tablets , high definition televisions (HDTV) as well as laptops and notebooks.

In May 2012 austriamicrosystems changes its brand name to "ams" and thus combines the brands austriamicrosystems and TAOS, the supplier of light sensors acquired in 2011. IDS Microchip AG was also acquired this year and integrated into the company.

On May 13, 2013, after eleven years of management, John Heugle resigned as Chief Executive Officer (CEO) with immediate effect. Kirk Laney, former CEO of TAOS Inc., has been appointed as interim CEO of the company.

On June 4, 2014, ams announced the acquisition of 100% of the shares in AppliedSensor, the industry's leading provider of semiconductor-based gas sensor solutions.

On June 25, 2014, ams announced that it was planning a merger of equals with Dialog Semiconductor . The board of directors should be provided by ams, while Dialog Semiconductor is the chairman of the board. The shares of the new company should only be traded on the SIX Swiss Exchange ; a listing on the Frankfurt Stock Exchange, as was previously the case with Dialog Semiconductor, should not take place. From a legal perspective, ams should have taken over Dialog Semiconductor. On July 22, 2014, it was announced that the merger had failed.

In 2015, ams acquired the CMOS sensors business from NXP and CMOSIS, a leading supplier of high quality medical CMOS image sensors.

In 2016, further acquisitions were made by Cambridge CMOS Sensors Ltd (CCMOSS), the technology leader in micro-hotplate structures for gas measurement and infrared applications, MAZeT, a specialist in color and spectral sensor systems, Heptagon, the leading provider of high-quality optical packaging, and Incus Laboratories Ltd, a privately held provider of IP for digital active background noise cancellation in headphones and earphones, based in the UK.

In March 2017, Princeton Optronics , a US manufacturer of sensors and surface emitters (VCSEL) , was acquired for $ 50 million .

From 2019

In 2019, ams AG made headlines with the takeover of the German lighting manufacturer Osram . In the summer of 2019, the US investment companies Bain and Advent jointly planned to take over the company, which had run into financial problems. The offer of the two US companies was € 35 per share; the purchase of 70% of the shares would have been necessary for the takeover. In September 2019, ams AG also submitted an offer for the takeover. € 38.50 per share was offered, and Osram lowered the acceptance threshold to 62.50%. After initial concerns and resistance from the union, the Osram management decided to recommend ams AG's offer to its shareholders. However, the ams offer missed the acceptance threshold. A little later, however, it was decided to try again to take over Osram. This time the offer was € 41 per share, the acceptance threshold had been lowered again to 55%. On December 6, 2019, ams AG announced that 55% of the shares had been tendered within the deadline and the takeover was thus completed. The final acceptance rate at the end of the acceptance period was 59.9%. On July 6, 2020, the EU allowed the Osram takeover without conditions and had no competition concerns.

Ownership structure

Ams shares are listed on the since 2004 SIX Swiss Exchange listed . Around 92% of the shares are in free float, around 8% are owned by management and former TAOS shareholders. The major shareholder is the Singaporean company Temasek .

In the Consumer & Communications business segment, ams AG focuses on mobile communications as well as portable and fixed entertainment electronics . The main focus is on integrated circuits in the field of power supplies and lighting technology such as mobile MP3 players , cell phones , LCD televisions and camera flashes with xenon gas discharge lamps or with light-emitting diodes .

In the field of industrial and medical electronics , ams AG produces sensors and sensor interfaces that enable the measurement and processing of small signals even under environmental conditions such as extreme temperature fluctuations, humidity and vibrations.

In the automotive sector , ams AG primarily offers the development of control units for vehicle access, safety and comfort systems as well as sensor and sensor interface products and high-speed bus systems .

The contract manufacturing of microelectronic components ( English Foundry ) is designed for companies without their own production, as so-called fabless companies, design houses, and semiconductor manufacturers (IDMs) who want to develop their own integrated circuits, however, do not have the production capacity or for necessary technologies have. The focus here is on the production of analog and mixed-signal ICs , for which complex special processes are often required.

In 2015, research and development expenses amounted to EUR 138.9 million, which corresponds to a 25 percent share of sales.

With certifications according to the latest international quality standards IATF 16949 and ISO 13485 as well as ISO 9001 , VDA6.1 and the Q1 certification from Ford, ams ensures compliance with quality requirements. Ams has been certified in environmental management according to ISO 14001 and EMAS and publishes environmental reports at regular intervals. Ams is also part of the UN Global Compact, the world's largest corporate initiative for responsible action and sustainability.
