NXP (for N ext e XP erience) Semiconductors is a Dutch semiconductor manufacturer . NXP is the semiconductor division of Royal Philips spun off in 2006 . NXP offers semiconductors and system solutions for the automotive market, for televisions, set-top boxes , cell phones and security solutions for bank cards, electronic ID cards, passports and health cards . Chips with MIFARE technology are used in numerous traffic systems and event centers around the world. After taking over Freescale , NXP is Europe's largest semiconductor manufacturer.

history

NXP emerged from Philips Semiconductors , the semiconductor division of Philips . Philips had expanded this division based on its own, initially radio tube and later semiconductor companies such as Valvo (Germany), Mullard (Great Britain) and the integration of acquired manufacturers: Signetics was bought in 1975, VLSI Technology was added in 1999.

On September 29, 2006, the Philips group sold 80.1 percent of its semiconductor division to a consortium of private investment companies; Philips itself retained 19.9 percent of the shares. The consortium consisted of the financial investors KKR , Bain Capital , Silver Lake , Apax and AlpInvest Partners NV. The new establishment was announced in 2006 at the Berlin International Radio Exhibition by the then NXP CEO Frans van Houten (now CEO of Philips).

During the subsequent reorganization, in 2008 NXP brought its "Mobile & Personal" division into a joint venture with STMicroelectronics under the name ST-NXP-Wireless . In the following year STMicroelectronics also took over the remaining 20 percent share of NXP and brought ST-NXP-Wireless into another joint venture between ST-Ericsson and the Ericsson Mobile Platforms (EMP) division of the Swedish company Ericsson .

As part of the reorganization, various semiconductor factories were closed, including those in Böblingen in 2008 .

On December 31, 2008, Frans van Houten announced his immediate resignation and left the company on the same day. Richard L. Clemmer, who previously worked for Agere and Texas Instruments and most recently for KKR, was appointed in his place.

After the restructuring was completed, NXP announced its planned IPO in the spring of 2010, which took place on August 6, 2010.

On March 2, 2015, it was announced that NXP would acquire Freescale Semiconductor . The takeover was carried out both in shares and in cash. The process was completed on December 7, 2015. At that time, the former Freescale shareholders held around one third of the new company.

The standard semiconductor division was sold to a state-controlled Chinese consortium in summer 2016 and was named Nexperia . On October 27, 2016 it was announced that Qualcomm would like to take over NXP completely. The transaction should be completed by the end of 2017. In June 2018, Qualcomm abandoned its acquisition efforts. At the same time, Qualcomm announced the start of a share buyback program with a volume of 30 billion US dollars.

In September 2018, NXP took over Omniphy, a provider of Ethernet subsystem technologies for the automotive sector.

In May 2019 it was announced that NXP would take over the area for WLAN and Bluetooth chips with 500 employees from the Marvell Technology Group .

The company is one of the first major members of the FIDO alliance , which developed the industry standard Universal Second Factor (U2F) for generally applicable two-factor authentication .

Activities in Germany

The headquarters of NXP in Germany is in Hamburg-Lokstedt . With production, research and development activities and global business responsibility for three out of five departments (so-called business units for automotive , security & connectivity and standard products ), the Hamburg location plays an important role within the group. The factory for discrete semiconductors in Lokstedt, which produces around a quarter of all diodes and transistors sold worldwide with a production of around 70 billion individual components, is now part of the outsourced Nexperia . Other locations are in Dresden (research and development) and sales offices in Munich and Stuttgart. The location in Starnberg was closed in 2006 (during Philips times), another one in Hausbruch at the end of 2010. The number of employees at NXP Semiconductors Germany GmbH has now been reduced to around 1,200 permanent employees (as of 2016).

The federal government has commissioned NXP as the main supplier of the security chips for the new identity cards; For reasons of delivery security, it usually awards such orders to at least two manufacturers. In addition to the new German ID card, NXP also supplies the majority of the security chips for the electronic passport and for the electronic tickets of the eTicket Germany .
