The T-Mobile US Inc. is one of the largest wireless carrier in the United States in the competition standing with AT & T Wireless , US Cellular and Verizon Wireless . The company was created in 2001 through the takeover of VoiceStream by Deutsche Telekom . T-Mobile US had been listed on the New York Stock Exchange since May 1, 2013 and switched to NASDAQ on October 26, 2015 .

history

Voicestream was founded in 1994 as a regional wireless service provider in the United States of America by the Western Wireless Corporation. Voicestream was the only cell phone provider in the USA to set up its network based on the European GSM standard. Five years after it was founded, sales totaled around 476 million US dollars in 1999. In mid-2000, Voicestream already had cellular licenses in 23 of the 25 largest US states and employed 8,200 people. Deutsche Telekom provided five billion euros to acquire additional licenses. In the course of the first few years, mergers took place with the wireless service providers Omnipoint, Aerial and Cook, giving Voicestream a nationwide mobile network.

Takeover of Voicestream and Powertel

In July 2000, Deutsche Telekom announced that it would take over Voicestream for a price of 50.7 billion dollars (at that time about 106 billion DM). Shortly before the announcement of the takeover, Voicestream announced that it had taken over the mobile communications provider Powertel for the equivalent of 4.8 billion D-Marks. The supervisory boards of Telekom, Voicestream and Powertel approved the takeover. The transaction was funded through a share swap and additional cash. Telekom valued each Voicestream customer at $ 20,000. For this purpose, Telekom had a capital increase approved at the previous general meeting, which was to be carried out in part. The Committee on Foreign Investment in the United States approved the acquisition unconditionally.

On June 1, 2001, Telekom completed the takeover of Voicestream. For one Voicestream share, Deutsche Telekom paid 3.2 shares plus $ 30. Due to the falling price of its shares at the time of the announcement, Telekom paid 39.4 billion euros according to its own information.

In the course of the takeover and the rapid drop in the price of Deutsche Telekom shares, 16,000 shareholders filed a lawsuit. You accused the company of having disregarded the information requirement in the prospectus for the third IPO of Telekom. According to the plaintiffs, the takeover of Voicestream should have been mentioned in the prospectus. On May 16, 2012, the Frankfurt Higher Regional Court ruled in favor of Deutsche Telekom.

Failed sale to AT&T and merger with MetroPCS

Due to the losses and the falling number of customers, Deutsche Telekom announced in a mandatory publication on March 20, 2011 that T-Mobile USA was to be sold to competitor AT&T . The purchase price was $ 39 billion, of which $ 25 billion was to be paid out in cash. The remaining 14 billion should be paid in AT&T shares, whereby Telekom would have become the largest minority shareholder of AT&T with eight percent. Since AT&T is the largest wireless operator in the US, the transaction had to be approved by the US antitrust authorities. On August 31, 2011, the antitrust authorities filed a lawsuit against the sale. Since AT&T did not expect a release, Telekom and AT&T dissolved the agreement to take over T-Mobile USA on December 20, 2011. In the agreement, AT&T assured Telekom a default payment of three billion US dollars, as well as mobile frequencies in 128 US markets and a comprehensive UMTS roaming agreement. This enabled T-Mobile USA to open up new customers in new markets.

On October 3, 2012, Deutsche Telekom announced its subsidiary T-Mobile USA's merger plans with MetroPCS . The Deutsche Telekom should hold around 74 percent of the new company, the shareholders of MetroPCS received 26 percent of the shares. Just seven months after the announcement, the merger was approved by the antitrust authorities at the end of April. On May 1, 2013, T-Mobile US Inc. went public on the New York Stock Exchange. The brands T-Mobile and MetroPCS were retained.

At the beginning of 2014 it became known that Deutsche Telekom had transferred its shares in T-Mobile US to a Dutch holding company and that the US wireless operator Sprint was considering a takeover with its mother, SoftBank . In August 2014, Sprint announced that it would refrain from taking over as the likelihood of approval from the US authorities appeared too low.

In June 2017 it was announced that Deutsche Telekom was planning to merge its subsidiary T-Mobile US with its competitor Sprint. Due to the rapid growth, T-Mobile US has overtaken the merger partner Sprint in terms of size and market value, which means that Deutsche Telekom continued to claim a controlling majority after the merger. This would mean that if the stake in the new company was reduced, accounting as a subsidiary would still be possible. The current owner of Sprint, SoftBank, would have had a minority stake. On November 4, 2017, both Deutsche Telekom and T-Mobile US unanimously stated that the talks on a merger had initially failed, only to have John J. Legere and Marcelo Claure confirm on April 29, 2018 that a merger would be a merger but is strived for. The majority owner of T-Mobile, Deutsche Telekom, is said to hold 42 percent of the joint venture in 9 of the 14 supervisory board seats. Timotheus Höttges would remain chairman of the supervisory board. On July 26, 2019, the US Department of Justice approved the merger between Sprint and T-Mobile US. The lawsuits from a total of thirteen US states, as well as that of the administrative district of Washington, were also rejected by a US court. The plaintiffs feared that the merger could result in job losses and price increases.

As a result of the merger, the company also gave the T-Mobile Center its name .

Post John Legere era

On November 18, 2019, the company announced that CEO John Legere , who is still in office at the time , will no longer extend his contract and will step down from active management on April 30, 2020. He will be succeeded by Mike Sievert, who was COO of the company at the time. John Legere will continue to serve on the company's Board of Directors .

On March 31, 2020, the previous COO Mike Sievert succeeded the previous CEO John J. Legere , although his contract would not have expired until April 30, 2020.

Cellular network

5G network

On December 6, 2019, T-Mobile officially launched its 5G network in the USA. According to its own statement, it is the first "Nationwide" 5G network. This means that it is not only receivable locally in certain areas, but extends over the entire United States. While the competitors AT&T and Verizon rely on so-called mmWave networks (frequencies> 20 GHz), T-Mobile US uses its spectrum in the 600 MHz range (band 71 / n71) for 5G. This ensures high ranges thanks to comparatively few transmitters, but also has less capacity.

The OnePlus 7T Pro McLaren Edition and the Samsung Galaxy S10 5G are among the first devices to support the 5G network T-Mobiles.

criticism

Allegations of the CtW Investment Group

In February 2017, various media wrote that the investor group CtW Investment Group had requested a special audit of the company in November 2016. The group accused the company of a lack of transparency in accounting as well as the concealment of risks and restrictions on the freedom of expression of its own employees. To date, the special test has been refused and the allegations rejected.
