The Alior Bank SA (Alior Bank) is a Polish universal bank headquartered in Warsaw . Its sales network consists of 197 own and 608 partner branches as well as 7 private banking and 8 business customer centers.
The company's share is traded on the Warsaw Stock Exchange and is listed in its WIG 20 leading index.
history
In 2007, developed Wojciech Sobieraj , then a board member in to GE Finance belonging Bank BPH , the concept of the formation of a new Polish universal bank .
The capital required for this came from the Polish-French entrepreneur Romain Zaleski through his Carlo Tassara concern .
On April 18, 2008, Carlo Tassara received approval to set up a bank from the competent Polish banking supervisory authority Komisja Nadzoru Finansowego . On September 1 of the same year, the same authority approved the start of business operations for the Alior Bank. The first branches were opened on October 28th. The official start of business operations took place on November 17, 2008.
As a result of in 2011 with creditors agreement reached by the year 2013 assets to sell to the value of 2.5 billion euros, with the proceeds debt to pay, Carlo Tassara brought in 2012 a package of 66% of the shares of Alior Bank on the stock exchange. The remaining 34% of the shares should initially be sold to a strategic investor by the end of 2013. Carlo Tassara's complete exit was later postponed to the end of 2014 and finally to mid-2016, as a suitable investor could not be found at short notice due to the high valuation of the share. The first trading day of the share on the Warsaw Stock Exchange (GPW) was December 14, 2012. Since March 2014, the share has been included in the GPW WIG20 leading index .
In October 2014, it was announced that Alior Bank intended to acquire 95% of the voting shares in its smaller competitor Meritum Bank for a total of PLN 353 million from the private equity companies Innova Capital and Wolfensohn Capital Partners and the European Bank for Reconstruction and Development . The responsible supervisory authority KNF gave its approval in February 2015. The operational merger finally took place on October 26, 2015.
After Carlo Tassara's stake had decreased further in the meantime through capital increases , the Polish insurance group PZU took over the remaining 25.3% of the shares in the bank from Carlo Tassara for 1.6 billion zloty in 2015 . Previously, the financial services provider Getin Holding and the major French bank Société Générale , as well as the Spanish Banco Santander had been discussed as possible buyers.
In 2016, the Group acquired the core business of to General Electric related Bank BPH for 1.225 billion zloty. Exceptions were BPH's mortgage portfolio and asset management business (these two businesses remained with GE). To finance the transaction, issued the Alior Bank new shares.
The company has been working with the Romanian subsidiary of Deutsche Telekom since 2016 . The service, known as Telekom Banking , includes current accounts and a platform for currency exchange in real time.
Negotiations to take over the Polish subsidiary of the Austrian Raiffeisenbank ( Raiffeisen Bank Polska SA ) failed in December 2016. Raiffeisen had sought to improve its core capital ratio by selling the Polish unit, among other things .
In June 2017 Wojciech Sobieraj, CEO and founder of the bank, left the company; since then he has been involved in setting up the fintech Vodeno .
In October 2017, Alior Bank and Bank Pekao announced that they were negotiating a possible merger, but announced in August 2018 that they had not reached an agreement on the terms. What both companies have in common is the fact that the insurance group PZU , which is partly owned by the Polish state, is their largest single investor.
After the Alior Bank in the past several cooperative organized savings banks ( Spółdzielcza Kasa Oszczędnościowo-Kredytowa in. Św. Jana z KET in 2014, and Spółdzielcza Kasa Oszczędnościowo-Kredytowa in. Stefana Kard. Wyszyńskiego and Powszechna Spółdzielcza Kasa Oszczędnościowo-Kredytowa in 2016), the KNF approved the takeover of SKOK Jaworzno in January 2019 .
Deposit insurance
As a Polish credit institution, the bank is subject to Directive 2014/49 / EU of the European Union without restriction . It is a member of the Polish Deposit Protection Fund ( Bankowy Fundusz Gwarancyjny ), through which all deposits up to 100,000 euros in Poland are fully covered.

The share capital of the company amounts to 1,305,539,910.00 zloty and is divided into 130,553,991 shares of Series A through J a nominal value of 10.00 zloty.

The Polish state has an indirect stake in the bank through the insurance group PZU , in which it holds 34.1875% of the shares.
Awards
The company has received several awards from various industry institutions, including as the best private customer bank in Poland (2013) and for its role as an innovation driver in the Polish banking market.
