Synthos SA is a listed company based in Oświęcim in southern Poland . The company is one of the leading producers of chemical raw materials in Poland and Europe's largest producer of polystyrene and synthetic rubber . The company is included in the WIG30 index of the Warsaw Stock Exchange .

The name Synthos is a suitcase word from the Greek terms synthesis (union) and orthos (straight, upright, correct).

history

The company was founded on September 1, 1945 in Dwory (today part of the city of Oświęcim ) under the name Fabryka Paliw Syntetycznych w Dworach (German factory for synthetic fuels in Dwory ). The factory buildings had previously been built by IG Farben as Buna-Werke during the German occupation of Poland and were located in the immediate vicinity of Auschwitz III Monowitz concentration camp .

This was followed by several changes of the company name in Państwowe Zakłady Syntezy Chemicznej w Dworach (German State Chemical Synthesis Companies in Dwory ) (1946), Zakłady Syntezy Chemicznej w Dworach (German Chemical Synthesis Companies in Dwory ), Zakłady Chemiczne w Oświęcimiu (German Chemical Companies - the outsourced state company in Oświęcim ) (1949) and Zakłady Chemiczne “Oświęcim” (German Chemical Companies “Oświęcim” ) (1951).

In 1948, after the commissioning of a steam boiler and a turbo generator, the production of the first chemical products began: trichlorethylene and chlorobenzene . Synthetic gasoline was manufactured from 1950 . In the course of the 1950s, the production of other basic chemicals such as carbide , acetylene , chlorine , vinyl chloride , PVC , methanol , styrene and polystyrene was started; From 1959 the production of rubber took place .

From 1960 the product range was expanded again: From then on, PMMA , butanol , octanol , vinyl polymers, catalysts , ethyl acetate , hydrochloric acid and cleaning agents were manufactured . For economic reasons and with the aim of concentrating on the production processes for synthetic rubber and latex , which have since been further developed, butadiene production from ethyl alcohol was discontinued in 1964 ; In 1968, the production of ethylene from acetylene was also given up. At about the same time, the importance of petrochemical raw materials in the production processes increased, as their purchase turned out to be increasingly more cost-effective than the use of raw materials produced chemically on the basis of coal.

While the seventies were characterized by strong growth and the modernization of the production facilities, rationalization measures began from around 1980 - especially with regard to the workforce; in addition, investment activities came to a complete standstill by around 1982 . From around the middle of the eighties, there was a gradual increase in the centrally planned production volumes and, as a result, the investments made. The environmental protection debate , which grew in importance, especially towards the end of the decade , also led to an intensification of investments in the treatment of industrial waste gases and waste water generated during production .

On December 1, 1994, the previously public company was privatized ; on September 12, 1995, 60% of the shares were transferred to the closed state investment fund Narodowy Fundusz Investycyjny nr X (NFI Foksal) . By resolution of the general meeting on April 28, 1997, the company's name was changed to Chemiczna Dwory Spółka Akcyjna (German chemical company Dwory Aktiengesellschaft ).

On December 20, 2004, the company was fully privatized when it began public trading on the Warsaw Stock Exchange .

In 2007 the company Kaučuk as in Kralupy nad Vltavou in the Czech Republic was taken over by Unipetrol for 195 million euros. On October 23, 2007, the company was renamed Synthos SA. In addition, a cooperation agreement was concluded with Michelin that year , which gave the company access to Michelin's technology for the production of synthetic rubber based on polybutadiene . At the same time, it was agreed that Synthos would supply Michelin for several years with this raw material, which is used to manufacture car tires .

In 2008, the production of XPS panels began - an insulation material used in construction .

Since 2011, Synthos has been researching the production of butadiene from renewable raw materials together with the French company Global Bioenergies .

After the trading day on March 16, 2012, the company was included in the WIG20 index of the largest publicly traded stock corporations on the Warsaw Stock Exchange . In the same year, a license agreement was signed with the American tire group Goodyear Tire & Rubber Company for the production of styrene-butadiene rubber . The construction of a corresponding production facility with a total investment volume of 568 million złoty (approx. 129.2 million euros ), of which approx. 147 million złoty (approx. 33.4 million euros) was financed from EU funds , took place until for 2015.

The Synthos AGRO segment was launched in 2014 . The company produces and sells various agrochemical products under this brand , especially fertilizers and pesticides .

In 2016, Ineos Styrenics was acquired for EUR 80 million, which made Synthos the owner of the production sites for foamed polystyrene in Wingles and Ribécourt-Dreslincourt (Northern France) and Breda (Netherlands). The Breda site also has its own research and development center.

Business areas

The company's activities are divided into six basic segments:

Synthetic rubbers ( pl. "Segment Kauczuków Syntetycznych" )
This is the main business area of ​​the group. Around 80% of the production volumes sold go to manufacturers of vehicle tires . Customers include the five largest tire manufacturers in the world ( Bridgestone , Michelin , Goodyear , Continental and Pirelli ). The buyers of the remaining 20% ​​include manufacturers of shoe soles , transmission belts and elastic hoses .
Styrenic plastics ( pl. "Segment Tworzyw Styrenowych" )
This business area deals with the production of foamable polystyrene for the production of expanded polystyrene (EPS), a common foam ("Styrofoam") that is used, among other things, for the thermal insulation of buildings and in the packaging industry. In addition, normal polystyrene ( GPPS , General Purpose Polystyrene ) and high-impact polystyrene ( HIPS , High Impact Polystyrene ) are also produced. One area of ​​application of these plastics is the production of food packaging as well as disposable dishes and cutlery; In addition, housings (parts) for electrical appliances (televisions, computers, white goods ) are made from polystyrene. This business area also deals with the production of extruded polystyrene (XPS), a rigid foam that is used in the form of insulation boards, primarily for the external thermal insulation of buildings.
Dispersions, adhesives and latexes ( pl. "Segment Dyspersji, Klejów i Lateksów" )
The activities in this division include the preparation of dispersions based on acrylic, styrene-acrylate and vinyl base which in particular for the production of paints , acrylic plasters and primers , and other chemical building come products used. In addition, adhesives are produced for the paper and furniture industries. The production of styrene-butadiene latex, a basic material for the production of foams and carpets , is also part of this business area.
Agrochemicals ( pl. "Agro segment" )
The activities in this business area include the production of plant protection products , seed protection products, biocides and foliar fertilizers .
Supply ( pl. "Segment media" )
The activities for generating electrical energy and thermal energy are bundled in this division; as well as their transmission .
Care products ( pl. "Care segment" )
This business area deals with the development, manufacture and sale of nanocarriers . Such carriers are used to transport active ingredients from cosmetics and dietary supplements directly into the affected cells. In this way, the bioavailability of the respective active ingredient should be increased and thus ultimately the effectiveness of the cosmetic or supplement product should be increased.

The share capital of the company amounts to 39,697,500 PLN (approximately 9 million euros ) and is divided into 1,323,250,000 shares with a nominal value of 0.03 PLN.
