The Brau und Brunnen AG was a German beverage company with headquarters in Dortmund . It was created in 1972 through the merger of the Schultheiss brewery and the Dortmunder Union brewery . Until it was renamed to Brau und Brunnen AG in 1988, the company was called Dortmunder Union-Schultheiss Brauerei AG . Contrary to some other sources, Berlin was never the seat of the Group's head office, but was always given pro forma as "Dortmund / Berlin". At the beginning of the 1970s, after the merger of the Dortmund and Berlin breweries, a move of the headquarters to Berlin was considered, but it was discarded for reasons of cost.
Until the 1990s, Brau und Brunnen was the largest German beverage company with sales of over 15 million hectoliters , but sales of alcoholic beverages fell steadily until 1999. Another reason for the economic problems of Brau und Brunnen AG was that in 1994 the Jever brand was merged with Bavaria-St. Pauli Brewery at a price of around 800 million D-Marks, but the market value was later only put at around 250 million D-Marks. As early as 1995, Brau und Brunnen AG closed the business year with a loss of 180 million D-Marks. Through mergers and takeovers, other large beverage groups came into being, which put brewing and fountain under pressure. In 1999 the company had already slipped to fourth place among German beverage producers and was permanently in the red.
The planned restructuring by downsizing failed because a merger with the Schörghuber group of companies that was being sought at the same time was prevented by the main shareholder at the time, Bayerische Hypo- und Vereinsbank AG . At the beginning of 2002, Cadbury Schweppes announced the joint venture Berliner Kindl operated with breweries and fountains , the Hamburg Apollinaris & Schweppes GmbH. As a result, the losses from the beer division could no longer be compensated for by profits in the soft drinks business, so in 2003 negotiations were held with several interested parties to buy the company. In 2004 the group became part of the Radeberger Group through the purchase of the HypoVereinsbank share stake by the Oetker Group for 220 million euros .
