The Southwest German Media Holding GmbH ( SWMH ; own spelling and Southwest German media holding company , formerly Stuttgarter Zeitung Verlag GmbH is) a German media company based in Stuttgart . The group , of which the company is the parent company, is one of the largest for newspapers and other media (especially specialist information titles and advertising papers ) in Germany . The group also includes printing companies, postal and logistics companies and other companies active in the field of publishing.

overview

The origins of the company go back to the Stuttgarter Zeitungsverlag GmbH founded in 1908. In its current form on the owner side, the company was created in 1970 through the sale of the shares of the Robert Bosch family of entrepreneurs in equal parts to the Medien-Union (Ludwigshafen), to a group of Württemberg publishers formed for this purpose (29.04% each) and to Luise Madsack (29.06%), widow of Erich Madsack from today's Mediengruppe Madsack , on the side of the associated media company in 2008 through the bundling of the newspaper group Stuttgart (ZGS) and the Schwarzwälder Bote media group in Oberndorf am Neckar under the new formed media Holding GmbH South (MHS) and the takeover of the Süddeutsche publishing house in Munich as the second subsidiary.

Today the group publishes 16 newspapers, over 150 specialist information titles and 16 advertising papers. In addition, it has numerous radio holdings, a television production company, printing companies, postal and logistics companies, IT service providers and many other companies that are active in the field of publishing. It is present at over 30 locations in large parts of Germany and also abroad with its specialist information titles. Südwestdeutsche Medienholding has a total of around 6100 employees.

Medienholding Süd

The media holding Süd GmbH , based in Stuttgart is a newly established with effect from 1 January 2008 intermediate holding company, consisting of:

  • the corporate groups of the Stuttgart newspaper group : These include, among others, the Stuttgarter Nachrichten Verlagsgesellschaft mbH (SWMH stake: 80 percent; publishes, among others, the Stuttgarter Nachrichten ), the Stuttgarter Zeitung Verlagsgesellschaft mbH & Co.KG (SWMH stake: 100 percent; publishes under including the Stuttgarter Zeitung ) and, since 2016, the majority of the Eßlinger Zeitung . Until the beginning of 2007, the heirs of Erich Schairer , one of the co-editors of the first post-war years, held a 25 percent stake in the Stuttgarter Zeitung Verlagsgesellschaft ;
  • the Black Forest messenger, which was taken over at the same time . The Schwarzwälder Bote GmbH & Co. KG (a holding of the Brandecker Erben family, to which the publisher of the Schwarzwälder Bote Richard Rebmann also belongs) brings in its 90 percent stake in the Schwarzwälder Bote Mediengesellschaft mbH (SBM), the SWMH already existing 10 percent stake in SBM.

SWMH holds 82 percent of Medienholding Süd , Schwarzwälder Bote GmbH & Co. KG has an 18 percent stake.

The Schwarzwälder Bote has a sold circulation of 121,779 copies (IVW III / 2012) and employs almost 1000 people (as of 2007). The Stuttgarter Zeitung and the Stuttgarter Nachrichten together achieve a sold circulation of 191,338 copies (IVW III / 2012). Along with the coat partners reach the Stuttgarter Nachrichten a paid circulation of 372,795, together copies (IVW IV / 2007).

The 27 partner newspapers of the Stuttgarter Zeitung Werbung community achieve a sold circulation of 434,926 (IVW III / 2012).

The main corporate groups of Medienholding Süd include various sister companies and affiliated companies: printers, advertising papers, various holdings in radio stations and online portals, as well as in several direct sales companies (household advertising, telephone marketing) and postal service providers. Medienholding Süd GmbH also holds numerous direct or indirect interests in publishing houses.

Süddeutscher Verlag

In the Süddeutsche Verlag in Munich (mainly publishes the Süddeutsche Zeitung , circulation around 305,000 copies, sales more than 700 million euros), SWMH has held 18.75 percent and a right of first refusal based on the unit value for additional shares since 2002 . With effect from February 29, 2008, SWMH acquired the shares of four of the remaining five shareholder families (Dürrmeier, Goldschagg, Schwingenstein and von Seidlein) in December 2007 and has owned 81.25 percent since then. The shareholder family around the publisher Johannes Friedmann ( Abendzeitung ) did not sell. With the acquisition of the SZ majority, the conglomerate of SWMH and Medien Union became one of the three largest daily newspaper groups in Germany alongside Axel Springer AG and the WAZ media group .

The Süddeutsche Verlag is the majority shareholder of the newspaper group Hof / Coburg / Suhl with regional newspapers in northern Bavaria and southern Thuringia ( Frankenpost , Free Word , New Press , Südthüringer newspaper , Meininger Tageblatt ) and through its subsidiary Süddeutsche Verlag Hüthig information GmbH publishers (and various trade publications. A. Advertise & Sell ).

Shareholder

The main shareholders of SWMH are (as of November 2015) with 25.67 million euros each, corresponding to 47.54% of the total capital of 54 million euros each

Furthermore, three minority shareholders with a total of 1.92 million euros or 3.56% and SWMH itself with two shares for a total of 0.73 million euros, corresponding to 1.35%, are shareholders.

The main owner of the Medien-Union is the publishing family around Dieter Schaub . It includes Die Rheinpfalz , the Freie Presse based in Chemnitz, the Westermann printing and publishing group , with numerous stakes in radio stations bundled in MOIRA Rundfunk GmbH.

The group of Württembergischer Verleger (GWV) is a pool of 40 shares, but according to § 4 of the SWMH partnership agreement they are considered one partner. The individual shares are held by publishers and printing companies based in Baden-Württemberg as well as by communities of heirs and individuals.

The two largest shares in this group are held by Ebner Pressegesellschaft KG (which belongs to the family of Eberhard Ebner ) with 11.89%, and Ruth Aberle with 7.39%. The Neue Pressegesellschaft ( Südwestpresse ) belongs equally to Ebner Pressegesellschaft KG and ZVD Mediengesellschaft mbH , which in turn belongs to Ruth Aberle and Württemberger Zeitung GmbH ; the latter is a 100 percent subsidiary of Medienholding Süd (see above). The CVP media company with 36% involved in addition Zeitung Verlag GmbH & Co KG Waiblingen , the publisher of the Waiblingen district newspaper , and also maintains its own share of the SWMH. Karl Aberle was the publisher of the Neue Württembergische Zeitung , which was published in the Südwestpresse in 1974.

Two further shares of more than four percent are held by PZ Media GmbH & Co KG , the publisher of the Pforzheimer Zeitung with 6.25% and Druck und Medien Heilbronn GmbH , the publisher of Heilbronner Demokratie with 4.73%. The other 36 shares from the GWV range from 1.95% down to 0.03%.

The participation of the Medien-Union and the Neue Pressegesellschaft dates back to 1970, when the two companies took over the shares of the entrepreneurial family Bosch ( Robert Bosch GmbH ) in the then Stuttgart publishing company called SWMH.

According to the articles of association, resolutions of the shareholders' meeting must be passed with a two-thirds majority.

management

Jürgen Dannenmann has been managing director since 1990 . He retired on December 31, 2007 for reasons of age. His successor was Richard Rebmann as part of the castling with the Schwarzwälder Bote on January 1, 2008 . Rebmann retired at the end of June 2018. His successor is Christian Wegner. Since 2012, SWMH has been led by a dual leadership. In addition to the chairman of the management board, there has since been another managing director at holding level, Alexander Paasch. He is primarily responsible for the commercial areas. At the level of the SWMH subsidiary Medienholding Süd GmbH (MHS), Herbert Dachs has been the managing director for the Baden-Württemberg regional newspapers of the group since May 2015. The subsidiary Süddeutscher Verlag is managed by Stefan Hilscher and Karl Ulrich. While Hilscher is in charge of the “Süddeutsche Zeitung” division, Ulrich is responsible for the group's specialist information.

The company has a supervisory board with six voting members and two deputies, which makes its decisions with a simple majority. Of these, the group of Württemberg publishers and the Medien Union each send three members with voting rights and one deputy (Section 10 of the partnership agreement). In the case of "casting decisions", an extended supervisory board can be convened in accordance with Section 10a.

The chairman of the SWMH supervisory board was previously Oliver Dubber. From July 2018 he was replaced by Fritz-Jürgen Heckmann. Further members of the Supervisory Board are or were, among others, Karsten Müller, Michael Stahl and Rolf-Dieter Leister (Lucerne).

The publishing houses belonging to the holding company are the editors of 16 daily newspapers, more than 150 specialist information titles, 16 advertising papers and hold more than 35 radio participations. The daily newspapers of the Südwestdeutsche Medienholding achieve a total circulation of around one million copies a day.

At the end of 2012, SWMH sold the shares in Märkisches Verlags- und Druckhaus GmbH (MVD), which includes the Oranienburger Generalanzeiger and Märkische Oderzeitung , to its partner Neue Pressegesellschaft (Ulm) at the end of 2012 .
