The illwerke vkw AG is the largest energy supply and -Dienstleistungsunternehmen in the Austrian state of Vorarlberg , headquartered in Bregenz . The company was created in 2019 from the merger of the two companies Vorarlberger Kraftwerke and Vorarlberger Illwerke , both of which were majority owned by the state of Vorarlberg. The state of Vorarlberg has a direct 95.5% interest in the newly created joint stock company of the two largest energy suppliers in Vorarlberg and an indirect interest of 4.5%. The company operates large hydropower plants throughout Vorarlberg, with the pumped storage power plants in the Silvretta region in particular being among the company's most powerful power plants.
history
The Vorarlberg Illwerke AG stood until November 1995 with a joint majority ownership of the Republic of Austria (70.1618%) and the State of Vorarlberg (25.3382%) before the country the federal government bought from its shares and thus become the sole major shareholder of the company was. On November 8, 2000, the latter in turn acquired the state of Vorarlberg's stake in Vorarlberger Kraftwerke AG and thus became the new main shareholder of VKW. Since 2001, the two stock corporations have been under joint personnel and organizational management, although they have remained legally independent companies.
In 2013, VKW AG subsequently withdrew from the stock exchange. In 2017, however, there were still more than 160,000 VKW shares (1.8% of the total) in free float held by private individuals and municipalities. VKW AG offered these small shareholders the opportunity to buy back their shares at a price of EUR 96.60 per share. After the remaining VKW small shareholders had finally been forcibly paid out in accordance with § 192 AktG, around 40 of them complained to the financial market supervisory authority about what they considered to be too low a settlement amount . Legal proceedings to clarify the amount of the appropriate severance payment are pending at the Feldkirch Regional Court .
The formerly independent energy supply and Generators Vorarlberg power plants and Vorarlberg Illwerke were eventually by orders of their respective shareholder meetings on June 13, 2019. New illwerke vkw AG merged . This merger became legally binding with the entry in the commercial register on July 2, 2019.
