The Strabag SE is a publicly listed Austrian company with headquarters in Vienna . Strabag is one of the largest construction companies in Europe and, in addition to the core markets of Austria and Germany, is active in the construction industry in numerous Eastern and Southeastern European countries. Increasingly, projects are also being implemented in other continents.

The German Strabag AG, headquartered in Cologne, is wholly owned by Strabag SE. At Züblin in Stuttgart Strabag also holds 100 percent of the shares.

Strabag's core shareholders are the Cyprus-based Rasperia Trading owned by the Russian oligarch Oleg Deripaska , the Haselsteiner Group , the Raiffeisen-Holding-Niederösterreich-Wien- Group and the UNIQA Group, which is linked to Raiffeisen .

founding

German roots

On December 12, 1866, the company Remy and Reifenrath was entered in the company register of the Hessian district court in Herborn . In addition to iron constructions, the company also manufactured agricultural equipment and machines that Reifenrath designed and constructed himself. From 1882 he had two steamrollers for road construction, which he lent to neighboring communities in addition to the agricultural machines. In 1895 he founded the "road roller company formerly H. Reifenrath limited liability company" in Niederlahnstein . The decentralization of the company led to the establishment of the Straßenbau-Actien-Gesellschaft Niederlahnstein ( Strabag for short ) on June 20, 1923 , which in 1929 already employed 1,400 people. The company headquarters were later relocated to Cologne. In 1949 Strabag AG, Cologne, was listed on the stock exchange. The largest shareholders were the Cologne bank Sal. Oppenheim and Wilhelm Werhahn , each with 33%.

Austrian and Italian roots

In 1929 the company "Baumeister Lerchbaumer - Isola - KG" was founded in Spittal / Drau in Austria. The founding fathers were Anton Lerchbaumer (born 1879) and his son-in-law Franz Isola (born 1901). The roots can be traced back to the Isola master builder family, who came from Italy, and to the family craft business Anton Lerchbaumer, which was founded in Spittal / Drau in Austria in 1835.

In 1954 Anton Lerchbaumer senior (* 1879) died, Franz Isola was from now on the sole boss, Anton Lerchbaumer junior (* 1913) took over part of the father's duties. In 1954 the construction of the administration building began in Spittal an der Drau. In 1965, Strabag Austria was founded in Linz. In 1968 the second company founder, Franz Isola, died. Anton Lerchbaumer junior took over the company.

1972 was the founding of Ilbau AG. In 1974 Hans Peter Haselsteiner took over the management of the company after the death of his father-in-law Anton Lerchbaumer junior. In 1986 Strabag Austria was converted into a stock corporation and it was first listed on the Vienna Stock Exchange . In 1987, Bau Holding AG was founded as the Ilbau holding company and was listed on the Vienna Stock Exchange for the first time.

In 1998, the ERA building was acquired, a construction company by the merger of the Eberhardt GesmbH , the New Reformbau GesmbH and the two core company of the former Maculan Holding was Uniprojekt and Hinteregger and divided equally owned by Raiffeisenlandesbank Lower Austria-Vienna and the provinces insurance was .

BIBAG Bauindustrie Beteiligungs Aktiengesellschaft, as the majority owner of Bau Holding AG, took over the majority in Strabag AG, Cologne, in 1998. Bau Holding AG - with the operational lead company Ilbau - and Strabag AG, Cologne become sister companies. In 1999, Strabag Austria took over Stuag in full, including the settlement of the free float of Strabag, Austria and the delisting from the Vienna Stock Exchange.

Company name as Bauholding Strabag

The BAUHOLDING Strabag Group standardized its brand identity in 2000. The group now appeared in Europe under the uniform core brand "Strabag". All corporate units in Austria were merged into the new Strabag AG. Merger projects in the other European markets followed. BAUHOLDING Strabag AG became the main shareholder and parent company of Strabag AG, Cologne, in 2001. In 2002, Strabag AG, Cologne, took over the Deutsche Asphalt Group with 1,500 employees and a construction output of approx. € 150 million. In 2003, the free float of BAUHOLDING Strabag AG was spun off and the company was delisted from the Vienna Stock Exchange.

In 2004 the concession and operator models of BAUHOLDING Strabag were merged into A-Way Holding und Finanz AG, a subsidiary of the joint parent company FIMAG Finanz Industrie Management AG (formerly BIBAG Bauindustrie Beteiligungs Aktiengesellschaft). FIMAG became the strategic holding company and formed the new reporting level. BAUHOLDING Strabag Aktiengesellschaft was converted into a Societas Europaea (SE) in October 2004 and is now called BAUHOLDING Strabag SE.

Takeover of Walter-Bau

In 2005, the Strabag Group took over major parts of the Walter Bau Group . The takeover package included DYWIDAG International GmbH and the newly founded DYWIDAG Holding GmbH. This includes DYWIDAG SF- und Ing. Bau GmbH, DYWIDAG Bau GmbH and Walter Heilit Verkehrswegebau GmbH, now Heilit + Woerner Bau GmbH, and was acquired by the German group company, Strabag AG in Cologne. The DYWIDAG International GmbH is taken directly from the BAUHOLDING Strabag SE. Overall, these companies with around 3,100 employees generate construction output of almost € 1 billion. Also in 2005, Strabag acquired a block of shares totaling 53.6% in Ed. Züblin AG, Stuttgart, with over 7,000 employees and a construction output of around € 1.5 billion by BAUHOLDING Strabag SE.

Company name as Strabag SE and listing on the stock exchange

With the name change from BAUHOLDING Strabag SE to Strabag SE and the merger of FIMAG into the company, Strabag SE became the Group's new parent company in 2006. Outwardly, the name change was reflected in a new logo. Besides Strabag, the main brands of the group at that time were DYWIDAG, Heilit + Woerner and Züblin.

In Germany, the building construction and civil engineering of Strabag AG will be transferred to Ed. Züblin AG sold. In April 2007, the Russian businessman Oleg Deripaska acquired a 30% share in Strabag SE.

On June 6, 2007, the Swiss Federal Supreme Court upheld the decision of the Commercial Court of Zurich, according to which the rights to the name Strabag in Switzerland belong to the medium-sized Strabag Strassenbau und Beton AG based in Zurich. The two Strabag subsidiaries Züblin-Strabag AG (Zurich) and Murer-Strabag AG (Erstfeld) were then legally merged under the name Züblin Murer AG with publication in the Swiss Official Gazette of Commerce (SHAB) on July 2 .

The Strabag SE shares were listed on the Vienna Stock Exchange for the first time on October 19, 2007 and were admitted to the ATX on October 22, 2007 . The issue price was € 47 per share.

On August 7, 2008, Strabag SE submitted a public purchase offer to purchase shares in its subsidiary Strabag AG, Cologne. This ended on July 22nd with the acquisition of approx. 21.13% of the share capital. This increased their share from approx. 66.60% to approx. 87.72%.

In 2010 Deripaska again acquired a 17% stake in the Austrian construction company Strabag and had an option for a further 7% until 2014. In return, Strabag received a 26% stake in the leading Russian road construction company Transstroy . Deripaska already owned 25% before the financial crisis , but had to sell it again. Rasperia Trading Ltd. increases its stake in Strabag SE in 2014 to 25% + 1 share.

Takeover of DeTeImmobilien

On October 1, 2008, Strabag SE took over Deutsche Telekom Immobilien und Service GmbH (DeTeImmobilien) from Deutsche Telekom, based in Frankfurt am Main / Münster, at an unpublished price. Overall, DeTeImmobilien generated around EUR 1 billion in the 2007 financial year with around 6,240 employees.

In order to ensure that DeTeImmobilien continues to take care of its buildings, Deutsche Telekom concluded a ten-year service contract parallel to the sale. In addition, agreements on job security were made between the parties and the employee representatives. With the acquisition of DeTeImmobilien, the group has now also assumed a leading role in facility management.

Today DeTeImmobilien GmbH is the Strabag subsidiary Strabag Property and Facility Services .

Cement manufacture

With the establishment of the cement holding company Lafarge Cement CE Holding GmbH in May 2010, Strabag and Lafarge SA , the leading manufacturer of building materials in Central and Eastern Europe, serve the cement markets of Austria, the Czech Republic, Slovakia, Slovenia and Hungary. Strabag holds 30% of the holding. Lafarge brings its works from the Lafarge Perlmooser , as well as one in the Czech Republic and one in Slovenia, while Strabag contributes what is to be built in Pécs to the company. The headquarters of this company, which will operate from 2011, will be located in Austria.

Segments

Strabag provides its services in the following four segments:

North + West

The North + West segment provides construction services of almost any type and size, primarily in Germany, Poland, the Benelux countries and Scandinavia. Special civil engineering and hydraulic engineering can also be found in this segment.

South + east

The geographic focus of the South + East segment is on Austria, Switzerland, Hungary, the Czech Republic, Slovakia, Russia and neighboring countries as well as the region of Southeast Europe. In addition, the environmental technology activities are handled in this segment.

International + special divisions

The International + Special Divisions segment includes the tunnel construction area on the one hand. On the other hand, the concession business is an important field of activity, which includes worldwide project development activities, especially in traffic route construction. Regardless of the location where the service is provided, the building materials business - with the exception of asphalt - with its dense network of raw material companies also belongs to this segment. The real estate business, which extends from project development, planning and construction to operation and property and facility services, completes the wide range of services. In addition, Strabag bundles most of its services in non-European countries in the International + Special Divisions segment.
