The Braas GmbH , with headquarters in Oberursel (Taunus) is a company of international BMI Group SA , a subsidiary of Standard Industries Inc. and was founded in 1953 by entrepreneur Rudolf H. Braas in cooperation with the British building materials producer Redland Plc. founded as Braas & Co GmbH . The company offers roof tiles , mainly made of concrete, roof tiles made of clay and complete roof systems consisting of substructures, solar systems and accessories. The company's slogan, known since 1989, is “Alles gut bedacht”, which is an example of a subtle play on words on a semantic level. BMI Group companies also located in Oberursel are BMI Group Services GmbH, BMI Technical Services GmbH, Monier Roofing GmbH, Monier Roofing Components GmbH and Rupp Keramik GmbH.

history

The founding years

Impressed by the robustness and frost resistance of the cement roof tiles in the Alpine region, the entrepreneur Rudolf H. Braas developed a process in the early 1950s that enabled the mechanical production of concrete roof tiles. After the first roof tile machine designed by him did not bring a breakthrough, contacts with the British Redland Ltd. to success. Roof tiles have been successfully manufactured there since 1919. Redland Ltd. acquired the majority stake in the German roof tile manufacturer in 1954 and in the same year the company's main plant was built in Heusenstamm near Frankfurt am Main. In 1953 the so-called extrusion process of the English engineer Harold Carter was put into operation.

The background to the Dachstein development was the extraordinarily high demand for building materials in what was then West Germany in the post-war period. The year 1953 is considered to be the year the company was founded because at that time the first parent plant was built and opened in Heusenstamm near Frankfurt am Main .

The first Frankfurt pans rolled off the assembly line in this plant from 1954 . The Frankfurt pan became a synonym for roofing materials and reconstruction in the then still young Federal Republic.

The breakthrough came with the pan designed for ten stones per square meter. In the beginning, the production capacity was only forty roof tiles per minute. The main components of these roof tiles are sand , cement , water and color pigments based on iron oxide . For this purpose, the raw materials were then mixed in open concrete mixers , the cement being added by hand in sacks and the sand being added using a beam scale . After this mixing, the material got into the storage container of the Dachstein machine, where it was further processed in the extrusion process. Ridge and verge stones (so-called shaped stones) were made on hand-held tables. The shaped roof tiles were then hardened in an autoclave at around 60 degrees Celsius for eight to twelve hours and then separated from their base plates using a stripping device.

Due to the constantly increasing demand, further production sites were built in the next few years, which went hand in hand with numerous improvements and simplifications in production and application technology. Among other things, closed concrete mixers with dedusting devices were introduced and the production cycle speed of the Dachstein rings increased over time to 100 pieces per minute. Furthermore, verge and ridge stone production was automated and no longer had to be manufactured piece by piece.

Braas has been giving its roof tiles a 30-year guarantee on the strength and frost resistance of its roof tiles since 1954, making it the pioneer of long-term guarantees for a building material in Germany. That year the company produced 2.4 million concrete roof tiles.

In 1954 the company Dachziegelwerke Nelskamp brought a competitor product onto the market with the Finkenberger pan.

The expansion

In 1956, Braas GmbH & Co KG opened a new plant on the border between Monheim am Rhein and Baumberg . The background to the settlement in Monheim was the Rhine gravel that was found in abundance without foreign matter.

From 1963, Braas expanded internationally with the opening of its location in Montfoort , the Netherlands .

1966 Braas founded with the firm Hofman & Maculan in Austrian Poechlarn the company Bramac , which he after their retirement since 1969 with equal parts company Wienerberger further led.

The Braas group of companies has been involved in the Heisterholz clay industry since 1984.

In 1989/90, Braas GmbH in Heyrothsberge bought the concrete roof tile factory there from the Treuhandanstalt , tore it down and built a modern factory for concrete roof tiles ( topping-out ceremony on June 27, 1991; daily production in Heyrothsberge in 1996: 160,000 concrete roof tiles).

In 1990, Braas GmbH incorporated the family company RuppKeramik from Buchen-Hainstadt in the Odenwald into the company as part of a strategic alliance in the roof tile sector , also because it had an excellent clay as a raw material and could therefore also become active in the clay roof tile sector.

In October 1992, a second RuppKeramik production site was opened in Obergräfenhain , Saxony , with the clay required mainly from the clinker manufacturer in Narsdorf near Rochlitz as well as in Eisenberg and Lübschütz. Also in 1992 in Karstädt, Brandenburg, an old GDR tile factory was acquired from the Treuhandanstalt jointly and in equal parts with Meyer-Holsen from Hüllhorst and the clay industry Heisterholz and continued and expanded as Brandenburger Dachkeramik GmbH & Co. KG (BDK).

In 1994 the company produced around 570 million concrete roof tiles with 3,000 employees.

On January 1, 1996, together with Redland Plc. founded the Redland Braas Building Group and merged the Western European roofing materials activities of Redland PLC with the companies of the Braas Group.

In 1997 the shares in Brandenburger Dachkeramik GmbH & Co. KG were sold to Tonindustrie Heisterholz and production in Obergräfenhain was expanded to include two more production plants. In the same year Braas presented the Frankfurt recycling pan , which was the first roof tile in which the sand content consisted of 100% recycled sand .

The Lafarge era

On January 6, 1998, Bertrand Collomb, then Chairman of Lafarge SA , was elected as the new chairman of the shareholders' meeting of the Redland Braas Building Group . At the same time, Lafarge SA took over Redland PLC and with it the 56.5% shares in the Redland Braas Building Group .

On September 30, 1999, the Managing Director Sales and Marketing Heinz-Jakob Holland left Braas Dachsysteme GmbH & Co. at his own request. Gerhard Buhlmann, chairman of the board of management, took over provisional responsibility for the department. Dieter Jens became the new Managing Director Sales.

In 1999 Joachim Gussner, owner of alwitra Flachdachsysteme, took over Braas Flachdachsysteme GmbH & Co KG from the Lafarge Group and renamed it in 2000 to FDT Flachdach Technologie GmbH & Co. KG.

From the year 2000 Lafarge had also taken over all other minority shares and continued to run the company as Braas Dachsysteme GmbH .

In the same year, the Heisterholz clay industry was taken over , which was incorporated into the RuppKeramik subsidiary, making it the number 1 roof tile manufacturer on the German market. At that time, Heisterholz had several production lines at the Heisterholz / Petershagen location as well as a new plant built in 1995/1996 in Karstädt between Hamburg and Berlin. In the previous year the company had a turnover of 100 million DM. The long-standing Heisterholz managing director and managing partner of Heisterholz, Hans-Joachim Rauch, justified the sale with the need for growth, which could only be achieved with a strong partner. After two shareholders have left for personal reasons, it is not possible for a family to absorb this. Rauch resigned from active management and brought his experience as deputy chairman of the supervisory board and as a partner in RuppKeramik to Lafarge Roofing.

As of 2001, Braas Dachsysteme GmbH and RuppKeramik GmbH , as subsidiaries of Lafarge Roofing in Oberursel and both market leaders in their product areas, were in central corporate functions, such as B. Marketing and Sales, merged under the common name Lafarge Dachsysteme GmbH . The still existing Braas Dachsysteme GmbH and Lafarge Dachsysteme GmbH were completely merged by 2003 and the merger and the complete renaming were entered in the commercial register on October 9, 2002 under the number HRB 6681 and thus became effective.

From 2002 Rainer Lüttjohann (previously spokesman for the business of the window manufacturer Velux GmbH, Hamburg) became chairman of the management of Lafarge Dachsysteme GmbH. The previous CEO of the Klöber Group (part of Lafarge Roofing since August 30, 2001) Manfred Corthobius became the new Managing Director Sales of Lafarge Roofing Systems. After the restructuring of Lafarge Dachsysteme, Rainer Lüttjohann, CEO of Lafarge Dachsysteme, is leaving the company with effect from September 1, 2006. He will be succeeded by Dr. Rudolf Rauss, previously Director North & Eastern Europe and member of the Schiedel Group's Executive Committee .

Private Equity Fund PAI Partner / The Monier era

In February 2007, Lafarge SA sold 65% of the roofing materials division, Lafarge Roofing, to the French equity fund company PAI partners of BNP Paribas for an amount of 2.4 billion euros, largely financed by debt. Lafarge continues to hold the remaining 35%. After the takeover, the name Lafarge Dachsysteme GmbH (HRB 6681) in Germany changed to Monier GmbH from January 2008 .

In December 2008 and the beginning of 2009, the Federal Cartel Office imposed considerable fines on Monier GmbH and eight other companies in the clay roof tile industry totaling € 188 million for participating in anti-competitive agreements for clay roof tiles. In 2006 almost the entire industry had agreed to raise prices by 4-6% by levying a so-called "energy surcharge".

The financial fund PAI partners had placed too much debt on the company so that it was taken over by its creditors, Apollo Management , TowerBrook , York Capital and BNP Paribas in 2009 .

IPO, takeover by Standard Industries, squeeze out

In March 2014, the Luxembourg parent company "Monier Participations S.à rl" changed its company name to "Braas Monier Building Group S.à rl" Subsequently, it changed its legal form to a Luxembourg public limited company (Société Anonyme) and changed its company name to Braas Monier Building Group SA Its business is conducted under the trade name “Braas Monier” or “Braas Monier Building Group”.

On June 25, 2014, the holding company Braas Monier Building Group SA, based in Luxembourg, successfully went public on the Frankfurt Stock Exchange. With an issue price of EUR 24.00 per share, the market capitalization was around EUR 940 million. The current main owners, mostly hedge funds, continued to hold shares in the company after the IPO.

On July 1, 2014, the German Monier Braas GmbH was renamed Braas GmbH (HRB 6681).

The company has been part of the US group Standard Industries since April 2017 . In May 2017, the company withdrew from the stock market through a squeeze-out .

On March 1, 2017, MeinDach GmbH concluded a profit transfer agreement with Braas GmbH as the controlling company.

In addition to its headquarters in Oberursel, Braas GmbH now has 16 other locations in Germany and employs around 1,000 people.
