The government Stauning V ( Danish . Regeringen Stauning V ) under Prime Minister Thorvald Stauning was July 8, 1940 to May 4, 1942, the Danish government. It ended the day after the Prime Minister's death. It was the second government under German occupation , apart from the last day of Stauning IV's government .

The government was the 38th government since the March Revolution . Many ministers from the previous government retained their posts, but some social democratic ministers were replaced by politicians from the Venstre and the conservative People's Party .
