The Software AG , headquartered in Darmstadt is one of the world leaders in software solutions for businesses and related services. Their products make it possible to analyze and manage business processes and control IT infrastructures. In 2012, the company was the third largest software house in Germany after SAP SE and Diebold Nixdorf and the seventh largest in Europe in terms of turnover. In March 2018, Software AG had 4,610 employees and sales of 186.6 million euros in the first quarter of 2018.

Products

The Software AG Group is divided into two strategic business areas:

The range includes software and services for the design of process strategies and the design, implementation and monitoring of processes; SOA -based integration and data management; Process-controlled ERP implementation as well as strategic process consulting and services.

The most important products are ARIS , a platform for analyzing business processes, the integration and application platform webMethods , the database management system Adabas and the development environment Natural .

Together with the software cluster , Software AG is the client of the Software Atlas Germany , a study on the regional development of the software and IT service industry that has been published by the Fraunhofer Institute for Systems and Innovation Research since 2010 .

The third division was IDS Scheer Consulting , which offered consulting and services in the field of SAP and BPM until 2014 . The company was bought back in May 2014 by the Scheer Group, which belongs to the founder of IDS, August-Wilhelm Scheer .

Software AG was founded in 1969 by six employees from the consulting firm AIV (Institute for Applied Information Processing), with Peter Kreis in charge. One of the founders was the mathematician Peter Schnell , who later became chairman of the board for many years. He had developed a concept for a database management system (DBMS) on the basis of inverted lists on behalf of a customer. This system was first installed at WestLB in 1971 under the name ADABAS (adaptable database system) . However, the market in Western Europe was not very receptive to new DBMS until the mid-1970s. That is why the American sister company Software AG of North America (SAGNA) was founded in 1972, together with a US partner based in Reston (Virginia) . This was listed on the New York Stock Exchange in 1981 .

Peter Schnell obtained complete control of Software AG shares by the early 1980s. Board members Peter Pagé and Tilo Strickstrock continued to play a major role in Software AG's success . Pagé developed the programming system Natural ( 4GL ) with a small team of employees at the end of the 1970s and was a driving force behind the corporate development of Software AG until he left.

The company experienced a strong growth phase from the early 1980s, when the number of Adabas and Natural installations increased sharply. Dieter Keppler as Sales Director, Egon Homm (Region Manager Southwest), Wolfgang Mudter (Marketing Director, later head of European business outside the German-speaking region) and Arnold Stein (Region Manager South) are linked to this phase in the company's history . During this time it was possible to significantly increase the market share for database systems compared to IBM and Siemens in Germany.

In 1988 Software AG took over all shares in Software AG of North America and made it a subsidiary. In 1997, the investment house Thayers Capital bought 100 percent of the shares in Software AG North America, which then traded under the name SAG Americas (SAGA). Software AG went public in 1999 and is listed on the Frankfurt Stock Exchange in the TecDAX and MDAX . In 2001 Software AG finally took over SAG Americas again and incorporated them into the group as subsidiaries.

In 1990, Software AG presented ENTIRE, which it claims to be the world's first service-based software architecture (SOA), which was available from 1992.

In the wake of the bursting dot-com bubble , Software AG also fell into a crisis at the end of the 1990s. Declining sales and poor profitability caused financial reserves to shrink. According to the company's own statements, the reasons were the globalization of IT and increasing global competition, as well as the massive concentration and consolidation of the market. In the years that followed, however, the company managed to turn the corner towards sustained growth. Software AG's stock market value quadrupled in the four years from 2006 to 2010.

Takeovers and participations

WebMethods

On May 25, 2007 Software AG took over the American software company webMethods at a price of $ 546 million (EUR 420 million at the rate at the time). It was the largest takeover in the company's history to date and one of the largest takeovers of a US software company by a European company.

ARIS software from IDS Scheer

IDS Scheer

On July 13, 2009, Software AG submitted a takeover offer for EUR 482 million for the third largest German software company, IDS Scheer AG . At the end of September 2009 it already owned more than 75 percent of the shares and additional shares were purchased for EUR 15 each; in December 2009 it held 90 percent and concluded a domination and profit transfer agreement with IDS Scheer. According to the Management Board, the two companies complement each other in terms of their strengths. IDS Scheer AG brings a high consulting presence with a total of around 7,500 customers, profound industry expertise and a strong market position in the SAP consulting business.

On July 9, 2010, the IDS Scheer AG Annual General Meeting approved the merger agreement with Software AG with a majority of 92.03 percent of its own share capital.

On April 1, 2014, the consulting business of IDS Scheer AG, which has since been spun off as IDS Scheer Consulting GmbH, was sold to Scheer Group GmbH.

Terracotta

In May 2011 Software AG took over Terracotta Inc. and Metismo Ltd. Terracotta is a leader in in-memory technology for high-performance applications and cloud services. “This should particularly benefit the WebMethods middleware platform from the acquisition.” Metismo Ltd. has a flexible and versatile platform for developing device-independent mobile applications. It enables the design and development of applications and the automatic transformation into the various formats of mobile devices.

my channels

In April 2012, Software AG announced its intention to buy the British technology provider my-Channels. With my-Channels, Software AG has access to universal messaging technology, which enables the company to transfer its data streams quickly and securely within the company to the cloud and to mobile applications.

In March 2013 Software AG acquired a stake in the Berlin company metaquark, which specializes in mobile solutions . The aim is to jointly further develop Software AG's webMethods Mobile Suite.

LongJump

In April 2013 Software AG bought the American cloud platform provider LongJump. "The Platform as a Service offers a number of ready-made modules and templates for creating and operating business applications in public or private cloud environments."

alfabet

On June 3, 2013 Software AG announced the takeover of alfabet AG, a software provider in the areas of “Enterprise Architecture Management” and “IT Portfolio Management”. The company focuses on the planning and optimization of IT landscapes.

Apama

On June 13, 2013, Software AG announced that it had acquired the Apama complex event processing platform from Progress Software. The platform provides an environment for the design and operation of CEP applications and provides analysts, developers and administrators with graphic tools as well as analysis and test functions.

Cumulocity

At the end of March 2017, Software AG announced that it would take over Cumulocity after two years of partnership. Cumulocity is a functionally comprehensive IoT cloud platform for networking devices. The Cumulocity IoT brand name continues to exist on the market.

Services

Customer area

Software AG uses two internet platforms so that its customers can exchange their experiences with the products. These communities are the "ARIS Community" for all ARIS users, and the "TECH Community" for user groups for all other products.

Educational area

The “University Relations Program” aims to establish a connection to the education sector, especially to universities. In addition to various events, the program makes Software AG products available to students and professors free of charge.

Foundation, endowment

In 1992, Peter Schnell transferred the Software AG shares he held in trust to two foundations under civil law , 98 percent of which went to the non-profit Software AG Foundation based in Darmstadt. With 32 percent of the company's shares, it is the largest single shareholder in Software AG.
