The 1 & 1 Drillisch Aktiengesellschaft is a German telecommunications provider with headquarters in Maintal . The company has been majority owned by United Internet since 2017 and offers wireless and landline services .

The 1 & 1-Drillisch Group, including subsidiaries , employed around 3,250 people at the end of 2019 and recorded sales of EUR 3.76 billion in the 2019 financial year. As of December 31, 2019, 1 & 1 Drillisch had around 14.3 million customer contracts. Around 10 million of these were accounted for by mobile communications and 4.3 million by fixed network.

Infrastructure

For mobile communications, the company relies on the network infrastructure of Telefónica Deutschland (all brands) and Vodafone (brand 1 & 1). Due to a requirement of the antitrust authorities regarding the merger between E-Plus and Telefónica, Drillisch was able to secure up to 30 percent of Telefónica's network capacity. For historical reasons, the group continues to use the networks of other carriers for digital subscriber line and fiber optics in addition to the group's own network of 1 & 1 Versatel . With 1 & 1 Versatel, the parent company United Internet has its own fixed network infrastructure and is switching more and more customer connections to its own broadband supply.

In 2019, the company won the bid to set up its own mobile network at the auction of 5G frequencies . A dedicated network is planned for 2021. With 5G you are going separate ways with Telefónica and Vodafone and appear as a new competitor.

The core business of mobile communications is based at the wholly owned subsidiaries

  • IQ-optimize Software AG (mainly to provide group-owned IT services related to the mobile communications business)
  • Mobile Ventures GmbH

Under the brands of the Drillisch subsidiaries, mobile phone providers in particular for private customers are marketed via the Internet, but M2M products are also marketed to business customers. The two cellular networks from Telefónica or Vodafone are (optionally) used for the products, whereby the products in the Vodafone network generally have a higher average price level than those in the Telefónica network. The share of private customers in the overall business is around 20 percent and the business specifications for the subsidiaries are largely carried out centrally, so that most brands have a similarly structured tariff portfolio. On April 1, 2014, a new world of tariffs was presented to all providers.

The Maintaler subsidiary of Drillisch AG, IQ-optimize Software AG, operated under the name "IQ-work Software AG" until May 29, 2007. It primarily provides technical services for the parent company. To a lesser extent, the company also offers related services to other business customers. In addition to the pure services, IQ-optimize Software AG also sells licenses for an in-house developed “workflow management” software under the name “Mapito”.

In September 2014 it became known that Drillisch was planning to build or take over up to 600 shops from O2 / E-Plus in Germany in 2015, in addition to using 30 percent of the network capacities of the merged company (from O2 and E-Plus). Since January 22nd, 2015 it has been clear from an interview that these shops are to be operated under the newly acquired brand label “Yourfone”.

As of April 1, 2015, the operational business of Eteleon AG and MS Mobile Services GmbH was transferred to Drillisch Telecom GmbH as part of internal corporate restructuring. Eteleon AG was merged with MSP Holding GmbH on the basis of the merger agreement of March 17, 2015. In contrast, MS Mobile Services GmbH was merged directly with Drillisch Telecom GmbH due to the merger agreement of March 17, 2015. Yourfone will form the stationary premium brand of the group, while Smart Mobile is the online premium brand.

On May 27, 2015 it was announced that Drillisch is taking over around 300 stores from Telefonica Deutschland. On September 24, 2015, the subsidiary Drillisch Telecom GmbH took on the legal form of a stock corporation and is now called Drillisch Online AG . On December 28, 2017, Heiko Hambückers, Head of Sales and Marketing at Drillisch Online AG, then informed them that the shops were to be sold to Aptus, whose managing director is René Schuster .

history

Foundation and first years

In 1957, the Fernseh-Hugo Forster OHG was founded, the founding activity of which consisted of the construction of main antenna distributors as well as communication and monitoring systems. The Drillisch sales and service company Nachrichten Technik mbH in Maintal was founded in 1983. In 1985 the product range was expanded to include cell phones in the C network .

In 1989 one began with the marketing of fax machines . From 1991 digital alarm systems for fire brigades and the establishment of fire and rescue control centers were marketed.

In 1992 the Fernseh-Forster Hugo Forster OHG was transformed into the Forster Communication Electronics GmbH. Two years later, Drillisch became Vertriebs-Serviceges. Nachrichtenentechnik mbH & Co. KG was founded and the activity began as a service provider in the mobile communications sector for the D2 network. In 1997, Drillisch AG was founded by Hans Jochen Drillisch, Marc Brucherseifer and Nico Forster . The Drillisch Group emerged from previously legally independent companies with Drillisch AG as the parent company. As a service provider, the company, which did not have its own network infrastructure, bought telephone units on a large scale from the network operator Mannesmann Mobilfunk and sold them on to end customers, bundled in special tariff packages. In the former core business, the trade in cell phones, fax machines and other accessories, they still achieved around 48 percent of the total turnover of 117.5 million marks.

initial public offering

The then Drillisch AG went public in 1998. A total of up to 600,000 ordinary shares with a nominal value of five marks were to be issued (including greenshoe of 40,000 shares), of which 360,000 came from an increase in the share capital to nine million marks and 240,000 shares came from the holdings of existing shareholders.

The company received a landline license in 1998. A year later the offer was expanded to include Internet-by-call access services.

In 2000 the fixed network license was sold to the Finnish telecom group Elisa and the company was geared towards the mobile Internet in order to avoid bankruptcy. The company set up the search engine Acoon for web and WAP services. With the purchase of the Finnish WAP programmer and content supplier Open-Net Oy, the further expansion of the Internet content was pursued.

In 2001 Drillisch was up for sale.

From February 16, 2004, the company marketed UMTS products for D2 Vodafone through the subsidiaries Alphatel GmbH and Victorvox AG. On March 31, 2005, the previous spokesman for the board, Marc Brucherseifer, left the board at his own request. Since 2006 the board spokesman Paschalis Choulidis planned to unite the service providers Talkline and Debitel for tax reasons and because of the increasing saturation of the cell phone market under Mobilcom-Debitel .

In January 2007 Drillisch took over its competitor Telco Services GmbH from Idstein im Taunus with around 300,000 customers (10% prepaid) for an estimated purchase price of 40 to 50 million euros. On December 19, 2008, it was announced that Drillisch AG would take over the majority of shares in eteleon e-solutions AG, an Internet sales specialist. The contract to acquire 71.4% was completed in March 2009. Since August 16, 2009, eteleon e-solutions AG (100% b2c.de GmbH; discoTEL, DeutschlandSIM, eteleon) has been a 100% subsidiary of Drillisch AG.

Attempt to take over the Freenet mobile communications division and share in the company by United Internet

On August 22, 2007, Drillisch announced that the previous share of 10.07% in the competitor freenet AG was to be increased to 28.56%. However, the purchase was still subject to the approval of the antitrust authorities. In September 2007, Drillisch and United Internet went public with the plan to jointly take over Freenet AG. Drillisch and United Internet controlled approximately 29% of Freenet AG through the holding company MSP. The holding MSP belonged equally to both companies.

On October 31, 2007, Drillisch CEO Paschalis Choulidis commented in the quarterly report for the first time in concrete terms on the plans to take over Freenets mobile communications division (see Mobilcom ). On November 20, 2007 United Internet announced the failure of talks about a Freenet takeover. Drillisch board member Choulidis was reportedly surprised by this announcement and was only informed about it by a mandatory notification from United Internet.

At the end of November 2007, United Internet surprisingly acquired 5.15 million Drillisch shares and now held a 9.68 percent stake in Drillisch. On December 14th, Drillisch and United Internet announced the increase in the stake of MSP Holding GmbH in Freenet to 20.05%.

On December 20, 2007, Freenet declared the takeover negotiations with Drillisch in relation to the wireless communications division also ended.

In October 2009 United Internet sold its shares in Drillisch AG.

In 2013 Drillisch reduced its stake in Freenet from the original 20.8 percent in two steps, first in March 2013 and October 2013 to 0.39 percent.

On April 27, 2015 United Internet announced that it would take over a total of 20.7 percent of the shares in Drillisch AG and thus become Drillisch's largest single shareholder. On May 26, 2015, the company's plan was approved unconditionally by the German Federal Cartel Office.

Dispute and agreement on commission payments with Deutsche Telekom AG

In November 2011, Deutsche Telekom terminated its cooperation with Drillisch AG and its subsidiaries without notice, because the Drillisch subsidiary Simply commission fraud with prepaid mobile phone contracts was accused. According to a statement by Manfred Balz from Telekom, Drillisch AG has activated tens of thousands of mobile phone connections since February 2011 without actually having any customer relationships.

Telekom also filed a criminal complaint against the company. The share price of Drillisch AG fell briefly by up to 44% after the incident became known.

Drillisch firmly rejected the allegations made by Telekom and stated that Simply had fully complied with the contracts concluded with Telekom.

On March 21, 2012, Drillisch announced the end of the legal disputes with Deutsche Telekom AG. Both concluded an agreement for the settlement of the contractual relationship and the termination of the pending civil proceedings. One month later, on April 19, 2012, the Hanau public prosecutor finally closed the proceedings against members of the management board and management of the Drillisch Group with the consent of the competent court.

Cooperation with Telefónica

When the merger of Telefónica and E-Plus was approved by the EU under certain conditions in 2014, Drillisch was given the opportunity to rent 20 percent of the capacity of the Telefónica mobile network. The contract was concluded in 2015 via the Drillisch Group company MS Mobile Services GmbH (MS Mobile) with a basic term of five years and can be extended to a total of 15 years. The capacity is made available as Mobile Bitstream Access (MBA) in the form of data transmission and data volume. The usage share of the network capacity can be increased to up to 30 percent by 2020. This makes Drillisch the only MBA MVNO on the German mobile communications market.

In this context, Telefónica sold 102 of its own and around 199 partner shops to the Drillisch Group.

Takeover by United Internet

As both companies announced on May 12, 2017, the majority of Drillisch was taken over by United Internet until December 2017 ( reverse takeover ). To this end, it was planned that United Internet would bring its mobile communications and DSL division 1 & 1 Telecommunication SE into Drillisch AG through two capital increases in kind . Since the former has a significantly higher company value, the transaction results in a majority stake of United Internet AG (at least 73.7%) in Drillisch. A value of 3.7 billion euros is estimated for the new company as a whole. With around 12 million mobile customers, Drillisch would then draw level with freenet AG , the fourth largest provider in the German market to date.

On January 2018 the company changed its name from Drillisch Aktiengesellschaft to 1 & 1 Drillisch Aktiengesellschaft .

On September 24, 2018, 1 & 1 Drillisch was included in the MDAX in addition to its listing in the TecDAX as part of the restructuring of the share indices .

Meaning of the brand 1 & 1

With 4.3 million DSL end customers (as of 2018), the 1 & 1 brand is number three in marketing broadband access in Germany after Deutsche Telekom and Vodafone . Marketed to June 2007, DSL connections that a Telekom - landline assume are either provided by Telekom or Telefonica Germany via line sharing (exclusively via ADSL2 +) realized under the name 1 & 1 DSL expelled. With the integration of Voice over IP (2004), video-on-demand (1 & 1 in cooperation with Maxdome ) and 1 & 1 mobile phone tariff (2007) into the DSL-based bundle offer , 1 & 1 became a quadruple play provider. The cooperation with Maxdome was discontinued on January 1, 2012 and the existing contracts were converted into corresponding DSL and telephony bundles.

In a DSL test conducted by Connect magazine in July 2015, 1 & 1 came first ahead of Telekom and marketed this in a comparative commercial . Telekom countered with a spot that referred to the same magazine and alluded to the competitor's poor cell phone reception.

Bundling has always played a particular strength of 1 & 1 in the distribution of Access products . Hardware is offered at a reduced price together with a connection contract. As early as the 1990s, 1 & 1-branded hardware achieved widespread use, for example the "1 & 1 Speedster 14.400" modem. The collaboration with the Berlin manufacturer AVM , whose largest customer 1 & 1 advanced to, and whose DSL router is sold under the product name "1 & 1 Homeserver", formed a milestone . Further examples between 2006 and 2010 are the 1 & 1 PocketWeb mobile e-mail device and the 1 & 1 SmartPad from 2010, originally designed as a remote control for the 1 & 1 MediaCenter presented in 2008. Due to high purchasing volumes, the hardware is usually too comparative when signing a contract offered favorable conditions.

The quality of the DSL access products was also heavily criticized at times. In surveys by Computer Bild on the performance of DSL providers, 1 & 1 scored only "sufficient" on several occasions. In the evaluation for July 2008 to June 2009, 1 & 1 was only 15th out of 20 tested providers, in a subsequent evaluation 14th of 18 tested providers. The worst single point of the evaluation was mostly the customer service.

From mid-2009, 1 & 1 invested a mid double-digit million amount in a quality program. In addition to a free hotline and internal process improvements, it also included an elaborate communication campaign. On Christmas Day 2009, new social media support and a TV campaign started at the same time. The TV campaign was implemented by the Jung von Matt agency with Oscar winner Pepe Danquart and was widely discussed in the media and experts. 1 & 1 was represented in the commercials by Marcell D'Avis, who appeared under the title of Head of Customer Satisfaction and promised to deal with customer concerns personally. To do this, he asked the audience to write him an email. His actual task in the company was to improve the cross-sectional functions in the cooperation of the internal departments and the external service providers, which were criticized. Davis@1und1.de received 845,000 emails within the next 24 months. The TV advertising, which had hardly changed conceptually until 2012, achieved a high level of awareness and represented a turning point in the perception of the company.

In an evaluation for 2010, 1 & 1 improved to 11th place out of 15 tested providers. In 2010, 1 & 1 was able to place itself again in the good middle field in surveys and in September 2012 the German Institute for Service Quality determined 1 & 1 to be the second best Internet provider after Vodafone Kabel Deutschland . In the 2015 Connect magazine reader survey, 1 & 1 received the best rating of all DSL providers in terms of customer satisfaction and pricing. In 2017, according to a study by the news magazine Focus and the management consultancy forum! Mainz took third place in the mobile communications sector in the customer satisfaction rating.
