Hornbach Holding AG & Co. KGaA, which was converted into a stock corporation in 1987 and went public, is the parent company of the Hornbach Group. It has three investment companies (Hornbach Baumarkt AG, Hornbach Immobilien AG and Hornbach Baustoff Union GmbH) and is not operational.
The Hornbach Baumarkt AG is the largest of the three holding companies by far; it operates 158 DIY megastores with garden centers in nine European countries. The Hornbach Baustoff Union GmbH operates mainly building materials trade with commercial customers. Hornbach Immobilien AG develops retail properties; it owns a large part of the extensive real estate assets of the Hornbach Group.
The share capital of Hornbach Holding AG was divided equally into ordinary and non-voting preference shares. Around 100% of the eight million preferred shares are owned by independent shareholders. The preferred shares were listed in the Prime Standard of the German stock exchange. The then unlisted eight million ordinary shares were 100% family owned. The long-term strategic partner Kingfisher plc sold its 25% plus two shares of the voting capital back to the founding family in 2014 after the companies and a. got in the way of foreign expansion to Romania.
On July 9, 2015, Hornbach Holding AG decided to convert it into an AG & Co. KGaA , which took effect on October 12, 2015. The previous preference shares were converted into ordinary shares.
history
The company was founded in 1877 by master slate roofer Michael Hornbach with a workshop in Landau in the Palatinate , 23 years later the company was expanded to include a building materials business by his son Wilhelm. In 1968 Otmar Hornbach opened the first combined DIY and garden center in Bornheim (Palatinate) - a novelty in Europe at the time. In 1987 the company was converted into a holding company. In 1993 the DIY store business was outsourced to its own listed stock corporation and listed on the Frankfurt Stock Exchange . With the first store opening in Austria in 1996, the company began to expand into other European countries.

The subsidiary Hornbach Baumarkt AG was established in 1993 and operates 158 branches in Europe. Hornbach Holding holds 76.4 percent of the shares in Hornbach Baumarkt AG.
Hornbach Baustoff Union GmbH
The subsidiary Hornbach Baustoff Union GmbH currently operates 33 building materials stores in Rhineland-Palatinate, Baden-Württemberg and Saarland as well as two branches in France. The range and services are focused on the needs of professional customers from the main target groups of the main and ancillary construction trades. Primarily materials for the construction industry are traded here. The branches are run in Germany under the names Union Bauzentrum Hornbach, Ruhland-Kallenborn and Robert Röhlinger, in Lorraine under the name Holtz.
