history

EADS is founded

EADS was founded on July 10th, 2000 and has since grown to become the largest European aerospace company. It emerged from a merger of the German DASA , the French Aérospatiale-Matra , and the Spanish CASA . The group is divided into the following business areas (divisions).

Divisions / operational structure (management)

  • airbus
  • Military transport
  • Aeronautics
    • EADS Germany (Aloysius Rauen)
    • Eurocopter (Jean-François Bigay)
    • EADS ATR (Jean-Michel Leonard)
    • EFW (Dierk Minke)
    • EADS Sogerma (Yves Richard)
    • EADS Socata (Philippe Debrun)
  • Space
    • Astrium (Armand Carlier, Joseph Kind, Klauss Ensslin)
    • EADS Launch Vehicles (Philippe Couillard)
  • Defense and Civil Systems
    • Defense Electronics (Stefan Zoller)
    • Service (Jacques Vannier)
    • Missiles MBD (Fabrice Brégier)
    • Aerospatiale Matra Missiles (Pierre Dubois)
    • Missiles LFK (Werner Kaltenegger)
    • Telecommunications (Jacques Payer)

When the company was founded, the shares were distributed as follows:

  • 34.5% of the shares were issued on the stock exchanges and were in free float ,
  • Daimler AG held 30% (sale of the last shares: 2013)
  • The Lagardère Group (15%) (Lagardere sold the shares in 2013) and the French state (15%) hold 30% ,
  • The Spanish SEPI holds 5.5% .

In the same year, the German Rainer Hertrich and the French Phillippe Camus took over the positions of Chief Executive Officers . Due to disagreements between the shareholders of Airbus and the separation of BAE Systems , EADS integrated 80% of the company Airbus, while 20% remained with BAE Systems. For this reason, Airbus had the following subtitle: " an EADS joint venture with BAE SYSTEMS " (German: a joint venture between EADS and BAE Systems).

Airbus A380

At the end of the year, Airbus officially announced the start of the A380 program, for which 50 firm commitments had been made by then.

2001 to 2002

In 2001, EADS continued to seek new joint ventures. This results in ET Marinesysteme in Wilhelmshaven , which is 50% owned by EADS and Thales Nederland and manufactures naval combat control systems. The aim of EADS was a broader positioning in the market and the development of new business areas. Also, MBDA is a joint venture of different companies such as Aerospatiale Matra Missiles , Matra BAE Dynamics and Alenia Marconi Systems . This arms company manufactures guided missiles that are used in the Eurofighter EF 2000 , Dassault Rafale and Saab JAS-39 Gripen , among others .

EADS Aeroframe Services LLC was also founded in 2001. This joint venture between EADS (81%) and Northrop Grumman (19%) is responsible for servicing all Airbus aircraft operating in North and South America . After the decision of the Polish government to upgrade its armed forces with the products of EADS (including the C-295 ), EADS acquired 85% of the share capital of "PZL Warszawa Okecie" and integrated the company under the new name " EADS PZL " completely in EADS. EADS was able to strengthen its competitiveness, especially against the US competition from Boeing , thanks to an increased order volume with new orders for the Airbus A380, the A400M and the Eurocopter Tiger .

In 2002, the Tiger Support Helicopter (UHT) was introduced

In addition to numerous new launches and first flights ( A318 , EC 145 , Eurocopter Tiger , Eurofighter Typhoon ), production of the world's largest passenger aircraft, the Airbus A380, began, and the EU approved the construction of its own satellite navigation system called Galileo .

In 2002 EADS was able to increase its sales again through orders - especially in the military sector and in cooperation with the USA .

For the first time, Airbus succeeded in gaining market share with easyJet for 120 Airbus A319s, Boeing's main competitor, in the low-cost airline segment . At the same time, EADS took over full control of Astrium and Paradigm after the shares were bought out by BAE Systems. EADS was listed in the German MDAX share index for the first time .

2003 restructuring

The enlarged market range and the greater variety of products at EADS forced the company to restructure. This resulted in EADS Defense and Security Systems as one of the five business units - called divisions . The aim of the new division was to bundle the company's military business areas. Among other things, the Military Aircraft, Defense Electronics, Defense and Communications Systems, Missiles and Services divisions were subordinated to her.

The group is divided into the following business areas (divisions).

Divisions (management) / operational structure (management)

Furthermore, the year 2003 was characterized by an expansion of the global company shares, especially in the USA and Russia. The EADS subsidiary Airbus was also successful. For the first time in the history of civil aviation, the order volume of its main competitor Boeing was exceeded, making Airbus the market leader in the construction of civil passenger aircraft.

Global expansion was also advanced with the establishment of EADS Russia , the first Airbus design center outside of the founding states. At the end of the year, EADS and BAE Systems decided to market the A350 . The development of this passenger aircraft has been criticized by potential customers: it contains too few innovations compared to the competitor model, the Boeing 787 Dreamliner . This prompted Airbus to revise it.

2005 change of leadership

The Eurofighter Typhoon

After intense internal disputes, there were changes in management. Thomas Enders and Noël Forgeard became equal presidents ( CEOs ) of EADS, while Gustav Humbert took over the management of Airbus . As a consequence, two Chief Operating Officers - each for Strategy, International Business and Finance - have been appointed within the EADS management level . These were the French Jean-Paul Gut and the German Hans-Peter Ring . In June 2005 the former Aeronautics division was dissolved and a new Eurocopter division was created. The ATR and EADS Socata business units have been placed under the direct responsibility of the EADS COO .

In 2005 the group was divided into the following business areas (divisions).

Divisions (management) / operational structure (management)

The year 2005 was mainly characterized by the launch of the Airbus A380 . But other important products such as the Eurofighter Typhoon have now been delivered to customers in their final configuration for the first time.

2006 to 2009

On July 2, 2006, Noël Forgeard resigned as EADS CEO, his successor being the previous head of the French railway company SNCF Louis Gallois . At the same time, Gustav Humbert resigned from his position as head of Airbus. His successor was Christian Streiff in July 2006 .

In August 2006, EADS received a major order worth 3 to 4 billion euros to set up a new digital police radio network TETRA for Germany in cooperation with Siemens.

BAE Systems sold its 20 percent stake in Airbus to EADS for 2.75 billion euros, making it the sole owner of Airbus. Also in August 2006 the Russian state foreign trade bank VTB (formerly Vneschtorgbank) bought 5.02% of the shares in EADS. The share package cost around 781 million euros, reported the Moscow business newspaper Vedomosti . According to the newspaper, Russian officials said that Moscow wanted to use the commitment to influence the management of EADS in the long term. The Wneschtorgbank used the price fall, which had hit the EADS papers in recent months because of the internal dispute and the problems with the construction of the giant A380 aircraft . In October representatives of Wneschtorgbank announced that they had increased their stake to six to seven percent, reported the French business magazine Les Echos.

At the beginning of October 2006 Christian Streiff resigned from his position after only three months, which has now been taken over by Louis Gallois in addition to his functions at EADS. In October 2006 Gallois announced a location competition between Hamburg and Toulouse for the final assembly of the A380.

At the same time it became known that what was then Daimler-Chrysler AG intended to reduce its share in the EADS group by 7.5%. In order not to jeopardize the balance of the participation of France and Germany (both hold 22.49% of the EADS shares), politicians also looked for solutions. As a compromise, the takeover of the share by a bank consortium emerged without acquiring its own share of the votes in EADS. As a result, partial financing by foreign banks also seemed unproblematic. A buyback by Daimler-Chrysler could take place in several years.

UH-72A Lakota from Eurocopter

In 2006, EADS won a competition for an important order from the US Army for 322 helicopters for the first time with the UH-72 Lakota from the Eurocopter subsidiary .

In July 2007, Dubai International Capital (DIC) bought EADS and acquired a stake of 3.12 percent.

As a result of the Airbus crisis , it was decided on July 16, 2007 to abolish dual leadership at EADS; the first sole CEO was Louis Gallois , while Thomas Enders took over the management of Airbus. In order to keep the influence of Germany and France balanced, the German Rüdiger Grube got the chairmanship of the board of directors.

In March 2008, EADS, as a partner of Northrop Grumman, received a major order from the US Air Force to modernize its fleet of tanker aircraft. The consortium surprisingly prevailed against its competitor Boeing . The contract was valued at at least $ 35 billion and included the construction of 179 KC-45A tankers based on the Airbus A330. Another novelty was the production site that was to be set up in Mobile , Alabama , which meant relocating key production steps to the USA. According to EADS, the order should also create new jobs in Europe.

Airbus Military A330 MRTT tanker

On September 10, 2008, US Secretary of Defense Robert Gates declared the award void and postponed the contract. The subsequent government should decide on the further course of the bidding process. The US Court of Auditors had already recommended this step in June 2008 due to errors in the tender. This was preceded by a violent public argument about the failure to consider Boeing's KC-767. EADS and its partner Northrop Grumman announced on March 8, 2010 that they no longer wanted to submit an offer after the tender had been changed so that the KC-45A could no longer meet the new requirements. By submitting an offer on July 9, 2010, EADS entered the competition for the major contract again, but in February 2011 it lost the bid to Boeing .

At the beginning of July 2009, after a negotiation period of 13 years, EADS 'Defense & Security division received a contract for the delivery of systems to secure the 9,000-kilometer border of Saudi Arabia . This is the world's largest project of its kind.

2010 Renaming of EADS Defense & Security and EADS Astrium

In 2010 the EADS Defense & Security division was renamed Cassidian and the EADS Astrium division was renamed Astrium .

In 2010 the group was divided into the following business areas (divisions).

The ATR (Filippo Bagnato) business unit was directly under the responsibility of the EADS COO .

Failed merger with BAE

In July 2012, the Financial Times Deutschland reported on a possible takeover of BAE Systems , a British aerospace and defense company. On October 10, 2012, EADS and BAE announced the failure of the planned merger in a joint announcement. The states involved could not have agreed on a common approach, whereupon both companies broke off the negotiations. EADS blamed the German government for the failure.

Change in the shareholder structure

In April 2013, Lagardère sold the remaining EADS shares.

2014 renamed Airbus Group

At the half-year press conference on July 31, 2013, EADS announced that the company would be renamed Airbus Group as of January 1, 2014. In addition, the merger of the previously independent Airbus Military , Astrium and Cassidian divisions to form Airbus Defense and Space was announced within a year. The headquarters of Airbus Defense and Space is Munich .

2015 Change of legal form

The Annual General Meeting of Airbus Group NV on May 27, 2015 announced the changing form of Airbus Group NV into the legal form of Societas Europaea (SE). As a result, the company name changes to Airbus Group SE with effect from June 2, 2015 .

2017 transformation program

Airbus Group SE and the largest division (business unit) Airbus Commercial Aircraft (Airbus SAS) were merged to form a new company, Airbus SE. In April 2019, Guillaume Faury took over the position of CEO from Tom Enders.

criticism

Subsidies

In disputes with US competition, both sides repeatedly accuse each other of industrial policy measures that distort competition . In addition to the actual contracts, this also includes government loans and debt relief. According to information from the FAS , European development aid for the A380 alone adds up to 3.6 billion euros , and in 1998 Germany waived DM 7 billion in the repayment of loans to DASA .

Scandals

In spring 2006, the company hit the headlines in connection with the Clearstream II affair in France. In May 2006, EADS Vice-President Jean-Louis Gergorin admitted to authoring anonymous letters to coroners falsely suspecting Nicolas Sarkozy and other politicians of taking bribes through secret accounts at Clearstream. Gergorin has been suspended from his post at EADS. Previously, in April 2006, the offices of Gergorin and other EADS managers were raided by the French judiciary.

In the summer, EADS co-boss Noël Forgeard hit the headlines when it became known that he had sold options worth € 2.5 million about two weeks before the postponement of the planned delivery date of the new A380 was announced, which was generally is taken as an indication of insider trading . Forgeard denied this and blamed his German colleague for the delays. On July 2, 2006, he announced his resignation .

In May 2011, the MDR reported that there was new evidence that federal police officers were working on behalf of EADS in Saudi Arabia. These are internal project papers, contracts and pictures. As the ARD magazine FAKT shows in a report, it emerges from this that the German officials not only train Saudi border police officers in how to use the modern EADS devices, but also for demonstrations and riots. On a video film that FAKT is exclusively available, the federal police showed how to occupy and search houses. With the knowledge of the German officials, the Saudi security forces could act even more efficiently against their own opposition. Demonstrations in Saudi Arabia have been violently suppressed for months. The background to this is an order for EADS from 2009 to secure the 9000 km long border with Saudi Arabia with a high-tech border system with surveillance technology, radar systems, sonars and cameras. The billion dollar deal for EADS, according to the group the world's largest project that has ever been awarded as a complete solution, came about because the federal police were taking on the training of the Saudi security forces at the same time, according to research by the MDR at the beginning of April. The armaments company EADS pays trainer fees to the federal police officers deployed, but they continue to receive their basic salaries from the Federal Ministry of the Interior and thus from the German taxpayer.

corruption

In 2001, allegations of corruption were made in connection with a major arms contract in the Republic of South Africa in 1999. A leading politician on the Defense Committee in Parliament was subsequently found guilty of not accepting gifts. EADS officially admitted that in 30 cases it has "provided assistance" to leading politicians in obtaining luxury vehicles.

The bribery proceedings initiated in South Africa against the responsible EADS manager Michael Wörfel were closed in 2003 by the Northern Transvaal Regional Court. In 2004, the Munich public prosecutor also closed the preliminary investigation against Wörfel, which had been initiated in parallel in Germany (Az. 572 Js 39830/01). He later became head of the EADS branch in Turkey.

In 2005 the media reported about investigations by the Romanian public prosecutor's office against EADS on suspicion of corruption in connection with a 650 million euro contract for border security in Romania, which was awarded without a public tender. EADS was suspected of providing overpriced services to Romania and of including services for which PHARE funds had already been allocated.

In a lawsuit for corruption in business dealings and breach of trust to the detriment of EADS, two former EADS managers were sentenced by the Munich District Court to imprisonment of over two years without parole. A subcontractor was sentenced to two years and eleven months' imprisonment in this matter; two other subcontractors were convicted of commercial bribery. The entrepreneurs had secured orders for the digitization of technical manuals for the Tornado fighter aircraft by granting advantages to the managers. In November 2007, the 51-year-old accused was sentenced to two years probation for bribing EADS employees. The former Airbus employee received a one-year suspended sentence.

On April 10, 2007, the commander of the Austrian Air Force (Airchief), Major General Erich Wolf , who played a key role in the procurement decision for 18 Austrian Eurofighters, was dismissed from him on suspicion of false testimony before an investigative committee and the forbidden acceptance of gifts from an EADS lobbyist Office suspended. ( Eurofighter affair )

The Indian government raised allegations of corruption and on December 7, 2007 canceled a major order for 197 helicopters worth US $ 600 million. The government in New Delhi accused the group of "irregularities in the bidding process". According to the Indian Ministry of Defense, the EADS helicopter division Eurocopter originally won the tender in February 2007 only “through the prohibited use of middlemen”.

On November 6, 2012, the Munich public prosecutor's office searched the corporate headquarters of EADS Germany. Among other things, it concerns the suspicion of bribery in connection with the sale of 15 Eurofighter fighter aircraft to the Austrian army.

In 2015, Transparency International UK published a report that mentions bribery payments when doing business with Austria, Romania and Saudi Arabia.
