The Evonik Industries AG [ evɔnɪk ] based in Essen is a publicly traded German company. It was originally conceived as a conglomerate, but focuses on specialty chemicals and high-performance materials, areas that essentially go back to Degussa . The largest Evonik site is in Marl , the main shareholder is the RAG Foundation . With sales of EUR 13.1 billion in fiscal year 2019 and more than 32,000 employees, Evonik is the second largest German chemical company , making it one of the world's leading specialty chemicals companies.

The Specialty Additives , Nutrition & Care , Smart Materials and Performance Materials divisions are part of the operational specialty chemicals businesses and are run as independent companies that are grouped together in Evonik Operations GmbH. The Technology & Infrastructure division is part of the Services division and acts as a service provider for the other segments, the management holding company and external customers.

Business activity

83% of Evonik Industries' sales are generated abroad. Evonik is present in more than 100 countries. Evonik kept its earnings stable despite the deteriorating global economic situation. Adjusted EBITDA amounted to € 2.153 billion in 2019, after € 2.150 billion in the previous year. Sales fell slightly by 1 percent to € 13.1 billion.

The Resource Efficiency segment increased sales by 4 percent to 3.2 billion euros in 2019. The segment manufactures products for the automotive sector, the paint and varnish industry and the construction industry. In September 2019, the groundbreaking ceremony took place in the Marl Chemical Park for an expansion of the production facility for the high-performance plastic polyamide-12. This increases the production capacity by 50%. At 400 million euros, it is Evonik's largest single investment in Germany

In the Performance Materials segment , sales fell by 9 percent to EUR 2.0 billion in 2019. The Performance Materials segment primarily produces polymer materials and intermediate products for the rubber and plastics industries. It comprises the Performance Intermediates and Functional Solutions business areas .

As in the previous year, the Nutrition & Care segment achieved sales of around EUR 4.6 billion in 2019. At the end of 2018, a new plant for the production of the amino acid methionine went into operation in Singapore . It was the largest single investment in the Group's chemicals division to date.

Klaus Engel resigned from office at the end of Evonik's Annual General Meeting on May 23, 2017; his successor is his deputy Christian Kullmann, who was active up to that point .

As part of the strategic focus on specialty chemicals, Evonik sold the methacrylate network to the subsidiary Advent International in 2019 . The methacrylate group has been operating under the name Röhm GmbH since August 2019 .

Stock exchange and shareholders

In June 2008, the British financial investor CVC Capital Partners acquired a 25.01 percent stake in Evonik for 2.4 billion euros. The remaining shares remained the property of the RAG Foundation . On behalf of the RAG-Stiftung, Evonik was originally supposed to go public in 2012, but the IPO was postponed due to the poor market situation. Evonik shares have been traded on the Frankfurt Stock Exchange since April 25, 2013. The company had previously given institutional investors the opportunity to acquire around 14% of the shares for 2 billion euros. The calculated price at the time of issue was 30 euros per share, although there was no official offer for subscription (shöhe). In May 2016, CVC sold its remaining 4.2% stake in Evonik.

In September 2007, Evonik Industries was established as a new industrial group with the chemical, energy and real estate business areas. The company emerged from the so-called “white area” of RAG Aktiengesellschaft , which was founded in 1969 as Ruhrkohle AG. In order to be able to act on international markets, the Supervisory Board of RAG AG approved on October 11, 2006 a change in legal form from RAG Beteiligungs-GmbH to RAG Beteiligungs-AG, which included the corresponding area of ​​RAG Aktiengesellschaft. The RAG Foundation was established in June 2007. On November 30, 2007, the existing shareholders E.ON , RWE , thyssenkrupp and ArcelorMittal transferred their shares directly or indirectly for one euro each to the newly established RAG Foundation. In September 2007, the company was renamed Evonik Industries AG as part of a major advertising campaign . The name Evonik was created by Manfred Gotta . The Latin prefix “Evo” is used to combine the association “stem” or “germ”, the verb “evolvere” means “to develop”. The new corporate color “Deep Purple”, a dark purple shade, is intended to represent the creativity of the new group and to set itself apart from the otherwise predominant blue and red tones of the companies in the DAX.

Evonik has sold its previous investments in the areas of energy, real estate and skin protection and is now focusing on the core business of specialty chemicals.

Infracor

After the merger of Hüls AG and Degussa AG to form Degussa-Hüls AG in 1999, the service business was continued under the name Infracor GmbH . This name was retained when Degussa-Hüls AG merged with SKW Trostberg AG in 2001 to form Degussa AG. Infracor GmbH has been part of the Evonik Group as a wholly-owned subsidiary of Degussa since 2007 . From July 1, 2013, Infracor will be managed by Evonik Industries, to which all employees will be transferred.

The Steag (formerly Evonik Steag GmbH ) generated in North Rhine-Westphalia and Saarland in eight coal-fired power plants with about 8,000 megawatts of power eight percent of Germany's electricity, it is now the fifth largest German power generator. At the end of 2010, a 51% stake was sold to a municipal utility consortium from the Ruhr area for € 649 million. The remaining 49% were also taken over by the consortium for € 570 million in August 2014.

The real estate subsidiary Evonik Immobilien GmbH was renamed Vivawest GmbH by resolution of the shareholders' meeting on November 25, 2011 . The entry in the commercial register takes place on December 14, 2011. On January 1, 2012 Vivawest merged with the housing company THS under the name Vivawest. In 2013 Evonik sold the majority of its shares in Vivawest to the RAG Foundation, the Evonik pension fund and the hard coal company RAG AG, and only held 10.9% itself. In 2015 Evonik then sold the remaining shares in Vivawest to RAG AG.

On May 31, 2014 Evonik sold its STOKO® Professional Skin Care ('Stoko') product line to the Deb Group based in Denby, Great Britain.

Sponsorship

Evonik (initially RAG Aktiengesellschaft ) has been the main sponsor of the Bundesliga soccer club Borussia Dortmund (BVB) since the 2006/2007 season . This contract was extended in February 2012 to June 30, 2016; the first contract ran until mid-2013. On June 27, 2014, BVB and Evonik announced that they would extend the sponsorship contract to June 30, 2025. In addition, Evonik will become a shareholder of 9.06% of the share capital of Borussia Dortmund GmbH & Co. KGaA. Evonik also participated in a capital increase of Borussia Dortmund GmbH & Co. KGaA that was resolved in August 2014 and, with 14.78%, is the largest shareholder in Germany's only listed first division club.

Until the announcement of the new name Evonik in September 2007, only an exclamation mark by the artist Otmar Alt was temporarily visible on the chest of the BVB players . Due to the renaming of the decoupled division of RAG Aktiengesellschaft in Evonik, jerseys (home jerseys) with the new Evonik logo were distributed free of charge to the more than 50,000 season ticket holders for the 2007/2008 season.

Evonik supports the work of the Episcopal Action Adveniat to improve living conditions in Latin America.

On May 17, 2011, Evonik donated one million euros to a children's home in the earthquake area in Tohoku / Ichinosekishi that was destroyed during the Tōhoku earthquake in 2011 as part of a charity match between Borussia Dortmund and a Japanese national team .

Evonik is also the main sponsor of the Ruhr Festival in Recklinghausen and the non-profit Rebikoff Foundation in the Azores, which operates the Lula 1000 research submersible with a plexiglass dome.

Party donations

In September 2014 Evonik Industries donated a total of 160,000 euros to party donations , of which 90,000 euros for the SPD and 70,000 euros for the CDU . In November 2017, Evonik Industries again donated a total of 160,000 euros, of which 80,000 euros to the SPD and 80,000 euros to the CDU. The donations were repeated in the same amount in November 2018.
