The 1938 season of the Primera División was the 35th season (the 7th of the professional era) of the highest Uruguayan division in men's football , the Primera División .

The Primera División consisted of eleven clubs in the championship season of 1938, whose teams met twice in a total of 100 championship games. There were 20 game days. Club Atlético Peñarol won the championship as first in the table in front of the second and third-placed clubs Nacional Montevideo and Central . A relegated team was not determined that season. It is true that the bottom of the table, Liverpool FC, was relegated against Club Atlético Progreso as champions of the Divisional Intermedia in 1938 . Liverpool FC prevailed 3-1 in the first game. Progreso won the second match 3-2. In the third and decisive clash, however, Liverpool FC retained the upper hand 2-1 and stayed in the first division. Top scorer was Atilio García with 20 goals .
