The Unicredit Bank Austria AG (BA) with their brand Bank Austria is by total assets and core capital , the largest Austrian banking institution and has its headquarters in Vienna . The bank has been majority owned by Unicredit since 2005 and a wholly-owned subsidiary since 2008 following a squeeze-out .

Bank Austria is active in Austria with financial services (deposits, loans, advice, etc.) for private customers, corporate customers and the public sector. It sells financial products in the areas of building & living, securities and leasing. Its head office has been on the Austria Campus in Leopoldstadt since 2018 .

Outside of Austria, the banking group is strongly represented in the Central and Eastern European countries (CEEC), where the bank generates a large part of its profit. Of the 35,882 employees as of June 30, 2015, around 81% were employed abroad.

Since the beginning of 2007, Bank Austria has been responsible for managing the CEEC subsidiary banks of the Unicredit Group . This means that she is also responsible for 20 countries in which she was previously not represented. In eight of these countries, Unicredit and HVB do not yet have any branches. However, Bank Austria was unable to keep its Polish business, where it was particularly well represented through its subsidiary Bank BPH .

In 2015, it became known that Bank Austria was significantly reducing the number of retail customer branches and was handing over its eastern business to Milan.

Company history

The former administration building of Bank Austria in Lassallestrasse in the Nordbahnviertel , Vienna 2

Bank Austria founded in 1991

Bank Austria Aktiengesellschaft was formed in 1991 from the merger of Zentralsparkasse , the largest savings bank in Austria owned by the municipality of Vienna, and the Länderbank , which was economically troubled at the time and whose sole shareholder was the Republic of Austria . The institute that emerged from this merger was the largest bank in Austria, even before the Creditanstalt-Bankverein .

New establishment in 1996 and takeover of Creditanstalt

In 1996 the German WestLB took a 9.1% stake in what was then Bank Austria Aktiengesellschaft. After (after years of discussion) the 51% state stake in Creditanstalt was put out to tender for privatization , Bank Austria was awarded the contract for the equivalent of 1.25 billion euros in January 1997, despite violent political squabbles and intervention attempts. As a result, this sale almost led to the termination of the then red-black coalition ( Federal Climate Government ) by the ÖVP . In return, Bank Austria / Aktienverwaltung Zentralsparkasse (AVZ) sold the majority in GiroCredit to Erste Österreichische Spar-Casse (today Erste Bank AG ) for ATS 8.24 billion  (approx. EUR 600 million ). In February 1998 the federal government sold its last block of shares in Creditanstalt, and by September the remaining shares were exchanged for Bank Austria shares, which from then on were listed on the Vienna Stock Exchange alone .

With a merger agreement dated June 4, 1998, Creditanstalt AG (FN 53960d) was merged into the original Bank Austria Aktiengesellschaft (FN 046868z) on September 24 .

Previously, the BA share in LB Fondsberatungsgesellschaft mbH in Vienna, the two foreign branches of Bank Austria ( branch New York Non Treasury Business-Commercial Trade and Assets ) and Creditanstalt ( branch Greenwich Non Treasury Business-Commercial Trade and Assets Cayman Islands ), as well as the Bank Austria assets part of the international business operations, were brought into Bank Austria Creditanstalt International AG (FN 162356i).

With the simultaneous change of name from Bank Austria Aktiengesellschaft to BA Holding AG , the previous Bank Austria (old) and - after several further transfers of foreign companies - the old one were created through the transfer of the "Operation 'Company BA'" in accordance with the demerger and takeover agreement of September 4, 2000 BA-CA group into this - also the Bank Austria Creditanstalt International AG (FN 162356i) merged into the Sparkasse Stockerau Aktiengesellschaft (FN 150714p) founded on September 18, 1996 . The latter, whose headquarters had previously been relocated from Stockerau to the BA headquarters in Vienna, was renamed Bank Austria Aktiengesellschaft at the same time as the merger and is now UniCredit Bank Austria AG as Bank Austria . The now remaining company shell of BA Holding AG (FN 046868z) was deleted from the commercial register with effect from February 2, 2001, and that of Bank Austria Creditanstalt International AG with effect from November 7, 2000.

After further takeovers and mergers from the BA group, with the simultaneous renaming of Bank Austria Aktiengesellschaft to Bank Austria Creditanstalt AG , another merger took place on August 13, 2002 by taking over Creditanstalt AG (FN 147551m). With effect from September 27, 2008, Bank Austria was renamed into today's UniCredit Bank Austria AG .

Takeover by Bayerische Hypo- und Vereinsbank in 2000

The Bayerische Hypo- und Vereinsbank took over in 2000, the Bank Austria share swap. Bank Austria was last listed on the Vienna Stock Exchange in February 2001 (last note: 62 euros). As a result, holdings were exchanged, with the Eastern European holdings mainly coming to Bank Austria, the Western and non-European holdings to Bayerische Hypo- und Vereinsbank. After the corporate merger of Bank Austria with Creditanstalt in 2000, the new banking group operated under the name Bank Austria Creditanstalt AG (BA-CA) until April 1, 2008 . In March 2003, BA-CA decided to go public, the shares were first listed in Vienna in July 2003. The bank was the first foreign company to have a secondary listing on the Warsaw Stock Exchange .

Acquisition by Unicredit in 2005, acquisitions

The former headquarters of Bank Austria on Schottenring.

In June 2005 it became known that the major Italian bank UniCredit SpA would take over HVB and thus BA-CA as well. In July 2006 UniCredit acquired the 77.5% stake in BA-CA previously held by HVB. At the end of 2006, Bank Austria Creditanstalt AG took over the role of the Eastern European sub-holding of the UniCredit Group by way of a capital increase in the form of shares in the shareholder UniCredito Italiano SpA from the Central and Eastern European operations . In 2007 the reorganization of the Eastern European business was completed, BA-CA was now the competence center for Eastern Europe with the exception of Poland. In 2006, Bank Austria's own fund company, Capital Invest , was integrated into UniCredit's Pioneer fund group .

The Croatian Splitska banka , which was acquired in 2002 by Bank Austria by 132 million euros, was in the course of integration into the UniCredit to the French Societe Generale sold around 1 billion euros to the EU - Antitrust Policy to meet, because UniCredit was already the majority owner of the Croatian market leader Zagrebačka banka , which, like the other holdings in Central and Eastern Europe, was transferred to Bank Austria.

In December 2006, the purchase agreement was signed to take over the Russian Aton Bank for 424 million dollars (at the exchange rate in mid-December this year: 322 million euros). In 2007 Bank Austria took over 100% of the shares in International Moscow Bank (later renamed ZAO UniCredit Bank ), one of the largest foreign banks in Russia, from its now sister company HVB and some minority shareholders . In addition, large banks in Kazakhstan ( ATFBank ) and Ukraine (Ukrsotsbank) were acquired in 2007 and 2008 , with the Kazakh stake being sold again in 2014.

During the financial crisis in 2007 , Bank Austria was able to ensure its continued existence without direct government support.

New brand identity, real estate sale 2008

Logo from 2002 to 2007

Since April 1, 2008, the bank and its subsidiaries have had a new brand identity. Corporate law, the name of the bank with effect was of 27 September 2008, UniCredit Bank Austria AG renamed . The logos were brought to Unicredit group standard, and the identity-creating “red wave” - the previous company logo - was replaced by the Unicredit “ones on a red ball” stylized as an arrow. The UniCredit Group umbrella brand should also be established. The externally effective brand name was simplified to Bank Austria , whereby Creditanstalt disappears from the image of the company to the outside world. The font was adapted to that of the mother. Such a change was implemented in all Unicredit companies at the same time, which is why HypoVereinsbank has also received a new logo. This brand adjustment has already been carried out in the Central and Eastern European subsidiaries of Bank Austria.

Already after prolonged speculation about a sale of some traditional real estate as part of the restructuring of the Bank, the Management Board on 31 January 2008 announced that both the former countries Bank headquarters at the court and the former Z -Central in the Middle Zollamtsstraße - what to At that time the company was still the official headquarters - to be sold to the best bidder by the end of May 2008. The contract for both objects received the Austrian in August 2008 Signa Holding of René Benko . Construction work on the Austria Campus began in 2014 and was officially inaugurated on September 13, 2018 as the new headquarters of Bank Austria.

Due to two legal requirements, Bank Austria had to open its archive of 150 years of history in May 2008, which was thus made accessible to the general public. A settlement agreement with Austrian Holocaust victims requires full disclosure of banking activities during the Nazi era. Furthermore, a monument protection regulation of the Austrian State Archives in the name of the public interest protects the files of 74 banks and companies from 1933 to 1967, in which the predecessor institutions of Bank Austria are mentioned. All historically relevant documents of the bank and its predecessor institutions ( Länderbank , which was merged with Zentralsparkasse and Kommerzialbank Wien in 1991 , as well as the Creditanstalt-Bankverein ) are collected in the archive called “Historical Archive of Bank Austria” .

Restructuring in 2010 and 2013

On October 1, 2009, Willibald Cernko took over as CEO of Bank Austria from Erich Hampel , who moved to the supervisory board as deputy chairman. As part of a restructuring in 2010, Bank Austria reintegrated the investment banking activities of the 100% subsidiary UniCredit CAIB AG, the treasury and liquidity management as well as the competence lines. The parent company Unicredit strengthened Bank Austria's capital base by acquiring around 29 million shares for 2 billion euros.

With a net profit of EUR 242 million and total assets of EUR 201 billion in the first quarter of 2010, Bank Austria is Austria's most profitable and most equity-rich major bank. Their Austrian customers include 88% of large companies, 68% of medium-sized companies and 45% of small companies. Bank Austria's network comprises around 300 branches and around 8,000 employees in Austria. The head office of the bank is in Vienna.

In February 2013 the bank announced that it would close more than 100 of its approx. 350 branches in Austria by 2015. At the same time, a socially acceptable staff reduction to 10,000 employees should take place. According to the bank, 400 jobs have already been cut since 2011, with a further 400 to follow by 2015.

In December 2013 it was announced that the bank had sold its corporate headquarters on Wiener Schottenring for 125 million euros to a private foundation owned by the investor Ronny Pecik . However, the location was still used by the bank until the move to the new Austria Campus location .

Restructuring in 2015

In October 2015, it became known that Bank Austria was considering selling the private customer business to BAWAG. Instead, in December 2015, the decision was made to cut the private customer business, to close 70 of 190 branches and to cut costs massively. In the course of the restructuring of the group, Bank Austria and hundreds of employees agreed to terminate the contract. The UniCredit subsidiary had previously stated that it wanted to do without layoffs.

Activities in Central and Eastern Europe

Former Bank Austria building in Warsaw

Outside of Austria, the banking group is strongly represented in the Central and Eastern European countries, where the bank generates a large part of its profit. The UniCredit Group currently has around 9,000 branches and over 148,000 employees in 20 European countries. Since the beginning of 2007, Bank Austria has been responsible for managing the subsidiary banks of Unicredit in Central and Central Europe (CEEC) (with the exception of the Polish subsidiary). In 1997, the Central and Eastern European activities of Creditanstalt and Bank Austria were brought into a holding as a control and management unit, which was then merged into the newly created Bank Austria Creditanstalt International . A year later, all foreign branches (with the exception of the subsidiary in Russia) and all foreign bank holdings were combined under one roof in Bank Austria Creditanstalt International . The Bank Austria Creditanstalt International is from the beginning the biggest foreign bank with nationwide presence in Central and Eastern Europe. Since 2007, Bank Austria has been managing the entire Unicredit Group business in Central and Eastern Europe with the exception of Poland.
