The tournament began with the game played on March 28, 1940 between Real Club España and CF Atlante (0-2) and ended with the cup final played on April 28, 1940. It was played in a knockout process , whereby the winners of the preliminary round matches were determined in the first and second legs and the winning team with the best record qualified directly for the final. The other two winners determined the finalists in the semi-finals, which - like the final - was decided in a single match, which was held in Parque Asturias .
