The DMG MORI Aktiengesellschaft (proper spelling in capital letters ; to September 2013: Gildemeister AG , to June 2015: DMG Mori Seiki Aktiengesellschaft ) is one of the largest manufacturers of metal-cutting machine tools in Germany and a leading manufacturer of worldwide CNC -controlled lathes and milling machines . The German-Japanese company has been operating under the motto "Global One Company" since June 2016 and wants to emphasize the importance and intercultural merging of one company.

In addition to lathes and milling machines, the range also includes advanced technologies such as Ultrasonic, Lasertec and Additive Manufacturing. In addition, the machine tool manufacturer develops holistic technology and automation solutions through to digital products and solutions for Industry 4.0. The service business includes services such as training, repairs, maintenance and spare parts service. After intensified recruiting measures in this area, DMG Mori is massively expanding the service business. The company has 14 production sites worldwide and 157 international sales and service locations in 79 countries. The corporate headquarters are in Bielefeld. The headquarters of the parent company, DMG MORI Company Limited, is located in Tokyo, Japan.

history

On October 1st, 1870 - at the time of the " early years " in Germany - the master locksmith Friedrich Gildemeister opened the "Machine Tool Factory Gildemeister & Comp." In the following decades the factory at the station of the former Cologne-Minden railway line in Bielefeld was expanded to include additional workshops.

For more than 100 years - until 1976 - the company was based where the town hall is today. Since then, Gildemeisterstraße 60 in Bielefeld has been the new company location of the group, which employs 7,503 people and 396 trainees worldwide (as of 2018).

In 1899 the then OHG was converted into a stock corporation with a capital of 1 million gold marks. The IPO of Gildemeister took place in the 1950s. At the end of 1969 the company became a public company with a wide range of shares.

Gildemeister achieved success in the 1980s primarily with the EltroPilot-2 control, which enables the program sequence to be simulated and supports the operator in programming with graphics.

Gildemeister Projecta GmbH (Gipro) was the general contractor for the construction of an Iraqi military research center under Saddam Hussein .

In 2002, Gildemeister was admitted to the “Prime Standard” by the German stock exchange . After the re-segmentation of the German stock indices in March 2003, the Gildemeister share was listed on the SDAX . At the end of December 2007, Gildemeister AG was included in the MDAX , but had to leave it again on December 19, 2016.

In 2008 the public prosecutor began investigating the CEO of Gildemeister AG, Rüdiger Kapitza. The allegations against him included embezzlement, corruption, bribery and tax evasion. In late summer, investigations by the public prosecutor's office and the financial market regulator BaFin came to an end because of insider trading. In other areas, however, the investigations continued. In March 2013 the investigations in Austria were finally stopped and Kapitza was exonerated on suspicion of infidelity and fraud. On April 6, 2016, Kapitza resigned from his position as CEO. Christian Thönes was appointed as his successor. He has been CEO since April 15, 2016. The business graduate has been a member of the Executive Board since January 2012 and has been responsible for product development, production and technology. He joined the group in 1998 and built up Advanced Technologies. From 2009 to 2011 Christian Thönes was managing director of DECKEL MAHO Pfronten GmbH. Christian Thönes is responsible for product development, sales, purchasing, corporate communications, human resources, law and auditing.

Merger with Mori Seiki

In March 2009 a cooperation agreement started with the Japanese company Mori Seiki . In July 2009, the cooperation began initially on the markets of Taiwan, Thailand, Indonesia, Turkey, Japan, Korea and Australia, followed in 2012 by India, the USA and South-East Asia. In September 2011 both companies appeared for the first time as DMG / Mori Seiki in Germany at the EMO 2011 in Hanover and established their joint presence in Europe. In March 2013, a cooperation agreement was concluded between the cooperation partners. Among other things, the agreement provided for the adaptation of the company names of both companies to the already established common brand identity. At the 111th Annual General Meeting of Gildemeister Aktiengesellschaft, the shareholders approved the change of name from Gildemeister Aktiengesellschaft to DMG Mori Seiki Aktiengesellschaft (written in capital letters) on May 17, 2013 with a majority of 94.02%. Mori Seiki decided to change the company name from KK Mori Seiki Seisakujo to DMG Mori Seiki KK at their general meeting on June 17, 2013.

On January 21, 2015, the Japanese company Mori Seiki submitted a takeover offer for Gildemeister. CEO Rüdiger Kapitza promoted the takeover. Before the official offer, the Japanese already held more than 20 percent of the shares. The Cartel Office approved the takeover.

Both companies are now mutual main shareholders: DMG Mori Seiki AG (Gildemeister) holds 50.1 percent of DMG Mori Seiki KK , DMG Mori Seiki KK owns 50.81 percent (as of April 2, 2015) in Gildemeister.

As announced on April 6, 2016, DMG Mori Co., Ltd. the direct and indirect holding in DMG Mori AG increased to over 75%. In addition, through the subsidiary DMG Mori GmbH, Bielefeld, a 100% subsidiary of the Japanese DMG Mori Co., Ltd. a domination and profit transfer agreement in accordance with §§ 291 ff. AktG with DMG Mori Aktiengesellschaft as the controlled company. This contract came into effect on August 24, 2016.

Acquisitions

In 1994 Gildemeister took over Deckel Maho AG , which had got into trouble , continued its milling machine concept and then operated under the name DMG (Deckel Maho Gildemeister) . Since the takeover of Sauer GmbH , DMG has also been offering laser and ultrasonic machines. DMG MORI AG has also been offering tool presetting devices since DMG Microset GmbH was founded . In January 2017, Haimer and DMG Mori signed a cooperation agreement. Haimer GmbH becomes Premium Partner and takes over Microset GmbH. DMG Mori has held 100 percent of GILDEMEISTER energy solutions GmbH since 2002 . The company, based in Würzburg, builds solar systems worldwide as a full-service provider and looks after them as a maintenance and monitoring specialist. Further business areas are complete solutions for industry, trade and commerce as well as offers in the field of energy efficiency.

Since February 14, 2017, the company has been strengthening its technologies in additive manufacturing with a majority stake of 50.1% in REALIZER GmbH from Borchen. With selective laser melting, DMG MORI bundles the generative manufacturing processes for metallic materials under one roof. Thanks to SAUER GmbH, DMG MORI already has know-how in the field of laser deposition welding with powder nozzles (Laser Metal Deposition). At the same time, the establishment of the startup ISTOS was announced in February 2017. DMG MORI is thus expanding its digitization expertise. The new company based in Düsseldorf develops projects for digital production for DMG MORI. ISTOS stands for “Innovative Software Technologies for Open Solutions” and is intended to make digitalization in the manufacturing sector sustainable. The basis is Celos, the APP-based control and operating software from the tool manufacturer.

With the joint venture ADAMOS (ADAptive Manufacturing Open Solutions) announced on September 5, 2017, DMG MORI, Dürr, Software AG and ZEISS as well as ASM PT are founding a strategic alliance for the future topics " Industry 4.0 " and " Industrial Internet of Things " (IIoT) . The open IIoT platform ADAMOS is manufacturer-neutral and combines modern IT technology and industry knowledge. The jointly developed ADAMOS platform will be available worldwide from October 1st, 2017.

On July 1, 2019, DMG Mori AG handed over the main business activities of GILDEMEISTER energy solutions to the Essen-based energy group STEAG . All employees have been taken over by STEAG.

On March 1, 2020, the group announced the temporary closure of the location in Pfronten im Allgäu with 1,600 affected employees after an employee was infected with the corona virus.

  • Due to the domination and profit and loss transfer agreement, DMG Mori AG has not paid any dividends since the 2016 financial year.
