Life

Origin and law degree

Albrecht Schmidt grew up in a middle -class family. His paternal grandfather was the architect August Hermann Schmidt (1858–1942), partner in the then well-known Leipzig architecture firm Schmidt & Johlige . His father was the architect Gottfried Hermann Schmidt (* 1892), his mother Ruth geb. Weste (* 1909) was the daughter of a royal Saxon officer . He had six siblings, including the federal administrative judge Peter Schmidt (* 1943). The family owned several residential buildings in Leipzig. After attending primary school, he became a student at the humanistic St. Thomas School in Leipzig .

His family left the GDR in 1954 . From then on he lived in Stuttgart and attended the Eberhard-Ludwigs-Gymnasium there . After graduating from high school, he began studying law and economics at the Eberhard Karls University in Tübingen , which he later continued at the Ludwig Maximilians University in Munich . In 1962 he successfully passed his first state examination in law . In 1965 he married Gerda Elka Miss (* 1942), with whom he has two daughters. In 1966 he was at the Law Faculty of the Ludwig Maximilian University of Munich with the thesis competition problems to § 267 of the Criminal Code - A contribution to the theory of mixed law and the doctrine of the law competition in the criminal law to Dr. jur. PhD . After completing his legal clerkship , he passed his assessor exam in Munich in 1967 . During his legal clerkship he was a successful legal tutor.

Professional background

Entry into the banking industry

In 1967, the university graduate began as an assistant to the board in the mortgage department of Bayerische Vereinsbank AG in Munich. Six years later, the department head was elected as a deputy and in 1976 a full member of the board of the subsidiary Nürnberger Hypothekenbank AG , which was active in the field of stable commercial real estate . In May 1979 he became a member of the board of the parent company. As this he was responsible for real estate financing , human resources and the Rhine-Main region. In 1982, his area of expertise also included the acquisition of the private Frankfurt banking house Gebrüder Bethmann . This was the first time the Bavarian parent company expanded outside of southern Germany.

Board spokesman of the Bayerische Vereinsbank

In May 1990 Albrecht Schmidt took over from Maximilian Hackl , who became chairman of the supervisory board, the office of spokesman for the board at Bayerische Vereinsbank AG. He prevailed against the original Crown Prince Hackls, the board member Dietrich Koellhofer . In the opinion of the business press, he seemed rather undiplomatic compared to Schmidt during his candidacy. From then on, at Schmidt's instigation, the bank positioned itself as a “focused universal bank” with the business model “profile and profitability”. A takeover of the private Cologne private and investment bank Sal. Oppenheim in 1995 failed due to his resistance. In the following deals, he consciously avoided the investment banking business. In April 1996, the US rating agency Moody’s downgraded the Vereinsbank from Aaa to Aa1 due to unsecured long-term liabilities. He expressed displeasure with the decision and criticized the influence of rating agencies in this context . Economic successes, however, were the increase in the stake in the traditional Hamburger Vereins- und Westbank AG in 1990 and the opening of more than 100 branches with more than 1300 new employees in the new federal states after the fall of the Wall. He also founded several subsidiaries: in 1991 the Bausparkasse Vereinsbank Victoria Bauspar AG and in 1996 the direct bank Advance Bank AG . In 1997 the Vereinsbank bought Noris Konserbank GmbH , later one of the German pioneers in electronic banking . Through the wholly owned subsidiaries Luxemburger Vereinsbank International , the Swiss Bank von Ernst , the Wiener Schoellerbank and the BPH in Poland, the Vereinsbank expanded across Europe under his leadership. The first branches in Asia and Latin America were also opened at his instigation. In 2002, the business magazine Capital called him “Germany's most aggressive banker”.

Foundation of HypoVereinsbank

From 1997, he and the Augsburg-born bank manager Eberhard Martini pushed the merger of Bayerische Vereinsbank with Bayerische Hypotheken- und Wechsel-Bank AG to form Bayerische Hypo- und Vereinsbank AG through a share swap . Schmidt reacts quickly and with foresight to a previous Deutsche Bank share purchase in the Vereinsbank, initially amounting to five percent. With the merger in 1998, the second largest bank in terms of market capitalization (59 billion D-Marks) was created in Germany and he was appointed as the first board spokesman. In the course of a public prosecutor's investigation into alleged breach of trust and falsification of accounts against Martini, who was now a member of the supervisory board, the two men fell apart a little later. As one of his first official acts, Schmidt issued a new corporate strategy. HVB wanted to become the “Bank of the Regions” over the next few years. To do this, he set up an extensive network of branches in Central and Eastern Europe. In 2000 he succeeded in taking over Bank Austria AG , Austria's largest bank. During his tenure, Schmidt also pushed ahead with the modernization of old bank buildings in Munich's old town, such as the company headquarters at Kardinal-Faulhaber-Straße 1 . In February 2002 he offered the long-standing customer and debtor Leo Kirch EUR 1.1 billion for his 40 percent stake in Axel Springer AG . This gave the media entrepreneur bridging time before the impending bankruptcy of the Kirch Group . Schmidt, in turn, booted his adversary Rolf-E, according to the assessment of the relevant business press, through his ability to act . Breuer out. As a result, HypoVereinsbank and not Deutsche Bank determined the restructuring of the Kirch Group.

In connection with his work, Schmidt is said to have especially Prussian virtues such as hard work and discipline. He was considered an old school bank manager and embodied an authoritarian leadership style . In terms of content, he stood for deregulation and the dismantling of protectionism . In a laudatory speech, the Munich economics professor Gerhard Illing wrote in 2002 that Schmidt had made a significant contribution to the fact that the Munich financial center gained international importance during the 1990s. Critics, on the other hand, even among the shareholders, called him too ambitious; potential successors like Stephan Schüller and Eberhard Rauch were praised away by him. In addition, around the turn of the millennium, he experienced a disproportionate increase in wages of 232 percent, although at the same time shareholder returns fell by more than 48 percent. In the course of the numerous corporate bankruptcies of HVB borrowers (including Kirch, Fairchild-Dornier , Holzmann , Babcock ), the HVB Group posted negative earnings before taxes of EUR 821 million for the first time in the 2002 financial year . The President of the German Protection Association for Securities Possession (DSW) Ulrich Hocker spoke of "homemade problems". Performance bonuses were no longer paid out in full to Schmidt and at the end of his term of office in 2002 he earned only 1.6 million euros (approx. 75 percent fixed and 25 percent variable salary), 54 percent less than in the previous year. In terms of manager remuneration, he now ranks in the bottom third of the DAX executive board.

Supervisory board mandates and advisory boards

Because of his many years of experience and at the request of the previous supervisory board, Schmidt switched to the position of chairman of the supervisory board on January 7, 2003 as the successor to Kurt F. Viermetz , who went to the spun off Hypo Real Estate Holding AG . Board member Dieter Rampl replaced him as chairman of the board. This process met with not inconsiderable criticism and the like. a. by representatives of the Protection Association of Small Shareholders (SdK) and the Austrian Interest Association for Investors (IVA). Several lawsuits followed. In 2004, the Regional Court of Munich I declared the election of the Hypovereinsbank supervisory board null and void because, contrary to stock corporation law, voting took place in blocks instead of individually. However, because of the “lack of authority to appeal”, the complainant was unsuccessful against the subsequent judicial appointment. He later admitted the move to the supervisory board as a mistake that did not contribute to the positive development of corporate governance . With the takeover of HVB by the Italian Unicredit SpA in 2005, Schmidt resigned prematurely. He rejected the merger because he saw his life's work at risk. Previously he tried in vain to u. a. through an independent valuation report by the US investment bank Lehman Brothers , the commissioning of the renowned Düsseldorf business lawyer Michael Hoffmann-Becking and discussions with representatives of hedge funds and shareholders to influence the terms of the takeover. His successor was the long-time CEO of the UniCredit Group, Alessandro Profumo .

Through his representation on the supervisory boards of various German companies, Schmidt was part of a predominantly financial network that had replaced the industry-related Deutschland AG in the 1990s. He was u. a. Chairman of the Supervisory Board of Bayerische Börse AG (from November 10, 2000 to June 27, 2003), Hypo Real Estate Bank Aktiengesellschaft (from September 3, 2001 to September 30, 2003), Süddeutsche Bodencreditbank AG (until September 3, 2001), the Bayerische Handelsbank AG (until September 3, 2001), Nürnberger Hypothekenbank AG (until September 3, 2001), Vereins- und Westbank AG (from April 20, 1990 to April 30, 2002), Bank Austria Creditanstalt AG (from 1 January 2001 to March 31, 2003) as well as member of the supervisory boards of Münchener Rückversicherungs-Gesellschaft AG (from December 6, 1991 to April 22, 2009), Allianz AG Holding (from October 4, 1990 to June 12, 2002), the Lufthansa Commercial Holding GmbH , VIAG Aktiengesellschaft (from July 31, 1995 to July 4, 2000) and Siemens Aktiengesellschaft (from March 11, 1993 to January 24, 2008). He was also represented on the administrative advisory board of ADIG Allgemeine Deutsche Investment-Gesellschaft until December 31, 1999.

Schmidt was chairman of the Bavarian Bankers Association in Munich from 1991 to 1993 and from 1997 to 2003 . At the same time he was also a member of the board of the Association of German Banks . From 2002 to 2008 he was a member of the board of directors of the Ifo Institute for Economic Research in Munich. He is currently on the Advisory Board of JPMorgan Europe Ltd. represented and chairman of the supervisory board of the medium- sized company Thyssen'sche Handelsgesellschaft mbH in Mülheim an der Ruhr. He names one of his predecessors at Bayerische Vereinsbank, the Bavarian banker Hans Christoph Freiherr Tucher von Simmelsdorf, as his professional role model . He is also the author of academic articles on finance and banking management. Politically, he spoke out in favor of the Bavarian Prime Minister Edmund Stoiber as candidate for Chancellor in the 2002 Bundestag election . He lives with his wife in the Munich region .
