Check Point Software Technologies Ltd. is known as a software company for its firewall and VPN products. The company was founded in 1993 in Ramat Gan , Israel , by Gil Shwed, Marius Nacht and Shlomo Kramer and in 2019 employed 5,258 people. The international headquarters and development are located in Tel Aviv .

IPO and major shareholders

The company has been listed on the US stock exchange NASDAQ since July 5, 1996 . Gil Shwed (Chief Executive Officer) with 17.3% and Marius Nacht (Chairman of the Board) with 12.1% of the shares are (as of the end of 2015) the only shareholders with a stake of more than 5%.

SofaWare litigation

SofaWare Technologies was established in 1999 as a cooperation between Check Point and the two SofaWare founders Adi Ruppin and Etay Bogner with the intention of expanding Check Point's previous target group (large companies) to include smaller companies and private customers. SofaWare's co-founder, Adi Ruppin, announced that his company wanted to make the technology affordable and easy to use, thereby relieving end users of the burden of digging deeper into system security. In 2001, SofaWare began selling firewall appliances from the SofaWare S-Box brand , followed by the Safe @ Office and Safe @ Home security appliances under the Check Point brand in 2002. By the end of 2002, sales of SofaWare's Safe @ Office Firewall / VPN Appliances had risen significantly and SofaWare had risen to become the world market leader for firewalls / VPNs in the price segment up to 490 dollars with a market share of 38%.

After the investment in the company was completed, the relationship between Check Point and the SofaWare founders deteriorated. Etay Bogner, co-founder of SofaWare, filed for a shareholder derivative suit in court in 2004 based on allegations that Check Point was not paying SofaWare adequate compensation for its use of SofaWare products and technologies. He won that lawsuit in the last instance and Check Point was sentenced to pay SofaWare 13 million shekels for breach of contract . In 2006, the Tel Aviv District Judge ruled that Bogner could sue Check Point by proxy for $ 5.1 million in alleged damage, payable to SofaWare. Bogner alleged that Check Point, as the 60% owner of SofaWare, was "acting aggressively" and withholding funds due to SofaWare for the use of its technologies and products. Check Point appealed this decision, but failed again.

In 2009, the Israeli Supreme Court ruled that the SofaWare founders group (including Bogner) had a veto right over any decision made by SofaWare; however, this right can only be exercised jointly, possibly through a majority decision of its three members.

In 2011, Check Point reached an agreement with SofaWare to end all related disputes by acquiring the shares held by Bogner and Ruppin and beginning to purchase the outstanding shares, making SofaWare a wholly owned subsidiary of Check Point.
