The TX Group Ltd is a large private media group in Switzerland. The company was founded in 1893 and employed almost 3,670 full-time employees and the like in the 2019 financial year. a. in Switzerland, Denmark, Luxembourg and Germany. The founding Coninx family still holds the majority in the media group, which has been listed on the Swiss stock exchange since 2000. The main competitors in Zurich are the NZZ Group and Ringier .

history

The company goes back to the founding of the Tages-Anzeiger in Zurich by the German newspaper publisher Wilhelm Girardet and the former NZZ editor Fritz Walz on March 2, 1893. In 1905 the editor Otto Coninx married the publisher's daughter Berta Girardet. Later, Coninx gradually took over the majority in Girardet, Walz & Co., which was converted into a stock corporation in 1912 and renamed "Tages-Anzeiger für Stadt und Kanton Zürich AG" in 1933. Even today (2017) the media group Tamedia that emerged from this is majority owned by the descendants of Girardet.

While the Tages-Anzeiger became the largest daily newspaper in Switzerland, the company founded new subsidiaries and took over other media. In 1933 the “Tages-Anzeiger für Stadt und Kanton Zürich AG” acquired the magazine Schäubli's illustrated newspaper for the Swiss family and founded the Schweizer Familie AG. In 1970 the previous weekly supplement TA7 was replaced by the Tages-Anzeiger Magazin , a four-color magazine that is enclosed with the newspaper on Saturdays. In 1981, the Tages-Anzeiger AG took over the publishing rights of the women's magazine Annabelle from Jean Frey AG (on October 1, 2019 Tamedia sold Annabelle to the Aargauer Zeitschriftenverlag Media), in 1982 the company acquired 70% of the Tagblatt der Stadt Zürich , which was published on 1730 Thursday news published for the first time in Zurich is declining, making it one of the oldest newspapers in Europe. In 1993 the “Tages-Anzeiger für Stadt und Kanton Zürich AG” was renamed “TA-Media AG” and in 2000 it was renamed Tamedia AG. Shortly afterwards, on October 2nd, Tamedia AG went public.

In 2004 Tamedia announced its participation in the real estate portal homegate.ch . A year later, the Competition Commission (WEKO) allowed the takeover. Tamedia AG now owns 90% of the real estate platform, while Zürcher Kantonalbank still holds 10% of Homegate.

In May 2007 Tamedia announced the merger with the Bernese Espace Media Groupe . In a first step, Tamedia took over 80% of the share capital from the couple Franziska and Erwin Reinhard Scherz, the former majority owners of Papyrus Switzerland , and from Charles von Graffenried , owner of the von Graffenried Holding . In the course of a buyback offer, Tamedia subsequently acquired a further 19% of the share capital by May 2008 and paid out the remaining shareholders.

In 2007 Tamedia launched the commuter newspaper News together with Basler Zeitung Medien . After the "Basler Zeitung Medien" withdrew from the project in summer 2009, Tamedia News stopped working on December 4, 2009.

In 2008 the company announced the takeover of 75% of Räber Information Management GmbH, which also operates the directory and service portal search.ch. The Swiss Post took over the GmbH one year later. In 2011 search.ch integrated the daily updated addresses, telephone numbers and additional information from the phone book data of Swisscom Directories . Search.ch merged with local.ch in mid-2015. Local.ch was split between Tamedia AG and Swisscom AG: The two parent companies founded the subsidiary Swisscom Directories AG, into which search.ch and local.ch were integrated (market presence under Localsearch ). Tamedia owns 31% of the subsidiary and Swisscom the remaining 69%. Swisscom will take over the share from Tamedia in the first quarter of 2019.

On March 3, 2009, Tamedia and Edipresse announced that they would merge their business activities on the Swiss market. To this end, Tamedia initially acquired 49.9% of the share capital of Presse Publications SR SA (a subsidiary of Edipresse, in which the Swiss media activities were bundled). In 2011 Tamedia expanded this stake to 51.1%. Tamedia paid 226 million Swiss francs for the first two investment steps. The merger was approved by the Federal Competition Commission (WEKO) in September 2009 . On April 8, 2011, Tamedia and Edipresse announced that the complete takeover of Presse Publications SR SA by Tamedia would take place in 2011 instead of 2013.

On April 15, 2010, the publishing house announced that it would sell the Thurgauer Zeitung to Freie Presse Holding (Neue Zürcher Zeitung) and, in return, take over its holdings in the Zürichsee-Zeitung , the Zürcher Oberländer and the Zürcher Unterländer .

In 2011 the company announced that it had sold the two regional broadcasters TeleZüri and TeleBärn to AZ Medien . In the same year Radio 24 was sold to Radio Medien AG, which is owned by BT Holding owned by the Aargau publisher Peter Wanner (AZ Medien).

Since July 1, 2013, the company has held 75% of the second largest ticket marketer in Switzerland, Starticket . There is an option that Tamedia will acquire further shares from Peter Hürlimann and the management team by 2018. A merger with Ticketcorner was prohibited by the competition commission. On January 9, 2020, it was announced that Starticket would be acquired by See Tickets , a Vivendi Village company .

On February 10, 2015, Tamedia announced its intention to take over the Internet auction house group ricardo (ricardo.ch AG) from the South African media group Naspers at a price of 240 million Swiss francs. On August 28, 2015, WEKO approved the takeover.

Since January 1, 2018, only one German- and one French-speaking Tamedia editorial team has been creating the international / national cover (domestic, foreign, business, culture and sport) for the 12 paid daily and two Sunday newspapers . The two editorial teams run the research desk together. The individual newspaper titles keep their editorial offices and editors-in-chief. The previous editor-in-chief of the Tages-Anzeiger / SonntagsZeitung Arthur Rutishauser (he also remains editor-in-chief of the SonntagsZeitung) is head of the German-language editorial team, which has around 180 employees, and Adrian Zurbriggen is his deputy based in Bern. Ariane Dayer is the head of the French-language newspaper with almost 60 employees (she also remains editor-in-chief of Le Matin Dimanche ). The editor-in-chief of the Tages-Anzeuble was Judith Wittwer until June 2020 , and Priska Amstutz and Mario Stäuble have been co-editors-in-chief since July 1, 2020. The “Editorial Services” (layout, text production, picture editing, photography, repro infographics, proofreading and other supporting processes) are combined in the competence centers in Bern, Basel, Lausanne, Geneva, Winterthur and Zurich . Vivane Joyce-Laissue is the head of the entire competence center. The free newspaper 20 Minuten and the editorial team of Le Matin and 20 minutes , which were merged in 2017 , only receive sports from the Tamedia editorial offices. According to Tamedia, the reorganization, to which the sharp decline in advertising sales has led, should not lead to any layoffs.

On April 18, 2018, Tamedia announced that it would take over Basler Zeitung . The sale of the newspaper was expected after editor-in-chief Markus Somm announced it to his own editorial team. In return, Tamedia is giving Zeitungshaus AG from Christoph Blocher its shares in the Tagblatt der Stadt Zürich (65%) in the weekly papers Lausanne Cités and GHI ( Genève Home Informations , 100% each) as well as in the Furttaler Anzeiger and the Rümlanger Anzeiger (50% each) from. On October 11, 2018, the competition commission approved the takeover.

The marketing activities of Tamedia will be taken over by Goldbach from 2020 . As part of the restructuring into a holding company , “Tamedia AG” was renamed “TX Group AG” on January 1, 2020. The holding is divided into the subcontractors Tamedia (paid media), 20 Minuten (free media), Goldbach (media booking / agency) and TX Markets (digital marketplaces / advertisements).

As a result of the COVID-19 pandemic , the TX Group submitted a request for short-time work on March 20, 2020 .

As a corporate unit of the TX Group, Tamedia is responsible for paid media and publishing services. The most important publication is the Tages-Anzeiger, a daily newspaper for the greater Zurich area with national coverage.

Publishing services

Tamedia has three printing plants in Switzerland: the Bern printing center, the Lausanne printing center and the Zurich printing center, the latter being the largest and most powerful printing center in Switzerland. Around ten million daily, weekly and customer newspapers as well as advertising material are printed there every week. The printing center in Zurich has also taken over the printing of the Migros magazine and, since 2015, that of the Neue Zürcher Zeitung and the NZZ am Sonntag . In 2019, the Luzerner Zeitung from the NZZ media group as well as Blick , Blick am Abend , SonntagsBlick , Handelszeitung and Le Temps from Ringier will be added.

Financial advice

In August 2014, Tamedia announced that it would participate in the financial advisory company MoneyPark. TX Group AG holds 4.6% of MoneyPark. With this step Tamedia invested further in the digital segment. In the meantime, 49% of the Tamedia Group's sales come from activities in the digital world. MoneyPark works without its own financial products. Instead, the company provides advice on the products of the affiliated partner companies. There are currently over 70 in the mortgage sector ( banks , insurance companies and pension funds ) and over 300 in the investment sector (as of August 8, 2014). It is the Switzerland's largest network of its kind. In the investment sector, the company is on fund- based asset management specialized in the pension area in the placement of life insurance . The company employs over 80 people at 12 locations in Zurich , Basel , Bern , Lucerne , Baar ZG , Wil SG , Baden AG , Solothurn , Winterthur , Minusio , Rheineck SG and Rapperswil-Jona (as of November 12, 2015). Investments in the trading platform for crypto currencies Lykke and Monito and the stake in Neon followed later.

Between 2011 and 2013 Tamedia built a new media house on Stauffacher in Zurich based on a design by the Japanese architect Shigeru Ban . Among other things, the building houses the 20 Minuten newsrooms and Tages-Anzeiger. The supporting structure of the building is made entirely of spruce, and metal parts for reinforcement have not been used. By using wood as a building material, around 1,120 tons of CO 2 were bound.

The new publishing house attracted international attention due to its unusual construction. Nothing in the “surprising” building that is reminiscent of a “large, wooden Meccano set” is a statement or unnecessary, everything has a reason, wrote Monocle magazine, for example . In the year after the building was completed, Shigeru Ban was awarded the Pritzker Architecture Prize .
