The ProSiebenSat.1 Media SE (to 7 July 2015: ProSiebenSat.1 Media AG), based in Unterföhring in Munich is a privately held German media company that, among other things, the German Free TV - TV station ProSieben , SAT.1 , kabel eins , sixx , ProSieben MAXX , SAT.1 Gold and kabel eins Doku and the three German pay TV channels ProSieben FUN , SAT.1 emotions and kabel eins CLASSICS are united under one roof and offer various TV content on the TV channels' websites . After KirchMedia GmbH & Co. KGaA became the majority shareholder of ProSieben Media AG at the end of 1999, ProSieben Media AG and Sat.1 GmbH, which also belongs to the Kirch Group, announced their merger plans on June 28, 2000. This would create the largest broadcasting group (SAT.1, ProSieben, kabel eins and N24) on the German television market. With effect from October 2, 2000, ProSieben Media AG took over 100 percent of the shares in Sat.1 GmbH from KirchMedia GmbH & Co. KGaA. Since October 13, 2000, the shares of ProSieben Media AG have been traded on the Frankfurt Stock Exchange under the new name ProSiebenSat.1 Media AG . The previous CEO of ProSieben, Urs Rohner, became the CEO. In the course of the integration of Sat.1, ProSieben Television GmbH was also founded.

The Kirch Group collapses and is taken over by Haim Saban

On September 7, 2001 the merger of ProSiebenSat.1 and KirchMedia (see also: Leo Kirch , Premiere ) was announced; it failed shortly before completion due to the insolvency of the Kirch group. The ProSiebenSat.1 share then crashed. After the bankruptcy, the creditors got control of ProSiebenSat.1 Media. In 2002, in addition to a consortium led by Bauer Verlag, the American investor Haim Saban and the investment company Apex Partners, they were interested in ProSiebenSat.1. In 2003, the creditors' committee decided in favor of the American company P7S1 Holding , a 25 percent subsidiary of the Saban Capital Group owned by Haim Saban and other investors, as the buyer of the 88 percent of the voting shares and thus the new main shareholder of ProSiebenSat.1 Media AG. Saban took over the station group for 500 million euros. Axel Springer AG held the remaining twelve percent through an investment company . Free shareholders only held non-voting preference shares .

After the takeover by P7S1 Holding, major restructuring measures and a realignment of the group's various channels took place in the months that followed. Some formats also fell victim to the red pencil.

With its television stations in the target group of 14 to 49 years, the AG has a total market share of over 30 percent and in 2002 achieved sales of over 1.8 billion euros and a profit of 21 million euros, employing over 3,000 people.

After the previous CEO Urs Rohner left the company “at his own request” on April 30, 2004, he was followed by the Belgian Guillaume de Posch .

In 2005, the Hamburg-based Axel Springer Verlag announced that it would take over ProSiebenSat.1 Media AG entirely for the purchase price of three billion euros. However, this sale was not approved by either the Federal Cartel Office or the KEK , so that Springer finally announced on January 31, 2006 that it would refrain from a takeover.

Takeover by Permira and KKR

The equity investment of the GMP by Haim Saban was on 14 December 2006 by the private equity -Unternehmen Permira and Kohlberg Kravis Roberts & Co. acquired (KKR) for about 3 billion euros. Together with the SBS Broadcasting Group from Luxembourg, to which more than 19 private TV channels and 20 pay TV channels and radio stations belong, a European media group is to be formed.

The 50.5 percent of the shares have 88 percent of the voting rights. The remaining 49.5 percent of the shares are listed and are in free float.

In the summer of 2007, ProSiebenSat.1 took over 100 percent of the SBS Broadcasting Group for a total of 3.3 billion euros, making it the second largest television provider in Europe with annual sales of around 3.1 billion euros. On July 16, 2007 it was announced that the group intends to cut 180 jobs in Germany by 2009, 100 of them in Berlin and 80 in Munich. As of this day, two tabloid magazine programs have already been deleted from Sat.1, and news programs will also be discontinued or restricted in the future.

On December 10, 2007, Axel Springer AG announced that it would withdraw completely from ProSiebenSat.1 and sell its 12 percent of the ordinary and preference shares to the ProSiebenSat.1 majority shareholders KKR and Permira for 500 million euros. This withdrawal was completed on January 16, 2008. This means that Lavena Holding 5, controlled by KKR and Permira, now holds 100 percent of the voting ordinary shares and 25 percent of the non-voting preference shares.

When ProSiebenSat.1 took over SBS in the summer of 2007, KKR and Permira offered the other owner, Telegraaf Media Groep (TMG), an option to purchase twelve percent of the ordinary shares, provided they waive their right of first refusal over the SBS Broadcasting Group. In June 2008 TMG announced that it would waive its option to join ProSiebenSat.1. However, TMG then joined ProSiebenSat.1 in August of the same year.

At the end of 2008, Guillaume de Posch left the company at his own request. Thomas Ebeling was the head of the group between March 2009 and February 2018 . On June 1, 2018, Max Conze succeeded Ebeling as CEO. Until Conzes took office, Conrad Albert took over the management on an interim basis.

In October 2009 it became known that the group's indebtedness was more than 3.4 billion euros and that the group did not reduce this burden, but only paid the interest on its current loans. Above all, the station group saves on program expenses.

On January 12, 2011, Permira and KKR announced the sale of 8 million non-voting preferred shares. This corresponds to 3.7 percent of the share capital. After completing the accelerated bookbuilding process, both financial investors will hold 53 percent of the share capital according to their own statements.

After the acquisition of the ProSiebenSat.1-owned TV stations in Belgium and the Netherlands for 1.225 billion euros by an international media consortium led by the Finnish company Sanoma on July 29, 2011, the entire portfolio of stations in Scandinavia for Sold 1.325 billion euros to the American Discovery Communications, Inc. This does not apply to the production companies that are bundled in the Red Arrow Entertainment Group. The proceeds are to be used to repay bullet liabilities of around 500 million euros and to finance an increase in the dividend to around 5.60 euros per share or 1.2 billion euros. In mid-February 2013, the financial investors Permira and KKR began selling all 18 percent preference shares held by Lavena Holding 1 . The block of shares was sold for around 485 million euros on the Frankfurt Stock Exchange, which corresponds to a unit price of 24.60 euros. As a result of the sale, all preferred shares or 50 percent of the share capital are now in free float.

Exit from KKR and Permira

At the Annual General Meeting on July 23, 2013, the shareholders of ProSiebenSat.1 Media AG resolved to merge the preference shares previously listed on the stock exchange and the ordinary shares held by KKR and Permira. As a result, only ordinary shares with voting rights would be traded on the Frankfurt Stock Exchange in the future. Since the share capital consisted of 50% ordinary and 50% preference shares, KKR and Permira still held 44% of the ordinary shares after the conversion and thus no majority. The financial investors also decided that after the conversion they would sell their stake in tranches on the stock exchange together with Telegraaf Media Groep .

On August 19, 2013, ProSiebenSat.1 Media AG completed its IPO, which means that since then only the previously unlisted ordinary shares have been listed in the MDAX and the market value has doubled.

Between the beginning of September 2013 and mid-January 2014, Lavena Holding and Telegraaf Media Groep sold their shares in three tranches exclusively to institutional investors and are therefore no longer shareholders. The free float is now 100 percent, partially reduced by the Group's own ownership of its shares. In accordance with the invitation to the 2016 Annual General Meeting, 4,278,650 of a total of 218,797,200 shares were owned by the company.

At the end of December 2013, ProSiebenSat.1 Media AG announced the sale of the remaining Eastern European business. The Hungarian television channels are being sold as part of a management buy-out . In Romania, all television and radio stations, with the exception of Prima TV, which is to be acquired by the Romanian entrepreneur Cristian Burci, will be taken over by the Greek Antenna Group. The acquisitions are expected to be completed in the first quarter of 2014.

In a press release, ProSiebenSat.1 Media AG announced on October 15, 2014 that it was planning to convert to ProSiebenSat.1 Media SE in summer 2015. Following approval by the Annual General Meeting on May 21, 2015, this conversion to a Societas Europaea became effective on July 7, 2015 when it was entered in the commercial register. This step is intended to facilitate the international expansion of the digital division.

The Deutsche Börse Group announced on March 3, 2016 that ProSiebenSat.1 Media SE will be promoted from the MDAX to the DAX from March 21, 2016 . ProSiebenSat.1 replaces K + S as its market capitalization has fallen sharply.

To further expand the business areas, ProSiebenSat.1 Media SE carried out a capital increase in November by issuing 14.2 million new shares at EUR 36.25 each. The resulting income of 515 million euros increased the share capital by 6.5 percent. This led to a subsequent price loss of 6 percent on the Frankfurt Stock Exchange.

In 2017, both adjusted net profit grew to 550 million euros and EBITDA to 1.050 billion euros each grew by 3 percent. In the same year, General Atlantic acquired a minority stake in the commerce business. With 51 percent of consolidated sales, ProSiebenSat1 made 4 percent more gross income outside of the TV advertising business than in the previous year. Consolidated sales rose by 7 percent compared to the previous year and amounted to 4.078 billion euros.

As a result of falling advertising income and falling audience numbers as well as increasing competition from streaming services , ProSieben shares had "lost over half of their value since 2016". The purchase of 9.6 percent of the shares in ProSiebenSat.1 by the Berlusconi company Mediaset at the end of May 2019 was therefore welcome. For the purchase price of around 330 million euros, the Italians acquired around 9.9 percent of the voting rights . The share price of the Munich media group went up significantly as a result.

The company has its origins in the two marketers MGM MediaGruppe Munich and Media 1. The MGM MediaGruppe Munich was founded on June 1, 1992 and was responsible for the marketing of the advertising times for the stations ProSieben and kabel eins (at that time still Kabelkanal ). As a subsidiary of the ProSiebenSat.1 Group, SevenOne Media markets the group’s German-language channels (SAT.1, ProSieben, kabel eins, Sixx since May 2010, Sat1 Gold since January 2013) and their digital platforms (pay TV, video on demand / maxdome , Online, mobile, podcast, games, teletext) and various third-party offers (teletext). Advopedia

Together with lawyer Ingo Lenßen , ProSiebenSat.1 Digital has been operating the Advopedia platform since the end of 2014 , where a team of authors give legal tips, report on court rulings and clarify legal questions.

Magic Internet Holding

Magic Internet Holding was founded as part of the MyVideo takeover by ProSiebenSat.1 in 2006. In September 2006 ProSiebenSat.1 Media initially took a 30 percent stake in Magic Internet Holding, to which MyVideo Broadband (formerly Videocamp SRL) belongs. Mobile access

Together with Telefónica, Telekom and Vodafone, ProSiebenSat.1 Digital sells its own smartphone tariffs for the stations ProSieben and Sat.1, as well as fyve as a private label. Virtual Minds

On June 30, 2015, ProSiebenSat.1 Digital announced the majority takeover of Virtual Minds AG, Freiburg im Breisgau. Virtual Minds is a European specialist in digital advertising technology and u. a. Parent company of Yieldlab AG, Adition Technologies AG including Adition Schweiz GmbH and Adition UK Ltd., Active Agent AG and myLoc Managed IT AG. After completion of the transaction, United Internet AG will retain a 25.1 percent stake in Virtual Minds AG, the remaining shares will be held by the founders. The transaction is subject to approval by the antitrust authorities; the purchase price is not known.

7Commerce

On March 19, 2015, ProSiebenSat.1 Media SE announced that all majority holdings in the eCommerce and travel sectors had been transferred to ProSiebenSat.1 Commerce GmbH (7Commerce). ProSiebenSat.1 Commerce GmbH emerged from ProSiebenSat.1 Elfte Verwaltungsgesellschaft mbH. At the same time, ProSiebenSat.1 announced the increase in several investments or their takeover.

SevenVentures

On April 14, 2011 ProSiebenSat.1 Media SE announced the founding of SevenVentures. In the company, the online investments of ProSiebenSat.1 Digital (formerly SevenOne Intermedia) and the media for equity and media-for-revenue-share business of Seven Entertainment (formerly MM MerchandisingMedia) are primarily bundled. The online women's service fem.com/sixx.de and the video platform MyVideo.de are not in the portfolio.

On November 3, 2011, ProSiebenSat.1 Media AG took a 29% stake in meetOne GmbH through its subsidiary SevenVentures.

In May 2013, SevenVentures invested 16 percent in the Dortmund Babybedarf-Versand baby-markt.de GmbH (slogan klick-klick-Glück). A long-term media cooperation was agreed with the previous shareholder Tengelmann until 2017.

SevenVentures has other investments in the online shop MyParfuem, the online pharmacy Apomio, the telecommunications company Preis24.de, the language learning platform Busuu, tropo , Zalando , LactoStop and the online fitness program by Detlef D. Soost, 10 Weeks Body Change. In May 2014, SevenVentures also increased its stake in the online perfumery Flaconi to 47%. In June 2014, SevenVentures increased its stake in moebel.de to 50.1% and has been the majority owner of the furniture portal since then.

With the ProSiebenSat.1 Accelerator , a funding program was created that supports small companies that are still at an early stage. In June 2011, ProSiebenSat.1 Media focused its activities in the games area at ProSiebenSat.1 Games GmbH. It merges the broadcasting game portals ProSieben Games and Sat1Spiele with the purchased free-to-play platforms alaplaya and Browsergames.de.

Max cathedrals

Maxdome is responsible for the ProSiebenSat.1 Group's video-on-demand offerings and belongs to the Digital & Adjacent division. With maxdome, the ProSiebenSat.1 Group launched its own video-on-demand portal in the second quarter of 2006 in strategic cooperation with United Internet AG. On August 29, 2013, SevenSenses GmbH was merged with Maxdome Verwaltungs GmbH by resolution of August 22, 2013 and renamed Maxdome GmbH.

ProSiebenSat.1 Licensing GmbH (formerly SevenEntertainment GmbH or MM MerchandisingMedia) was founded in 2003 and bundled the music, licensing, entertainment and commerce businesses of ProsiebenSat1 Media AG. SevenEntertainment GmbH achieved annual sales of approx. 37 million euros in the years 2008 to 2011 and employs 54 people. On September 24, 2012, SevenEntertainment GmbH was renamed ProSiebenSat.1 Licensing GmbH. After the outsourcing of commerce activities to SevenVentures GmbH, ProSiebenSat.1 Licensing GmbH is focusing on the licensing business of ProSiebenSat.1 Media SE. The music and entertainment activities will continue to be bundled in Starwatch Entertainment GmbH.

The Star Watch Entertainment GmbH is a 2005 established company which has specialized in the areas of music, concerts, live entertainment and artist marketing. Starwatch Entertainment is a wholly owned subsidiary of ProSiebenSat.1 Media AG.

ProSiebenSat.1 production

ProSiebenSat.1 Produktion GmbH is a full subsidiary of ProSiebenSat.1 Media SE. ProSiebenSat.1 Produktion offers services for the production and multimedia distribution of television content. The services range from studio and post-production to cross-company content management and broadcast processing for more than ten TV stations.
