The Edeka Group ( proper spelling : EDEKA ; originally the abbreviation for purchasing cooperative of the colonial goods traders in Hallesches Torviertel zu Berlin ) is a cooperative group of companies in the German retail sector . Edeka headquarters holds 50 percent of the capital in seven regional companies, the other 50 percent are held by one or more regional cooperatives. The Edeka head office also controls the majority of the discount chain Netto and operates its own procurement organization, Edeka Fruchtkontor, primarily for fruit and vegetable imports, a wine and sparkling wine cellar and various service companies such as Edekabank , Edeka Verlagsgesellschaft or Edeka Versicherungsdienst Vermittlungsgesellschaft.

history

Start time

Edeka logo around 1911

The first Edeka cooperative was created in 1898, when 21 merchants from the German Reich in Hallesches Gate District in Berlin for E inkaufsgenossenschaft d he K olonialwarenhändler in Halle Torbezirk Berlin - briefly E. d. K. - united.

23 such cooperatives united on October 21, 1907 Hôtel de Pologne in Leipzig for the Association of German commercial cooperatives and on 25 November 1907, was central purchasing cooperative of the Association of German commercial cooperatives eGmbH founded, which later became the Edeka Zentrale AG & Co. KG was . In 1911 the abbreviation E. d. K. formed the company and brand name Edeka, which is still valid today. It is often also repeatedly the name E inkaufsgenossenschaft D eutscher E inzelhandels K aufleute A ktiengesellschaft rumored, but for this there is no conclusive evidence hot springs; it appears to have come about through word of mouth during the company's existence. Over the years, Edeka has developed its own products that can be recognized by the Edeka seal. For this purpose, she set up her own production facilities. The cooperative informed its members in the Edeka-Handelsrundschau about product offers and other reports. In 1914 Edekabank AG was founded in Berlin. 72 cooperatives belonging to the association achieved a turnover of 10 million marks that year. Products from the colonies were offered; coffee from Brazil, tea from Kenya, sugar from Cuba, rice from Vietnam, cocoa from the west coast of Africa or cigars from Indonesia.

Weimar Republic and National Socialism

Edeka logo from 1922

In 1921 the Berlin EdK co-founder Fritz Borrmann became general director of Edeka. He not only headed the cooperative association, but also its head office, the publishing house and the Edeka bank. Borrmann was also General Secretary of the Economic Party when he took office , for which he was elected member of the Reichstag in 1924 and 1928 .

Central clearing began in the company in 1923. The sales of the meanwhile 430 cooperatives reached the sum of 267 million Reichsmarks in 1931 . The loss of votes by the economic party in 1932 triggered pressure from the Edeka comrades on the association leadership to focus more on the positions of the National Socialists , but the NSDAP did not honor this. From 1933, Edeka and its cooperatives were under pressure. The Edeka group urged its members to join the Nazi “Combat League for Small and Medium-Sized Enterprises”. On April 18, 1933, they voluntarily declared their conformity with the result that a first and a second president, each with an NSDAP party book, controlled the general director. Borrmann became a party member in 1933. From 1936, the company's activities were regulated according to the leader principle .

After the annexation of the Saar area to the German Reich in 1935 and after the annexation of Austria in 1938, Edeka's business area was expanded to include its territories. In 1937 Borrmann resigned as general manager and Paul König took over his function (until 1966). In 1939 sales totaled 347 million Reichsmarks in the books of the 525 cooperatives.

After the Second World War

After the Second World War , the reconstruction was managed from a new headquarters in Hamburg . In 1951 sales of 629 million  DM were achieved, a year later 727 million DM. 1954 began the age of self-service. In 1955, fruit stores were established in Bochum, Hamburg, Frankfurt / Main and Munich. Since 1957, the non-food range became important. In 1963, 45,000 shops had the Edeka logo, after which the small shops became fewer due to change and the rise of discounters .

Edeka logo from 1965 to 1968

In 1965 the previous loop logo was replaced by the first block E, which was further developed into the current logo in the course of the reorientation of the group in 1972.

In 1972 the Edeka Group gave itself a new structure with the establishment of twelve regional companies. The head office and the bank changed their legal form and became a stock corporation. In 1977 Edeka achieved sales of DM 6.765 billion.

In 1982 the merchandise management cooperation with AVA AG began . In 1990, a number of consumer and HO sales outlets were taken over and Edeka returned to what was once Central Germany , now Eastern Germany . In 1991 Edeka took a stake in the Danish A / S Hoki in Horsens and founded CS Edeka in the Czech Republic.

In 1992 Edeka took a 33% stake in AVA AG, which was increased to almost 50% in 1993. This year Edeka took part in the Gedelfi in Cologne .

In 1997 the partial centralization of German purchasing began. In 1998 numerous markets were taken over, including a. from AVA AG and the Metro Group and the approximately 400 southern German Nanz grocery stores .

Edeka Danmark has been cooperating with Rema 1000  A / S, a subsidiary of the Norwegian Reitan Group, since 2000 . The stake in AVA AG was also increased.

After 2000

2001 brought another structural reform. The head office was further strengthened and received the current legal form Edeka Zentrale AG & Co. KG. The number of regional companies was reduced from twelve to seven. The stake in AVA AG was increased. In response to the growing importance of discounters, the Edeka own brand Gut & Favorig was re-launched. From 2003 to 2012 there was a cooperation with Globus SB-Warenhaus Holding .

From 2004 to December 31, 2011 Edeka cooperated with the Handelshof C&C wholesale .

In 2005, AVA AG was finally incorporated into the Edeka Group and the German Spar with around 2,100 retailers from the various Spar sales lines and some hypermarkets was taken over. The former Spar subsidiary Netto Marken-Discount and a 25% stake in the German subsidiary of the NETTO retail chain were also acquired. The purchasing cooperation between Spar and Netto was continued by Edeka.

Since 2005, Edeka has been part of the Alidis / Agenor purchasing alliance with the French Les Mousquetaires - ITM Entreprises SA Group (the seller of the German Spar and Netto chains, main brand Intermarché ) and the Spanish Grupo Eroski (Centros Comerciales Ceco SA) connected.

In November 2007 the Tengelmann Group announced the takeover of a majority stake (70%) in the grocery discounter Plus . A purchasing cooperation for the Kaisers and Tengelmann supermarkets was also agreed.

On July 1, 2008, the Federal Cartel Office announced after an intensive examination that Edeka was allowed to take over the Discounter Plus and could therefore largely switch to its Netto brand discount concept. However, there are various conditions associated with this: Tengelmann must first sell 378 of the total of 2,900 Plus stores with a turnover of around 700 million euros. Tengelmann is only allowed to take a 20% stake in the new joint venture instead of the targeted 30%. The Federal Cartel Office also prohibited the planned collaboration between Tengelmann and Edeka in purchasing goods.

In 2009, Edeka led the ranking of the 30 largest grocery retailers in Germany, based on figures from the Frankfurt trade research institute TradeDimensions, with a turnover of 43.6 billion euros and a market share of 19.8%.

In March 2015, the Federal Cartel Office refused to approve a takeover of Kaiser's Tengelmann by Edeka. The Monopolies Commission also expressed concerns and advised against approving the project. However, Federal Minister of Economics Sigmar Gabriel issued a ministerial permit for this on March 17, 2016 , combined with conditions to secure jobs and employee rights. As a result, the chairman of the Monopolies Commission, Daniel Zimmer , resigned in protest. The Edeka competitors Rewe Group and Markant appealed against Gabriel's decision. On July 12, 2016, the Düsseldorf Higher Regional Court prohibited the merger until the main proceedings. Finally, at the end of the year, an out-of-court agreement was reached, which includes a division of Tengelmann between Edeka and Rewe and which should secure the jobs for a while. On January 1, 2017, Edeka initially took over the entire Kaiser's Tengelmann division from the Tengelmann Group and shortly thereafter passed some of the stores on to Rewe.

A cooperation with Telekom Deutschland and the branding brand Edeka smart started on February 15, 2018 . It will replace the existing cooperation with Vodafone and EDEKA mobil .

meaning

After taking over the German Spar and Netto Marken-Discount, Edeka has been the largest German food retailer since the beginning of 2006. The group's market share grew from 20% to around 26%. Around 4,500 independent retailers operate under Edeka and Spar and operate over 6,000 stores. With the branches, around 12,000 stores belong to the Edeka Group. For the year 2009 a group turnover of 42 billion euros is reported. Earnings before interest and taxes ( EBIT ) were 1.4 billion euros.

Corporate structure

Edeka logistics center, Hamm
Rheinberg cellar, Bingen am Rhein

Edeka emerged from regional cooperatives. Seven regional companies with around 4,500 independent retailers as members currently form the foundation of the Edeka Group. The cooperatives are owners of Edeka Zentrale AG & Co. KG and 50% owners of the seven Edeka regional companies. The second shareholder in these regional companies is Edeka Zentrale AG & Co. KG.

Edeka Aktiengesellschaft

Edeka Aktiengesellschaft is registered in Hamburg and has the general partner position for Edeka Zentrale AG & Co. KG.

Edeka Zentrale AG & Co. KG

The Edeka head office, based in Hamburg, is a partner of the cooperatives in the regional companies and plays an important role in the Edeka Group. Its role is additionally strengthened by subsidiaries and holdings. These are retail outlets (AVA AG, Netto Marken-Discount, Netto Deutschland, Edeka Großverbrauch-Service), purchasing centers (Edeka Frucht- und Blumenkontor), production companies (Rheinberg Kellerei), logistics locations (Kaiser's Verwaltungs- und Beteiligungsgesellschaft mbH) and central service companies (e.g. Edeka-Verlag, Edekabank AG, Edeka Versicherungsdienst Vermittlungs-GmbH).

The regional companies

The seven regional companies are the operating units of the Edeka Group. They are essentially wholesalers and supply the independent dealers and branches. You are e.g. In some cases they own branches and production companies themselves.

Sales lines are the brands under which the group of companies presents itself on the market. The following list is intended to name all Edeka sales lines. Mention is independent of which company in the group is behind the respective sales line. A sales line does not necessarily have to belong to the group legally. Minority holdings or cooperation agreements can also establish sales lines. Due to the decentralized structures in the Edeka group, this list can only provide a snapshot. Completeness and absolute correctness cannot be guaranteed. Information as of April 2006 has been processed.

retail trade

The main focus of the Edeka Group's business activities is the food retail trade in Germany. This includes the sale of all so-called fast- moving items to end consumers, so that in addition to food and luxury goods, drugstore goods and non-food items are also regularly included in the range.

Until 2004, Edeka was mainly represented with the types of business small to large supermarkets and discounters. The takeover of AVA AG and the cooperation with Globus expanded the importance of the larger consumer markets.

Discount lines

The big discounters are increasingly competing with the traditional Edeka markets. Until 2005 Edeka was only weakly represented in the retail segment of discounters. With the takeover of the expansive Netto Marken-Discount with over 1250 branches and the cooperation with Netto Germany, the importance of this form of distribution for Edeka has increased significantly. Compared to the big names in the industry, the Edeka discounters rank third on the German discount market.

criticism

In May 2007, Greenpeace reported that the fruit and vegetables sold by Edeka had repeatedly been measured to be high in pesticides.

In the advice on food without pesticides 2012 , Greenpeace quotes the number of samples with exceeding the maximum pesticide content from the data of the NRW food control and its own pesticide tests (both from 2009/2010):

Dealer Aldi Edeka Lidl and Kaufland metro Rewe Tengelmann
fruit 2% 1 % 0 2% 2% 0
vegetables 3% 3% 3% 7% 3% 13%
sample 432 690 576 236 657 79

In April 2008, it became known that the company had illegally monitored employees.

In 2009 the Freiburg Öko-Institut drew up a list of pesticides for the company that were recommended to fruit and vegetable farmers who supply Edeka on a contract basis. Three to five of the chemicals are considered carcinogenic, only a third of the 145 substances classified as "harmless" on the list are even permitted in Germany.

In November 2012, the ver.di union accused the company of deliberately developing a low-wage area. In the meantime, 140,000 of the total of 306,000 Edeka employees worked without collective bargaining protection or a works council in stores that are run by independent retailers. The privatization of Edeka stores usually goes hand in hand with an escape from the collective agreement.

In August 2014, the NDR reported that consumer advocates criticized the lack of transparency in connection with the Edeka brand Gutfleisch. There are gaps in the Gutfleisch database and in the labeling of products in individual markets. Edeka commented extensively on the NDR research. In the same context, Animal Equality shortly afterwards criticized the poor conditions in pig fattening farms that act as suppliers for EDEKA Gutfleisch. Edeka then blocked the aforementioned supplier companies and immediately initiated audits.

At the beginning of 2020 it was announced that Edeka Minden-Hannover was demanding reimbursements of 2 percent of 2019 sales from fruit and vegetable suppliers in order to finance the 100th anniversary.
