The Condor Flugdienst GmbH , shortly Condor is a German airline with base on the Frankfurt Airport ; she was part of the Thomas Cook Group, which had been insolvent since September 2019 .

history

Foundation and first years

Vickers Viking freighter (D-BONE) of the Condor, operated for Lufthansa (1964)
Vickers Viscount (D-ANUR) the Condor (1965)

On December 21, 1955, Deutsche Flugdienst GmbH was owned by the four shareholders Norddeutscher Lloyd (27.75%), Hamburg-America-Line (27.7%), Deutsche Lufthansa (25.81%) and Deutsche Bundesbahn (18.5 %) %) founded. The legal prerequisite for founding a German airline was that the occupying powers had transferred the Allied right to reserve the right to permit air traffic to the Federal Republic of Germany through the second German Treaty, which came into force in the same year . The home airport has been Frankfurt Airport since the beginning.

The company's tourist flight operations began on March 29, 1956 with a pilgrimage to the Holy Land . Mallorca and the Canary Island Tenerife were already on the flight program in the first year of operation . The fleet initially consisted of four twin-engine propeller aircraft of the English Vickers Viking type , each with 36 seats. In October 1957, the company acquired five Convair CV-240 machines from KLM's inventory , which had a pressurized cabin and were more comfortable. In 1959 Deutsche Lufthansa AG took over 95.5% of the capital of Deutsche Flugdienst.

In 1961, Deutsche Flugdienst GmbH took over the Condor air shipping company of the Oetker Group, which was founded in 1957 and called itself Condor Flugdienst GmbH from November 1, 1961 . A name steeped in tradition returned to the Lufthansa family: In 1927, Syndicato Condor Ltda. founded in Brazil and flew as Serviços Aéreos Condor since 1941. In 1942 ownership fell to Brazil and the successor ( Serviços Aéreos Cruzeiro do Sul Ltda.) Later went to VARIG . Today's Condor is not a legal successor to Syndicato Condor Ltda. , however, the name Condor is reminiscent of the pioneering days of German air transport.

In 1962, Condor Flugdienst GmbH had a share of 63.3 percent of all German air tourism. Around 32,000 passengers were carried this year - Mallorca was the frontrunner with 18,400 passengers. In 1964 the Condor fleet consisted of four Vickers Viscounts . In February 1965 the first Boeing 727-100 was taken over by Lufthansa; in 1970 a second machine of this type was added. In February 1967 Condor received its first Boeing 707-300B , with which long-haul flights to Colombo , Bangkok , Nairobi and Santo Domingo were taken. Charter flights to the USA followed from December 1967. The fleet was continuously converted to jets until 1968. In 1968 Lufthansa acquired the charter airline Südflug International , which merged with Condor on January 2, 1969.

In 1971, Condor was the first holiday airline in the world to use the “Jumbo”, the Boeing 747-200 . With a turnover of 291 million DM in 1973 Condor was at the forefront of holiday airlines worldwide. Three Lufthansa Boeing 737-100s came to Condor temporarily during the 1971 summer season . In 1973 the fleet consisted of a total of eleven Boeing aircraft: two Boeing 747s, two Boeing 707s and seven Boeing 727s. As part of the oil crisis, the two Boeing 747s were later replaced by McDonnell Douglas DC-10-30s , which continued until the end of the 1990s -Years remained as the largest aircraft type in the fleet. From 1981 a total of five Boeing 737-200s were flown in, later also 737-300s . In the summer of 1985, a Douglas DC-8 leased from Lufthansa Cargo also belonged to the fleet for a short time .

The planned subsidiary InterCondor

Along with the liquidation of the GDR airline Interflug in 1990, there were plans to found a joint subsidiary, "InterCondor", in which both Interflug and Condor would each have a 50 percent stake. The necessary contracts were signed in the spring of the same year. The East Berlin business was expected to have a potential of 1.6 million passengers per year. Corresponding advertising material had already been published. Initially a Boeing 757-200 from Condor with 210 seats and a range of 5700 kilometers was to be leased , later another 737. Due to the German reunification and changed framework conditions, the project was ultimately not realized.

Development since 1990

In 1991, Condor Flugdienst was the first holiday airline to introduce Business Class with the Condor Comfort Class . In autumn 1992 the subsidiary Südflug was completely integrated into Condor Flugdienst. Between 1993 and 1996 a Boeing 747 in the colors of Condor was in use again, a 747-400 with the aircraft registration D-ABTD , which, however, did not operate Condor flights, but flew to Taiwan for Lufthansa . At the time, a People's Republic of China law prohibited airlines flying to Taiwan from flying to the People's Republic of China. In 1995 Condor expanded its holdings. Alpha Holding GmbH (30 percent), Kreutzer Touristik GmbH (37.5 percent), Fischer Reisen GmbH (100 percent) and Öger Tours GmbH with 10 percent are now part of the "Condor Touristik-Verbund". Condor Flugdienst also took over the 50 percent stake held by the Lufthansa Group in the remaining half of the charter airline Sunexpress, which is owned by Turkish Airlines .

In 1996 the American painter James Rizzi designed a Boeing 757-200 for the company's 40th anniversary as a flying work of art, the "Rizzi Bird". With twelve firm orders, Condor became the first customer of the Boeing 757-300 .

At the beginning of 1998, Condor founded Condor Berlin GmbH (CIB), a 100 percent subsidiary based in Berlin-Schönefeld . This had the ICAO code CIB and served short and medium-haul destinations with an Airbus A320-200 until it was integrated into the parent company on May 1, 2013 .

In 1997 Lufthansa brought the vast majority of its shares in Condor into C&N Touristic, which was founded together with Karstadt and which later became the Thomas Cook Group . In 2002 Condor Flugdienst became the new brand "Thomas Cook powered by Condor". In Germany, the aircraft from Condor and Condor Berlin gradually received the new Thomas Cook design. Since then, the words "Thomas Cook" have been placed on the hull of the machines and the Thomas Cook logo on the tail unit. The main color yellow has been replaced by blue. In June 2002 the first of fifty Condor aircraft took off in the new design. In 2003 the Condor fleet was reduced by twelve Boeing 757-200s in order to reduce excess capacities in the market. As of May 2004, the Thomas Cook AG airline in Germany was again flying under the brand name Condor Flugdienst , as the name Thomas Cook had not been accepted by the Germans due to its weaker brand awareness and this led to severe losses in passenger numbers. When painting, only the Thomas Cook lettering was repainted in "Condor", the Thomas Cook logo on the tail unit remained blue, as did the main color. Condor Berlin bought another Airbus A320-200 in 2005 and now operates a fleet of 13 aircraft of this type. Another A320-200 followed in 2006, and Condor and Germanwings also started a partnership.

On December 22, 2006 Lufthansa and Karstadt Quelle signed a letter of intent according to which the Lufthansa Group agreed to transfer its 50 percent stake in Thomas Cook to Karstadt Quelle for a purchase price of around EUR 800 million. At the same time it was agreed to increase the direct shareholding of the Lufthansa Group in Condor from 10 to 24.9 percent, the Lufthansa Group is also the shares of Condor in the Turkish charter flight -Gesellschaft SunExpress to transfer. Lufthansa's indirect capital stake in Condor of 45 percent was completely transferred to KarstadtQuelle with the sale of its Thomas Cook shares. Overall, Deutsche Lufthansa reduced its capital stake in Condor by 30.1 percentage points . KarstadtQuelle received the purchase option two years after the conclusion of the purchase agreement to take over the Lufthansa Group's 24.9 percent stake in Condor. In return, the Lufthansa Group received a put option on the capital share of KarstadtQuelle AG (75.1 percent). In the event that both companies do not use their options, the Lufthansa Group was granted a right of first refusal to the Thomas Cook shares in Condor. With this share regulation, Condor's take-off and landing rights were also to be secured outside of Europe, especially for the Lufthansa Group, and buying up by foreign investors was to be avoided for the time being.

Sales and merger talks

In September 2007 Air Berlin announced that it would take over the stake from Thomas Cook. The purchase price was to be made through the issue of new Air Berlin shares (Thomas Cook's stake in Air Berlin would then be 29.99 percent) and in cash and totaled 500 million euros. The transaction should be completed by February 10, 2009. The 24.9 percent share held by Lufthansa, on which Thomas Cook had a call option, was then to be handed over to Air Berlin in February 2010. The mutual holdings were submitted to the Federal Cartel Office for approval on October 5, 2007 . The Bundeskartellamt had serious concerns from the start and extended the review period several times. On July 11, 2008, Air Berlin and Thomas Cook withdrew the application for a merger with the Federal Cartel Office due to the “significantly changed economic framework”. Thereupon an attempt was made to bring the Condor into a joint airline with Germanwings and TUIfly . However, the negotiations failed at the end of September 2008. According to Thomas Cook, there should now be no further efforts to achieve a merger. In 2009 Thomas Cook took over the remaining Condor shares of 24.9 percent for 77 million euros from Lufthansa. Since then, Lufthansa has no longer held any shares in Condor. In 2012, Condor relocated its headquarters from Kelsterbach to the new Frankfurt district of Gateway Gardens at Frankfurt Airport.

In spring 2013 it was announced that the Condor Berlin subsidiary would be dissolved by May 2013 and integrated into Condor Flugdienst. In spring 2018, Condor cooperated with the airline Laudamotion , but ended the cooperation after Ryanair joined Laudamotion. In September 2013 Condor and Thomas Cook Airlines UK presented their new joint brand identity, which includes a completely new corporate design and a new livery of the fleet in gray / white / yellow and the "Sunny Heart". A Boeing 767-300ER was the first machine to receive the new livery at the end of November 2013 .

In February 2019, Thomas Cook announced that it would put the flight division, Thomas Cook Group Airline , including Condor, up for sale; flight operations continued as normal. After Lufthansa showed interest in Condor and optionally also the other Thomas Cook Airlines, it was reported in July 2019 that Thomas Cook was temporarily discontinuing the sale.

Bankruptcy of Thomas Cook and failed takeover by PGL

After the parent company Thomas Cook filed for bankruptcy on September 23, 2019, Condor, which is itself profitable, ran into liquidity problems. To bridge the weaker winter half-year, she received a KfW loan of 380 million euros, for which the Federal Republic of Germany and the State of Hesse guarantee. The self-administration requested by Condor as part of a protective shield procedure was opened at the beginning of December 2019. As part of the dissolution and spin-off from the Thomas Cook Group, Condor re -affixed its old Condor logo on a Boeing 767-300ER with the registration D-ABUF on the vertical stabilizer in November 2019 .

On January 24, 2020 it was announced that the parent company of the Polish LOT , Polska Grupa Lotnicza (PGL), would take over Condor. In February 2020, the Federal Cartel Office approved the takeover by PGL. The loan guaranteed by the federal government and the state of Hesse should be repaid in full by April 15, 2020. On April 13, however, PGL withdrew from the purchase of Condor, as PGL itself had to seek state aid due to the complete cessation of LOT's flight operations due to the COVID-19 pandemic .

Temporary rescue through state aid

On April 27, 2020 it was announced that Condor will receive a state loan of approx. € 550 million from the Federal Republic of Germany, which is based on the federal government's protective shield program against the COVID-19 pandemic. This means that Condor can both reimburse the now backdated, unknown purchase price from PGL and repay the aid loan granted by the state and the state of Hesse in the amount of € 256 million including interest in autumn 2019. The EU has approved this financial injection. The protective screen was abandoned again in December 2020. For cost reasons, the administrative headquarters were relocated from the previous headquarters in Gateway Gardens to Neu-Isenburg in the summer of 2020 .

Entry of investor

Condor announced on May 20, 2021 that asset manager Attestor had taken over 51 percent of the shares. The remaining 49 percent should initially remain with SG Luftfahrtgesellschaft, which has acted as a trustee for Condor since the end of a protective shield procedure and formally has the owner role after the former parent company Thomas Cook collapsed. All 4050 jobs should be retained.

Former types of aircraft

Condor has used the following types of aircraft in the course of its history:

1A Douglas DC-8-73 was temporarily leased from German Cargo
2A Boeing 747-400 of Lufthansa came in Condor colors on flights to Taipei for use

technology

Condor Berlin had had its own technical facility for the maintenance of its A320 fleet since 1998, Condor Berlin GmbH at Berlin-Schönefeld Airport. When Condor Berlin's flight operations were outsourced to the parent company on May 1, 2013, the company was now an exclusive maintenance company. As a subsidiary of the Thomas Cook Group Maintenance , it was responsible for the maintenance of the Condor Airbus fleet at the Berlin-Schönefeld Airport location from that date. As of October 31, 2018, Condor Berlin GmbH ceased operations as a maintenance facility in Berlin-Schönefeld. Condor Berlin GmbH continued to exist formally, as it owned some Airbus A320s. After being renamed "BLT Berlin Lufttransport GmbH", bankruptcy commenced on January 1, 2020.

Since November 11, 2008, the Boeing 757 and 767 aircraft have also been serviced in-house. This is done by Condor Technik GmbH, a 100 percent subsidiary of Condor Flugdienst GmbH. The company is based in Frankfurt, where 100 employees initially work. On August 9, 2010, three aircraft mechanic apprentices were hired for the first time. Previously, Condor's Boeing aircraft were serviced by Condor Cargo Technik, a subsidiary of Lufthansa Technik .

Pilot training

Since November 2014, Condor has been training its own pilots at the flight school in Essen in cooperation with TFC Buyers. Participants acquire as part of the Condor Ab Initio Program (CAP), the Multi-crew Pilot License , including - as provided in this license - type rating ( type rating ) for the Airbus A320 / A321 and the Boeing 757 / B767.

Incidents

In its history, Condor has so far recorded three total aircraft losses, two of which resulted in fatalities in its own aircraft:

  • On October 17, 1958, the pilots of a Vickers Viking 1B of Deutsche Flugdienst ( aircraft registration D-BELA ) on a cargo flight from London Heathrow to Düsseldorf Airport via Belgium shut down the right engine due to low oil pressure and initiated an alternative landing in Brussels . Since the altitude could not be maintained, the master ordered the engine to be restarted, which the co-pilot carried out without using the checklist. This led to an inextinguishable engine fire, whereupon an emergency landing was carried out in a field near Kamershoek near Zele (Belgium). After the three crew members got off the plane, it exploded.
The Condor Boeing 737 D-ABHD crashed in 1988
  • On July 31, 1960, both engines of a Convair CV-240 with the registration D-BELU and 30 passengers and four crew members on board failed one after the other on the approach to Rimini Airport . During the subsequent emergency landing one kilometer before the start of the runway, one of the passengers was killed. The four crew members survived. The cause of the failure of the left engine was the fatigue fracture of a cylinder head, on the right engine it was the defective insulation of the ignition cable and the use of improperly overhauled spark plugs.
  • On July 20, 1970, a Condor Boeing 737-100 with the aircraft registration D-ABEL collided in flight with a Piper PA-28 (registration EC-BRU ) near the Spanish city of Tarragona , killing all three of the Piper's occupants. The Boeing was repaired (see also Condor flight 316 ) .
  • On January 2, 1988, a Boeing 737-200 with the aircraft registration D-ABHD collided with a mountain near Seferihisar while approaching Izmir Airport . The machine broke into several pieces and burned out. Of the 16 people on board, eleven passengers and five crew members, none survived the accident. It was an accident of the category controlled off-road flight , which happened due to the incorrect use of navigation aids and, above all, poor coordination of the crew (see also Condor flight 3782 ) .

Former fields of activity

Condor on behalf of the German Armed Forces from 1966 to 2002

On October 1, 1966, Condor was the first private company to be commissioned to simulate air targets with jet aircraft . For this purpose, six North American F-86s were used, which took off from Sylt Airport with towed targets made of cardboard, textile or plastic . In 1974 the machines were replaced by 24 Fiat G.91s , and in 1976 the machines were moved to the Hohn Air Base . On May 24, 1989, the GFD was founded as a subsidiary of Condor and Aero-Dienst in order to fly with a more economical civilian target display. After signing a corresponding contract, four Learjet 35s were initially purchased, which could also accommodate two instead of one towed target. In 1997 the company signed a long-term contract with the Federal Office for Defense Technology and Procurement (BWB), which made it possible to increase the number of Learjets to seven. In 2002, EADS took over the company.

Condor Executive

In 1964, Condor entered the business aviation sector . A first attempt was made in August 1964 when the Düsseldorf - Greven - Hanover route was served daily with a Beech Queen Air on behalf of the state government of North Rhine-Westphalia . After state subsidies were discontinued the next year, the route became uneconomical and closed in December 1965. Another attempt in this market segment was made from 1967 with Condor Executive . For business travelers, flights with a Hawker Siddeley HS.125 were offered. The staff was additionally trained Condor staff. These flights were economically successful. Ambulance flights for the German Red Cross and the ADAC as well as a four-week flight campaign, which was used to obtain air samples over South and North America in July 1974 on behalf of the Max Planck Institute in Mainz, were also carried out with this machine .
